REPORTING AND DISCLOSURE AND COMMUNICATIONS TO PARTICIPANTS. While Spinco is a Participating Company in the NSI Plans, Spinco shall take, and shall cause each other applicable member of the Spinco Group to take, all actions necessary or appropriate to facilitate the distribution of all NSI Plan-related communications and materials to employees, participants and beneficiaries, including summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment materials for the Spinco Plans. Spinco shall assist, and Spinco shall cause each other applicable member of the Spinco Group to assist, NSI in complying with all reporting and disclosure requirements of ERISA for plan years ending on or before December 31, 2002, including the preparation of Form 5500 annual reports for the NSI Plans, where applicable.
REPORTING AND DISCLOSURE AND COMMUNICATIONS TO PARTICIPANTS. Water Pik shall take, and shall cause each other applicable Water Pik Entity to take, all actions necessary or appropriate to facilitate the distribution of all applicable ATI Plan-related communications and materials to Water Pik Individuals and their beneficiaries, including summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment material related to the Water Pik Plans. Water Pik shall pay ATI the cost relating to the copies of all such documents provided to Water Pik, except to the extent such costs are charged pursuant to Section 7.1 or pursuant to an Ancillary Agreement. Water Pik shall assist, and Water Pik shall cause each other applicable Water Pik Entity to assist, ATI in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form 5500 annual reports for the ATI Plans, where applicable.

Teledyne Technologies shall take, and shall cause each other applicable Teledyne Technologies Entity to take, all actions necessary or appropriate to facilitate the distribution of all applicable ATI Plan-related communications and materials to Teledyne Technologies Individuals and their beneficiaries, including summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment material related to the Teledyne Technologies Plans. Teledyne Technologies shall pay ATI the cost relating to the copies of all such documents provided to Teledyne Technologies, except to the extent such costs are charged pursuant to Section 7.1 or pursuant to an Ancillary Agreement. Teledyne Technologies shall assist, and Teledyne Technologies shall cause each other applicable Teledyne Technologies Entity to assist, ATI in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form 5500 annual reports for the ATI Plans, where applicable.
REPORTING AND DISCLOSURE AND COMMUNICATIONS TO PARTICIPANTS. While Holdings is a Participating Company in a Continental Plan, Holdings shall use reasonable best efforts to take, and shall use reasonable best efforts to cause each other applicable Holdings Affiliate to take, all actions necessary or appropriate to facilitate the distribution of all Continental Plan-related communications and materials to employees, participants and beneficiaries, including summary plan descriptions, summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment material for the Continental Plan. For periods beginning on or after the IPO date, Holdings shall pay Continental the cost relating to the copies of all such documents provided to Holdings. On or after the IPO Date and prior to any date determined by Continental in its sole discretion, Continental and Holdings shall assist each other in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form 5500 annual reports for the Continental Plans and the Holdings Plans, where applicable.

SpinCo shall assist, and SpinCo shall cause each other applicable member of the SpinCo Group to assist, Parent in complying with all reporting and disclosure requirements of ERISA for plan years ending on or before December 31, 2003, including the preparation of Form 5500 annual reports for the Parent Plans, where applicable.
REPORTING AND DISCLOSURE AND COMMUNICATIONS TO PARTICIPANTS. While Zimmer is a Participating Company in the Xxxxxxx-Xxxxx Squibb Health and Welfare Plans, Zimmer shall take all actions necessary or appropriate to facilitate the distribution of all Xxxxxxx-Xxxxx Squibb Health and Welfare Plan-related communications and materials to employees, participants, and beneficiaries, including, but not limited to, summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices, and enrollment materials for the Xxxxxxx-Xxxxx Squibb Health and Welfare Plans. The Xxxxxxx-Xxxxx Squibb Group and the Xxxxxx Group shall cooperate with each other and take all actions to insure compliance with all reporting and disclosure requirements, including the reporting and disclosure requirements of ERISA, which includes the preparation of Form 5500 annual reports for the Xxxxxxx-Xxxxx Squibb Plans and Zimmer Plans, where applicable.

While Enterprise is a Participating Company in the Radiant Plans, Enterprise shall take all actions necessary or appropriate to facilitate the distribution of all Radiant Plan-related communications and materials to Enterprise Employees, participants and beneficiaries, including summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment materials for the Enterprise Plans. Enterprise shall assist Radiant in complying with all reporting and disclosure requirements of ERISA for plan years ending on or before May 31, 2004.

Lucent shall pay AT&T the cost relating to the copies of all such documents provided to Lucent, except to the extent such costs are charged pursuant to Section 8.1 or pursuant to an Ancillary Agreement or the ASA Agreement. Lucent shall assist, and Lucent shall cause each other applicable Lucent Entity to assist, AT&T in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form 5500 annual reports for the AT&T Plans, where applicable.

While TRICON is a Participating Company in the PepsiCo Plans, TRICON shall take, and shall cause each other applicable member of the TRICON Group to take, all actions necessary or appropriate to facilitate the distribution of all PepsiCo Plan-related communications and materials to employees, participants and beneficiaries, including summary plan descriptions and related summaries of material modification, summary annual reports, investment information, prospectuses, notices and enrollment material for the TRICON Plans. TRICON shall assist, and TRICON shall cause each other applicable member of the TRICON Group to assist, PepsiCo in complying with all reporting and disclosure requirements of ERISA, including the preparation of Form 5500 annual reports for the PepsiCo Plans, where applicable.
