Research Intellectual Property. “Research Intellectual Property” means the legal rights relating to inventions (including Subject Inventions as defined in 37 CFR 401), patent applications, patents, copyrights, trademarks, mask works, trade secrets and any other legally protectable information, including computer software, first made or generated during the performance of a Research Task Order. The Parties mutually agree that any Research Intellectual Property made or conceived in the performance of a Research Task Order shall be owned in accordance with the following criteria: Sponsor exclusively owns title to any Research Intellectual Property made or conceived solely by Sponsor employees in the performance of a Research Task Order. For the avoidance of doubt, ownership of any of University’s Confidential Information (as defined herein) contained in Sponsor owned Research Intellectual Property is retained by University. KSURF exclusively owns title to any Research Intellectual Property made or conceived solely by University employees in the performance of a Research Task Order. For the avoidance of doubt, ownership of any of Sponsor’s Confidential Information (as defined herein) contained in KSURF owned Research Intellectual Property is retained by Sponsor. KSURF and Sponsor shall jointly own title to any Research Intellectual Property that is made or conceived by one or more employees of University and one or more employees of Sponsor in the performance of a Research Task Order. K-State and Sponsor shall notify the other Party of any Research Intellectual Property it develops promptly after an invention disclosure regarding such Intellectual Property. For the purpose of clarity, these invention disclosures shall be considered Confidential Information of the disclosing Party. KSURF and Sponsor have the right to file and prosecute intellectual property applications on any Research Intellectual Property to which it holds exclusive title and/or jointly owned Research Intellectual Property so long as such filing and prosecution does not conflict with the confidentiality obligations of Clause 14 – CONFIDENTIALITY/ PUBLICATIONS of this Agreement. Research Intellectual Property. 1. Any and all discoveries, inventions and other subject matter (whether patentable or not), including copyrights and trademarks that are conceived and reduced to practice as part of the research to be conducted under this Agreement and all intellectual property rights therein shall be considered Research Intellectual Property. a. Inventorship and authorship of Research Intellectual Property shall be determined according to U.S. intellectual property laws. b. Titles to any Research Intellectual Property made solely by employees, agents or representatives of the University shall be solely owned by the University. Titles to any Research Intellectual Property made solely by the University employees, agents, or representatives shall be assigned to and solely owned by the University. Research Intellectual Property jointly made by employees, agents or representatives of both the University and the Client shall be jointly owned by the University and the Client. c. With respect to any rights afforded to the University, such rights may be assigned to the WiSys Technology Foundation as the designated patent management organization for the University. 2. If the United States government (through any of its agencies or otherwise) has funded research, during the course of or under which any of the University’s Background or Research Intellectual Property was or is conceived or made, the United States government may be entitled under the provisions of 35 U.S.C. §§200-212 and applicable regulations of Chapter 37 of the Code of Federal Regulations, to a non-exclusive, non- transferable, irrevocable, paid-up license to practice or have practiced any inventions resulting from such for governmental purposes. 3. Should the parties seek to commercialize any Research Intellectual Property developed, the parties agree to elect either the Client’s technology transfer office or University’s designated technology transfer office, WiSys Technology Foundation as the lead party (hereinafter referred to as the “Lead Commercialization Party”) to manage such efforts. Such efforts will be governed under a supplementary agreement executed and mutually agreed upon between the parties and the Lead Commercialization Party and any subsequent revenue will be shared based upon the contribution of the parties. 4. Because the Grantee will be working at facilities of the Funder and conducting Research focused on the Funder’s products and programs, the Funder expects that Research results will be owned by the Funder. The Parties will use good faith efforts to advance negotiation and execution of each Research Agreement to enable timely confirmation of the Grant and commencement of the fellowship by the planned Effective Date. The rights of any of the Funder’s third-party collaborators who may have an interest in the materials that will be the subject of the Research also will be addressed when establishing the applicable intellectual property and publication provisions.

The Institution or the Grantee, as prescribed by Institution policy, shall be responsible for obtaining patent or any other legal protection for each invention or discovery, as they deem appropriate, made during the course of the Project. Neither AACR nor the Funder will have any responsibility therefor. B. The Institution shall notify AACR’s SRGA of any discovery that is or may be patentable or otherwise protectable under applicable law and that is discovered in the course of the research funded through the Grant. The Institution shall also notify AACR’s SRGA of the granting of each patent or other legal protection and of all commercial exploitation of any invention.

  • Intellectual Property The Company and the Subsidiaries have, or have rights to use, all patents, patent applications, trademarks, trademark applications, service marks, trade names, trade secrets, inventions, copyrights, licenses and other intellectual property rights and similar rights necessary or required for use in connection with their respective businesses as described in the SEC Reports and which the failure to so have could have a Material Adverse Effect (collectively, the “Intellectual Property Rights”). None of, and neither the Company nor any Subsidiary has received a notice (written or otherwise) that any of, the Intellectual Property Rights has expired, terminated or been abandoned, or is expected to expire or terminate or be abandoned, within two (2) years from the date of this Agreement. Neither the Company nor any Subsidiary has received, since the date of the latest audited financial statements included within the SEC Reports, a written notice of a claim or otherwise has any knowledge that the Intellectual Property Rights violate or infringe upon the rights of any Person, except as could not have or reasonably be expected to not have a Material Adverse Effect. To the knowledge of the Company, all such Intellectual Property Rights are enforceable and there is no existing infringement by another Person of any of the Intellectual Property Rights. The Company and its Subsidiaries have taken reasonable security measures to protect the secrecy, confidentiality and value of all of their intellectual properties, except where failure to do so could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

  • Intellectual Properties To the extent permissible under applicable law, all intellectual properties made or conceived by Employee during the term of this employment by Employer shall be the right and property solely of Employer, whether developed independently by Employee or jointly with others.   • Joint Intellectual Property 9.1 University agrees to not Implement any Joint Intellectual Property for any purpose other than educational, experimental or research purposes. In consideration of University not Implementing the Joint Intellectual Property except for the limited purposes set forth in this paragraph, Company agrees to Implement any Joint Intellectual Property only in accordance with a license agreement to be entered into by Company and University with respect to the Implementation of such Joint Intellectual Property. Company shall pay to University, in connection with such Implementation, a compensatory royalty in accordance with such license agreement to be agreed by the Parties. 9.2 University agrees to not grant to any third party a license to Implement its rights in the Joint Intellectual Property without Company’s prior written consent. Notwithstanding anything contrary herein provided, University may grant to a third party a license to use the Joint Intellectual Property without Company’s prior written consent in the following cases: (i) if Company fails to execute a license agreement with University pursuant to Article 9.1 without any reasonable cause within three years from the Completion Date, or otherwise seeks to Implement any such Joint Intellectual Property other than pursuant to any such license agreement; or (ii) if Company fails to pay any compensatory royalty in accordance with the license agreement entered into pursuant to Article 9.1. 9.3 Company may grant a third party a non-exclusive license to the Joint Intellectual Property provided that Company first executes a license agreement with University setting forth, among other matters, the allocation of any license fee or royalty received from any such third party as between the Parties. 9.4 Unless otherwise provided in this Agreement, neither Party may transfer, grant a security interest in, grant a license to or otherwise dispose of its right, title or interest in or to the Joint Intellectual Property to any third party without the prior written consent of the other Party. 9.5 Each Party shall notify the other Party in writing before abandoning its right, title or interest in and to any Joint Intellectual Property.

  • Background Intellectual Property It is possible that one or both Parties may possess rights in background intellectual property, that is, intellectual property not otherwise subject to this Agreement, which would be useful or essential to the practice or commercialization of the results of this Agreement. For example, the RI might own a patent which would be infringed by the SBC when it attempted to commercialize the results of this Agreement unless a license was obtained from the RI. Where the Parties determine that background technology may exist, consideration should be given to negotiating license rights which will allow the practice and commercialization of the results of this Agreement.

  • Patents and Intellectual Property Rights Recipients are subject to the Xxxx-Xxxx Act, 35 U.S.C. § 200 et seq, unless otherwise provided by law. Recipients are subject to the specific requirements governing the development, reporting, and disposition of rights to inventions and patents resulting from federal financial assistance awards located at 37 C.F.R. Part 401 and the standard patent rights clause located at 37 C.F.R. § 401.14.
