Reservations from Conveyance. The GRANTOR hereby reserves unto itself, its successors and assigns, all oil, gas and other minerals, in and under and that may be produced from the Property, as well as all water rights. If the mineral estate is subject to existing production, this reservation includes the production, the lease, and all benefits from it.

Reservations from Conveyance. A&M SYSTEM reserves unto itself, its successors and assigns, all oil, gas and other minerals, in and under and that may be produced from the Property. If the mineral estate is subject to existing production, this reservation includes the production, the lease, and all benefits from it. The terms and conditions of this Section 1.02 will survive the closing and will be included in the Special Warranty Deed (as described in Section 5.02.A. herein) provided by A&M SYSTEM at closing.
Reservations from Conveyance. Grantor does hereby except and reserve unto Grantor, Xxxxxxx’s successors and assigns all of the oil, gas and other minerals owned by Grantor, together with the following rights appurtenant thereto: (i) the right to lease Grantor’s interest in the minerals; (ii) the right to receive bonus payments; (iii) theright to receive delay rentals; and(iv) theright to receive royalty. If themineral estateissubject to existing production or any existing lease, thenthisreservation shall includethe production, the lease and all benefits therefrom. This reservation also includes any and all future and reversionary interests in the oil, gas and other minerals that Grantor is currently entitled to, and/or those that may be otherwise associated with Grantor’s interest(s) in the mineral estate in, on or under the Property. Notwithstanding the above, Xxxxxxx and Xxxxxxx’s successors and assigns hereby waive and convey unto Grantee, Xxxxxxx’s heirs, successors and assigns the surface rights associated with the mineral interest(s) reserved herein, including the right of ingress and egress over the surface of the Property for mining, drilling, exploring, operation, and developing BID #23-004 SALE OF REAL PROPERTY – FORMER BUS BARN the surface of the Property for oil, gas and other minerals and for removing them from the Property. Xxxxxxx and Xxxxxxx’s successors and assigns agree that all future oil, gas and mineral leases executed by them shall specifically prohibit any use of the surface of the Property. However, Grantor’s waiver of surface rights herein shall not be construed as a waiver of the right of Grantor, Xxxxxxx’s heirs, successors, assigns and lessees to explore, develop or produce the mineral estate reserved herein with xxxxx with surface locations on lands other than the subject Property, including, but not limited to, directional and/or horizontal xxxxx that travel beneath the subject Property, or by pooling its oil, gas and other mineral interests with lands adjoining the Property in accordance with the laws and regulations of the State of Texas.
Reservations from Conveyance. None Grantor, for the Consideration, grants, sells, and conveys to Grantee the Property, together with all and singular the rights and appurtenances thereto in any way belonging, subject to the Exceptions to Conveyance, to have and to hold it to Grantee and Xxxxxxx's successors and assigns forever, but without warranty of title or any other warranty of any kind or nature, and without limitation on such disclaimer of warranties. XXXXXXX ACKNOWLEDGES THAT IT IS NOT RELYING UPON THE ACCURACY OR COMPLETENESS OF ANY REPRESENTATION, BROCHURE, RENDERING, PROMISE, STATEMENT OR OTHER ASSERTION OR INFORMATION WITH RESPECT TO THE PROPERTY MADE OR FURNISHED BY OR ON BEHALF OF, OR OTHERWISE ATTRIBUTED TO, GRANTOR OR ANY OF ITS AGENTS, EMPLOYEES OR REPRESENTATIVES, ANY AND ALL SUCH RELIANCE BEING HEREBY EXPRESSLY AND UNEQUIVOCALLY DISCLAIMED, BUT IS RELYING SOLELY AND EXCLUSIVELY UPON ITS OWN EXPERIENCE AND ITS INDEPENDENT JUDGMENT, EVALUATION AND EXAMINATION OF THE PROPERTY. GRANTEE FURTHER UNEQUIVOCALLY DISCLAIMS (I) THE EXISTENCE OF ANY DUTY TO DISCLOSE ON THE PART OF GRANTOR OR ANY OF ITS AGENTS, EMPLOYEES OR REPRESENTATIONS AND (II) ANY RELIANCE BY GRANTEE ON THE SILENCE OR ANY ALLEGED NONDISCLOSURE OF GRANTOR OR ANY OF IT AGENTS, EMPLOYEES OR REPRESENTATIVES. XXXXXXX TAKES THE PROPERTY UNDER THE EXPRESS UNDERSTANDING THAT THERE ARE NO EXPRESS OR IMPLIED WARRANTIES. GRANTEE EXPRESSLY WARRANTS AND REPRESENTS THAT NO PROMISE OR AGREEMENT WHICH IS NOT HEREIN EXPRESSED HAS BEEN MADE TO IT AND HEREBY DISCLAIMS ANY RELIANCE UPON ANY SUCH ALLEGED PROMISE OR AGREEMENT. XXXXXXX HAS AGREED TO DISCLAIM RELIANCE ON GRANTOR AND TO ACCEPT THE PROPERTY “AS-IS” WITH FULL AWARENESS THAT THE PROPERTY’S PRIOR USES, LACK OF ACCESS TO A PUBLIC ROAD OR OTHER MATTERS COULD AFFECT ITS CONDITION, VALUE, SUITABILITY OR FITNESS; AND GRANTEE CONFIRMS THAT GRANTEE IS HEREBY ASSUMING ALL RISK ASSOCIATED THEREWITH. GRANTEE UNDERSTANDS THAT THE DISCLAIMERS OF RELIANCE AND OTHER PROVISIONS CONTAINED HEREIN COULD LIMIT ANY LEGAL RECOURSE OR REMEDY GRANTEE OTHERWISE MIGHT HAVE. In no case, with or without the written approval of the Authorized User, can the Authorized User data be accessed, moved or sent outside the continental United States.

  • Assignments and Transfers No Party may assign any of its rights and benefits or transfer any of its rights, benefits and obligations in respect of any Debt Documents or the Liabilities except as permitted by this Clause 19.
