Reserve Inventory. KNC agrees to use commercially reasonable efforts to maintain a quantity of Products equal to at least twenty-five percent (25%) of the twelve-month Forecast provided pursuant to Section 2.3 (on a rolling basis) in an intermediate unfinished state during the period beginning September 30, 2012 (provided that KNC shall in good faith attempt to comply with the foregoing threshold beginning as of April 30, 2012) and ending as of the conclusion of the Term.
Reserve Inventory. Starting [***] following the Effective Date, the parties may mutually agree for Codexis to maintain in inventory an amount of Codexis Enzyme, which shall be no more than an amount sufficient to fulfill [***] of estimated Pfizer and Pfizer Affiliate demand for Codexis Enzyme based on the forecast provided pursuant to Section 2.4. Codexis reserves the right to deliver such reserve inventory of Codexis Enzyme to Pfizer and its Affiliates on a first-in, first-out basis. No later than [***] before the effective date of termination or expiration of this Agreement, the parties will mutually cooperate to reduce the quantities of Codexis Enzyme in reserve inventory to zero by the effective date of termination or expiration. Within [***] of any termination or expiration of this Agreement, Pfizer or its Affiliates shall be required to purchase all quantities of Codexis Enzyme that remain in the reserve inventory as of the effective date of termination or expiration at the price which was in effect as of the effective date of termination or expiration.
Reserve Inventory. In the event Versicor elects to purchase any or all of the Reserve Inventory pursuant to Section 2.3(d), Versicor shall pay Lilly for such inventory pursuant to the terms set forth in Section 2.3(d), by Federal Reserve [ * ] = CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY BRACKETS, HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 406 OF THE SECURITIES ACT OF 1933, AS AMENDED. electronic wire transfer in immediately available funds to an account designated by Lilly.
Reserve Inventory. Throughout the Contract term, Contractor shall be required to purchase its own call box equipment and maintain a sufficient quantity of such material in stock in their Monterey Bay Region or Bay Area field office to fulfill the requirements of this Scope of Work. Replenishing the call box equipment stock is the sole responsibility of and at the expense of the Contractor. The Transportation Agency acknowledges any materials purchased by the Contractor that remain unused at the end of the contract are the property of the Contractor.
Reserve Inventory. (a From and after the Closing Date, Seller shall pay to Buyer the amounts as determined in accordance with this Section 7.5 (the "Deferred Purchase Price"), and Buyer shall hold and offer for sale the Reserve Inventory for a period ending three (3) years from and after the last day of the month in which the Closing Date occurred (the "Deferred Payment Term"). The items of Like Inventory shall be offered for sale by Buyer and each of its Affiliates who are, from time to time, engaged in the Business, and will be deemed sold, on a FIFO basis as sales of Like Inventory are made in the Business. For purposes of this Section 7.5, sales shall include a return of Reserve Inventory or Like Inventory to a vendor for credit and the amount of the proceeds realized from any such sale shall be the amount of such credit.

Reserve Inventory. CONTRACTOR is required to maintain that quantity of call box equipment, parts, and materials in stock in the Ventura County field office as maybe reasonably necessary to fulfill its duties under this Agreement.
