Resident Records. All information in the resident’s records, regardless of form or storage method of records, will be kept confidential except when release is required by: transfer to another facility, law, third party payment contract, or resident or resident’s legal representative.
Resident Records. To the best of Operator's knowledge, ---------------- all resident records at the Facility are true, complete and correct in all material respects. From and after the date hereof, all resident records at the Facility shall be maintained in accordance with all applicable Legal Requirements, including, without limitation, with respect to retention and confidentiality.
Resident Records. Except as provided on Schedule 2.15, Seller has received no written notice, and has no knowledge (a) that Resident Records used or developed in connection with the Business conducted at the Facilities have not been maintained in accordance with any Applicable Laws governing the preparation, maintenance of confidentiality, transfer and/or destruction of such records, and (b) of any material deficiency in the Resident Records or any other Books and Records of the Facilities.
Resident Records. Hospital expressly acknowledges its obligations as a provider of health care and as an educational institution to confidentially maintain the records of Resident. These records may be delivered to other health care treatment institutions or prospective employers only upon written request to the Hospital by Resident in such form as designated by the Hospital or as otherwise required by law.
Resident Records. The DSF must notify DMAS of the disaster event, maintain records of evacuated residents with names, dates and their evacuation destination, and regularly update DMAS on the status of the repairs to their facility. o The DSF must send the required information by email to xxxxxxxxxx@xxxx.xxxxxxxx.xxx or by fax to (000)000-0000. o Alternatively, the DSF may coordinate with the RHCC to provide DMAS with the required information. The DSF is responsible for completing the necessary Minimum Data Set (“MDS”) assessments, either directly or by delegating the function to the RAF. o The RAF need only complete the clinical assessment portion of the MDS for each evacuated resident, and may do this on a paper MDS form if the electronic MDS is not available. o The RAF may then send the paper MDS assessment back to the DSF. o The DSF may transmit the updated MDS at a later date, once the emergency is resolved as long as it was completed timely and within the appropriate observation period.
Resident Records. 7.11.1 From and after the Closing, Purchaser shall cause the JV Partner to retain possession of all Resident Records for the period of time required by Law but no less than 10 years from the date of discharge of any Resident, and, subject to Law, shall provide reasonable access thereto to Seller and Existing Operator during such period in connection with a valid business purpose and upon reasonable advance notice and to permit Seller and Existing Operator to obtain copies thereof, upon request. Prior to the Closing, Seller and Existing Operator may, subject to Law, make copies of any Resident Records.
7.11.2 At least ten (10) Business Days prior to the Closing Date, Existing Operator shall (and shall use commercially reasonable efforts to cause Manager to) deliver to Purchaser and JV Partner customer data consisting of the names of all Residents, the names and addresses of the Residents’ responsible parties and such further information as Purchaser or JV Partner may reasonably require in order for the JV Partner to be able to assume full operation of the Facilities and full accounting functions in connection therewith on the Closing Date.
7.11.3 Prior to the Closing, subject to any restrictions under Law, Seller and Existing Operator may make copies, at its expense, of any Books and Records.
Resident Records. All resident records at each Facility are true, complete and correct in all material respects and have at all times and currently are maintained substantially in accordance with all applicable Legal Requirements, including, without limitation, with respect to retention and confidentiality.
Resident Records. No Seller has received any written notice or, to the Sellers’ knowledge any oral notice: (a) that Resident Records used or developed in connection with the Business conducted at each Facility have not been maintained in accordance with any applicable federal, state or local laws or regulations governing the preparation, maintenance of confidentiality, transfer and/or destruction of such records or (b) of any material deficiency in the Resident Records or other relevant records of each Facility used or developed in connection with the operation of the Business conducted at each Facility.
Resident Records. Purchaser understands that all of the Seller's Resident Records for Residents of the Facilities as of the Closing Date are being transferred hereunder to Purchaser subject to the requirements of Applicable Laws. Purchaser agrees to maintain all such Resident Records for the requisite period prescribed by Applicable Law. In addition, if and to the extent permitted by Applicable Law, Purchaser agrees to allow Seller, or Seller's agents or representatives upon reasonable advance notice and at Seller's sole cost and expense, to examine from time to time such Resident Records relating to the period of Seller's operation of the Facilities, to promptly cooperate with Seller, Seller's agents or representatives in their examination or review of such Resident Records, and to permit Seller to obtain copies thereof, upon request.
Resident Records. Tenant shall at all times maintain all Resident and medical records in accordance with all applicable Legal Requirements, and with the requirements established by any insurer, including any Federal or State health program. Tenant shall use the information contained in such records solely for the limited purposes necessary to perform its obligations hereunder. At all times during the Term of this Agreement, such records shall remain the property of Tenant or the applicable Resident pursuant to applicable law. Upon termination of this Agreement with respect to any Community, Tenant shall transfer such records to the entity which is then licensed to operate such Community, as applicable, in the form in which they are then held at such Community, as applicable. The terms of this Section 8.5 shall survive the termination of this Agreement.
