Retirement Benefit Arrangements. 7.5.1 The Data Room contains details of all material [Retirement] Benefit Arrangements, except for arrangements to which any of the Group Entities contributes in compliance with any Law.
Retirement Benefit Arrangements. In respect to the Non-U.S. Retirement Benefit Arrangements, SpinCo shall be obliged to establish a successor plan for the benefit of the Non-U.S. Employees to the extent required by applicable Law or set out in Appendix 5 (e) (ii) (“Successor Retirement Benefit Arrangement”) and shall be required to maintain this Successor Retirement Benefit Arrangement during the Continuation Period.
Retirement Benefit Arrangements. Schedule 14 provides brief particulars of all Retirement Benefit Arrangements that are material to the Group and (save as otherwise provided in Schedule 14), the provisions of Schedule 13 shall apply in respect of all Retirement Benefits Arrangements.
Retirement Benefit Arrangements. 8.8.1 The arrangements contained in the Data Room and listed in Schedule 12 or in the Disclosure Letter (the “Retirement Benefit Arrangements”) are the only arrangements under which the Group Companies make payments for providing retirement, death, sickness, disability or life assurance benefits except for state or mandatory social security arrangements or mandatory collective bargaining arrangements to which any of the Group Companies contribute or are liablé or contingently liable to contribute in compliance with any law or regulation in respect of the Relevant Employees and/or any former employees, officers or former officers.
Retirement Benefit Arrangements. There are no arrangements or promises other than the Retirement Benefit Arrangements listed in the schedule headed “Retirement Benefit Arrangements” under which the PMD Group Companies make or could become liable to make payments for providing retirement, ill-heath or injury, death or life assurance benefits which would result in an economic loss for the PMD Group Companies, except for arrangements under public law, statute or regulation to which any of the PMD Group Companies contribute in compliance with the applicable law or regulations (the State Schemes).
Retirement Benefit Arrangements. 7.5.1 The Company has disclosed to the Purchaser detailed descriptions of the national scheme to which the Company is obliged by applicable laws to contribute. The Company has not maintained or contributed to, or had any obligation to, any other retirement benefit scheme except as disclosed in Section 7.5.1 of the Disclosure Schedule.
Retirement Benefit Arrangements. (a) The documents disclosed in the Disclosed Information contain details of all Retirement Benefit Arrangements, applicable to the Employees, and are the only Retirement Benefit Arrangements. There are no obligations (whatsoever and irrespective whether towards Employees, former employees (it being understood that a former independent contractor also qualifies as a former employee) or spouses or dependants, etc,) to provide retirement, death and/or disability benefits other than as disclosed in the Due Diligence Information.
Retirement Benefit Arrangements. The provisions of Schedule 4 shall apply.
