Return of Documents/Data. Executive acknowledges and agrees that: (a) all files, customer records, customer lists, research and development data, manuals, letters, contracts, 8 agreements, proposals, notes, notebooks, records (including all computer and electronic records), reports, memoranda and all other First Charter materials, documents and data used, prepared or collected by Executive as part of his employment with First Charter, in whatever form, and (b) all Confidential Information (as defined per First Charter policy and/or applicable agreements) and records containing any Confidential Information that came into his possession while an employee of First Charter, whether prepared by Executive or others, are and will remain the property of First Charter. Upon the end of his employment with First Charter, Executive will return and make available to First Charter prior to the last day of Executive's employment all such documents and information, as well as all documents and other materials of any kind that constitute or contain any Confidential Information, in Executive's possession or control, regardless of how stored or maintained, including all originals, copies and compilations and all information stored or maintained on computer, tapes, discs or any other electronic or other form of technology.

Return of Documents/Data. Consultant acknowledges and agrees that all customer files, account records, customer lists, manuals, letters, contracts, agreements, notes, notebooks, records, reports, memoranda and all other Carolina First and/or First Charter materials, documents and data used, prepared or collected by Consultant as part of his prior employment with First Charter and Carolina First or subsequent engagement as an independent contractor with First Charter, in whatever form, are and will remain the property of First Charter. Consultant also acknowledges and agrees that all "Confidential Information" (as defined in Section 14.b. above) that comes into his possession while an independent contractor with First Charter, whether prepared by Consultant or others, is and will remain the property of First Charter. Accordingly, Consultant agrees that, in the event of the end of his independent contractor relationship with First Charter for any reason, Consultant will return and make available to First Charter prior to the last day of Consultant's engagement with First Charter all such First Charter documents and information, as well as all documents and other materials of any kind that constitute or contain any "Confidential Information", in Consultant's possession or control, regardless of how stored or maintained, including all originals, copies and compilations and all information stored or maintained on computer, tapes, discs or any other electronic or other form of technology.
Return of Documents/Data. Executive acknowledges and agrees that (1) all Company materials, documents and data used, prepared or collected by Executive as part of his employment with the Company, in whatever form, and (2) all confidential Company information and records containing any confidential information that came into his possession while an employee of the Company, whether prepared by Executive or others, are and will remain the property of the Company. Except as otherwise noted in provision 6.c. above, upon his final separation from employment with the Company, Executive agrees that he will return any and all Company property, documents, records and information in his possession or control as well as any business items purchased for use in his employment with the Company and reimbursed or paid for by the Company. This includes, but is not limited to, any Company printer, pager, keys, I.D. badge, or other equipment assigned to or used by Executive, and any documents, files, patient records, written material, information, products, devices, and other property, records and information provided to Executive by the Company or collected or obtained by Executive in accordance with the performance of his duties with the Company. This also includes all electronic data and records, as well as all documents and other materials of any kind that constitute or contain any confidential Company information, regardless of how stored or maintained, including all originals, copies, and compilations and all information stored or maintained on computer, tapes, discs, or any other form of technology. Items covered by this provision 11 that have not yet been returned to the Company are to be delivered to the Vice President, Human Resources for the Company on or before March 31, 2003 or earlier as requested by management.

Unless otherwise expressly authorized by First Charter in connection with Executive's ongoing work and services referenced in this Agreement, upon the Transition Date, Executive will return and make available to First Charter all such documents and information, as well as all documents and other materials of any kind that constitute or contain any Confidential Information, in Executive's possession or control, regardless of how stored or maintained, including all originals, copies and compilations and all information stored or maintained on computer, tapes, discs or any other electronic or other form of technology.

  • Return of Documents In the event of the termination of Executive's employment for any reason, Executive shall deliver to the Company all of the property of the Company and its Affiliates and the non-personal documents and data of any nature and in whatever medium of each of the Company and its Affiliates, and he shall not take with him any such property, documents or data or any reproduction thereof, or any documents containing or pertaining to any Confidential Information.

  • Return of Documents and Property Upon termination of the Executive’s employment for any reason, the Executive (or his heirs or personal representatives) shall immediately deliver to the Company (a) all documents and materials containing Confidential Information (including without limitation any “soft” copies or computerized or electronic versions thereof) or otherwise containing information relating to the business and affairs of any member of the Parent Group (whether or not confidential), and (b) all other documents, materials and other property belonging to any member of the Parent Group that are in the possession or under the control of the Executive.

  • Reproduction of Documents This Agreement and all schedules, exhibits, attachments and amendments hereto may be reproduced by any photographic, photostatic, microfilm, micro-card, miniature photographic or other similar process. The parties hereto each agree that any such reproduction shall be admissible in evidence as the original itself in any judicial or administrative proceeding, whether or not the original is in existence and whether or not such reproduction was made by a party in the regular course of business, and that any enlargement, facsimile or further reproduction shall likewise be admissible in evidence.

  • PUBLICATION OF DOCUMENTS The Parties acknowledge that the District is required to publish the Application and its required schedules, or any amendment thereto; all economic analyses of the proposed project submitted to the District; and the approved and executed copy of this Agreement or any amendment thereto, as follows: A. Within seven (7) days of receipt of such document, the District shall submit a copy to the Comptroller for publication on the Comptroller’s Internet website; B. The District shall provide on its website a link to the location of those documents posted on the Comptroller’s website; C. This Section does not require the publication of information that is confidential under Section 313.028 of the TEXAS TAX CODE.

  • Inspection of Documents Consulting Engineer/Architect shall maintain all Project records for inspection by City during the contract period and for three (3) years from the date of final payment.

  • Return of Data In the event of the termination of Executive’s employment with Company for any reason whatsoever, Executive agrees to deliver promptly to Company all formulas, correspondence, reports, computer programs and similar items, customer lists, marketing and sales data and all other materials pertaining to Confidential Information, and all copies thereof, obtained by Executive during the period of Executive’s employment with Company which are in Executive’s possession or under his control. Executive further agrees that Executive will not make or retain any copies of any of the foregoing and will so represent to Company upon termination of his employment.

  • Retention of Documents The Registrar shall retain copies of all letters, notices and other written communications received pursuant to this Article II. The Company shall have the right to inspect and make copies of all such letters, notices or other written communications at any reasonable time upon the giving of reasonable written notice to the Registrar.

  • Execution of Documents Unless otherwise specified, all Credit Documents and all other certificates executed in connection therewith must be signed by a Responsible Officer.
