Roadshow Materials. Mintier Harnish will prepare four sets of roadshow materials for use at festivals, neighborhood meetings, and other community events. Each set will include poster boards, handouts, and other materials that inform participants on the key planning issues in the Update as well as interactive stations that allow attendees to express ideas. The roadshow event materials and timing will correspond with four major milestones in the project: • Visioning; • Land use and policy alternatives; • Preferred land use alternative and key goals; and • Draft General Plan. The roadshow events will also include activities for children. We will have a Legos table where children can build a model of the city or their neighborhood (or just play). We will also encourage children to draw their own postcards from the future and describe why they love American Canyon. To encourage participation, we will have periodic drawings for gift cards from local businesses. We will coordinate the roadshow events with the City’s online engagement platform, Maptionnaire, to give more residents the opportunity to provide input at each step. The roadshow events can also provide an opportunity for City staff and Council members to connect with the community. The City could host a “Q&A” table at a roadshow event that offers people an opportunity to discuss City issues with staff and their elected representatives.
Roadshow Materials. (i) the information with respect to the Issuer and the Notes contained in the printed materials approved by the Issuer for use at investor presentations in connection with the offering of the Notes (the Roadshow Materials) is true and accurate and not misleading; (ii) any opinions, predictions or intentions expressed in the Roadshow Materials are honestly held or made, have been reached after considering all relevant circumstances, and are based upon reasonable assumptions; (iii) the Roadshow Materials, taken together with the Preliminary Prospectus, do not omit to state any material fact necessary to make such information, opinions, predictions or intentions (in the context of the issue, offering and distribution of the Notes) not misleading; and (iv) all reasonable enquiries have been made to ascertain such facts and to verify the accuracy of all such information and statements; Litigation: there are no pending actions, suits or proceedings (including any litigation, arbitration, prosecution, investigation, enquiry or other legal proceedings) against or affecting the Issuer or any of its properties which, if determined adversely to the Issuer could individually or in the aggregate have a material adverse effect on the condition (financial or other) or general affairs of the Issuer or on the ability of the Issuer to perform its obligations under the Agreements or the Notes or which are otherwise material in the context of the issue or offering of the Notes (Material Adverse Effect) and, to the best of the Issuer’s knowledge, no such actions, suits or proceedings are threatened or contemplated; No Stamp Taxes: no stamp or other similar duty is assessable or payable by or on behalf of the Joint Lead Managers in the Republic of Armenia, Belgium, Luxembourg, France, the United Kingdom or the United States in connection with the execution, delivery or performance of the Agreements;
