Services Pricing. Unless otherwise provided in the applicable Order Form, all Services shall be provided on a time and expense/materials basis at CCH’s then current rates. CCH reserves the right to impose a higher rate for Services performed upon the request or with the approval of Customer in excess of a forty (40) hour week or during weekend or holiday periods. Estimates are provided for Customer’s information only and are not guaranteed. Customer shall pay or reimburse CCH for all reasonable travel and other out-of-pocket expenses incurred in connection with CCH’s performance of Services hereunder.

Services Pricing. Flowco shall pay SPX or its applicable Affiliate fees for the SPX Services on the basis and in the manner described in Schedule A. SPX shall pay Flowco or its applicable Affiliate fees for the Flowco Services on the basis and in the manner described in Schedule B. Each party or its agents shall keep and maintain such books and records as may be reasonably necessary to make any applicable allocations. During the term of this Agreement and at any time thereafter upon the reasonable request of another party, each party shall make copies of the relevant portion of such books and records available to the other party for inspection upon request and with reasonable notice.

Services Pricing. Subject to Clause 8.2 below, the Customer shall pay fees to Domicilium as specified on the Order Form. All fees are exclusive of any applicable VAT which are chargeable in addition at the then current rate.

Services Pricing a) During the Term (as defined below), DOTCOM shall provide the fulfillment services (the “Services”) set forth on Exhibit A Statement of Work (SOW), which is made a part hereof. The parties acknowledge and agree that the fulfillment services and corresponding rates set forth in the SOW are predicated upon certain information and assumptions provided by MILK MAKEUP to DOTCOM. The information and assumptions are included in the SOW and are identified in the Key Assumptions section. Mutually agreed Service Levels and pricing is also incorporated in the SOW. b) From time to time during the Term, MILK MAKEUP may request that DOTCOM provide additional Services. There may also be material changes in MILK MAKEUP’S business, which impacts products warehoused at DOTCOM, order characteristics, packaging requirements, order volume or other key assumptions. In the event of material changes to the services and assumptions outlined in the SOW or a request for new services to be provided, an SOW Change Order will be prepared outlining changes of scope of service and the associated adjustments in cost, when applicable. Any such request for additional Services shall be in writing. DOTCOM reserves the right to accept or decline the request to provide the additional Services for any reason, provided that DOTCOM shall in good faith give any such request due and fair consideration. In the event DOTCOM agrees to provide the additional Services at a price agreeable to MILK MAKEUP, then the parties shall prepare the SOW Change Order for the purpose of amending the SOW.

Services Pricing. (a) In consideration of making the Services available to R&DCo and the other R&DCo Group Members under this Agreement, R&DCo shall pay Ikaria $772,000.00 per month (the “Service Cost”). The Parties agree that any pricing information set forth on Schedule A is for information purposes only and shall not affect the amount to be paid by R&DCo to Ikaria hereunder, and R&DCo acknowledges that the fees set forth in this Section 2.1(a) are due to Ikaria regardless of the frequency or quantity of Services actually utilized by R&DCo or the other R&DCo Group Members under this Agreement, and that all such fees are non-refundable. In addition, R&DCo shall promptly reimburse Ikaria for any and all out-of-pocket expenses incurred in connection with the provision of Services hereunder, and if performing the Services requires resources outside of the existing resources of Ikaria or otherwise interferes with the ordinary operations of the Ikaria Business (in either case, the “Extraordinary Services”), then R&DCo shall pay, in addition to the Service Cost, the costs and expenses incurred by Ikaria in connection with performing such Extraordinary Services. (b) Concurrently with the execution of this Agreement, the Parties are entering into an escrow agreement with a third party escrow agent (the “Escrow Agreement”). Pursuant to the terms of the Escrow Agreement, concurrently with the execution of this Agreement R&DCo shall deposit $18,528,000 into escrow, and Ikaria shall have the right to withdraw the monthly Service Cost from such escrow on a monthly basis in arrears.
