Shipment and Delivery Terms. Upon acceptance of any purchase order, Transact will establish a shipping date for the relevant Equipment and cards as close as practicable to Customer’s requested date, subject to Transact’s reasonable discretion. Notwithstanding the foregoing, if Transact is to configure the Equipment, Transact will endeavor to ship the Equipment and cards within seven (7) business days of Transact’s receipt of the Equipment and cards. Transact will not be liable for any damage or penalty arising from delay in delivery or from failure to give notice of any delay. Transact agrees to exercise reasonable efforts to expedite particular shipments of Equipment and cards when so requested by Customer, provided that Customer will be charged an additional fee equal to 10 percent (10%) of the total purchase price for the item being expedited.

Shipment and Delivery Terms. BIOMATERIALI shall use its best efforts to fill orders that are within XXXXXXX’ forecast plus ten percent (10%), within sixty (60) calendar days from the confirmation of the relevant Purchase Order. In addition BIOMATERIALI shall use its reasonable efforts to fill orders to the extent FOIA CONFIDENTIAL TREATMENT REQUESTED they exceed XXXXXXX’ by ten percent (10%) the forecast. Unless otherwise agreed in writing by BIOMATERIALI and XXXXXXX, all deliveries of the Products shall be FCA, INCOTERMS 2000, at Biomateriali’s facilities in Brindisi, Italy and, upon request, BIOMATERIALI shall organize and coordinate the shipment to XXXXXXX’ premises according to XXXXXXX’ reasonable instructions provided that shipping charges shall be paid by XXXXXXX.

Shipment and Delivery Terms. Boise shall deliver written purchase orders to DSS in form and substance acceptable to the Parties from time to time. Products shall be shipped F.O.B. Henrietta, New York to Boise’s Regional Servicenters or other warehouses designated by Boise as Boise shall notify DSS in any purchase orders. Boise shall bear the cost of all carrier charges to its Regional Servicenters or other warehouses designated by Boise. Boise hereby acknowledges that depending upon the type and amount of Product ordered, delivery time may be as long as approximately six weeks. In addition, custom image designs requested by Boise may require additional delivery time and will require minimum order levels.

Blackboard agrees to exercise reasonable efforts to expedite particular shipments of Equipment and Cards when so requested by Customer, provided that Customer will be charged an additional fee equal to 10 percent (10%) of the total purchase price for the item being so shipped. The Equipment and Cards are deemed made available to the Customer on the date Blackboard ships the Equipment to Customer. All shipments shall be made FOB Destination.

Shipment and Delivery Terms. (a) Solaria will use reasonable efforts to meet scheduled delivery dates set forth in the Sales Order, but does not guarantee delivery by such dates. In the event Solaria delivers the Product more than 10 days after the scheduled delivery date set forth in the Sales Order due to any causes within Solaria’s control (“Late Delivery”), Solaria will pay to Purchaser, as liquidated damages, Solaria’s only obligation and Purchaser’s sole and exclusive remedy for such Late Delivery, an amount equal to one-tenth of one percent (0.1%) times the value of those Products delayed by the Late Delivery. Liquidated damages will accrue for each day any such Product is delayed due to a Late Delivery, up to a maximum of ten percent (10%) of the total value of the quantity of those Products delayed by the Late Delivery. (b) All deliveries shall be made EX WORKS (Incoterms 2020) Solaria manufacturing facility unless different terms are set forth in the applicable Sales Order. Solaria will employ standard packaging methodologies and package labeling unless otherwise specified and agreed in the Sales Order. Title and risk of loss for the Products shall pass to Purchaser upon delivery to the freight carrier at Solaria’s manufacturing facility. Purchaser shall be responsible for all unloading costs and provide equipment and labor reasonably suited for receipt of the Products at the delivery point. All Products shall be deemed accepted upon delivery in accordance with this subsection. (c) Upon Purchaser’s request and Solaria’s agreement, Solaria shall provide on-site engineering support with respect to the Products. Such support will be priced separately and will consist solely of advice on matters of application and installation of the Product. Notwithstanding Solaria’s pro- vision of on-site engineering support, Solaria shall not be responsible or liable for the installation, maintenance or op- eration of the Products.
Shipment and Delivery Terms. All Products will be shipped Ex Works (Incoterms 2020) KLS’s facility to the delivery address specified in the Order. Except as otherwise stated in the Order, KLS may ship all Products using the means and carrier of its choice. KLS reserves the right to deliver Orders in installments, where applicable, in which case KLS will send a separate invoice for each delivery. Customer will pay for all shipping, handling, insurance, processing fees, freight, tariffs and customs for Products shipped hereunder. Products are deemed shipped and delivered to Customer when tendered to the applicable commercial carrier at KLS’s facility. At this point, title to the Products passes to Customer (subject to Customer’s payment in full of all associated Fees, as that term is defined below) and Customer becomes responsible for risk of loss and damage. KLS does not clear Products for import into Customer’s country if outside the U.S., which is Customer’s sole responsibility. In the event the applicable Quotation specifies any delivery dates or lead times, KLS will use commercially reasonably efforts to ship Products by such delivery dates and/or in accordance with such lead times (based on the date of Order acceptance). Time of delivery or shipment is not of the essence hereunder.
