Spacecraft Launch Readiness Review (SLRR) Sample Clauses

Spacecraft Launch Readiness Review (SLRR). After shipment of the Satellite to its intended Launch Site and prior to Launch, Contractor shall conduct a Spacecraft Launch Readiness Review in accordance with the requirements of Section 2.4.11 of Exhibit A, Statement of Work. Contractor shall give Purchaser personnel reasonable advance notice of such Spacecraft Launch Readiness Review. The purpose of the Spacecraft Launch Readiness Review is to verify that all testing required under Exhibit D, Satellite Program Test Plan, has been successfully completed and the Satellite meets all the parameters required to be tested thereunder (including any waivers or deviations approved by Purchaser). The SLRR will be deemed successfully completed when the Parties agree the above-stated purposes of the SLRR have been met and the Satellite is ready to be integrated with the Launch Vehicle. Within twenty-four (24) hours after completion of the SLRR, Purchaser shall notify Contractor of its: (i) concurrence with the results of the SLRR, including any waiver of its right to compel correction of those non-conformances to the applicable provisions of Exhibit A or Exhibit D; or (ii) specific non-conformances of the Satellite to the requirements of Exhibit A or Exhibit D which are not the subject of any waivers or deviations approved by Purchaser. Purchaser’s notice shall state each such non-conformance (with reference to the applicable requirements of Exhibit A or Exhibit D deemed not met) it requires to be corrected or repaired, and Contractor shall correct or repair each such non-conformance and resubmit the Satellite for Purchaser’s concurrence. Failure to provide such notice within the time specified shall be deemed notice of Purchaser’s concurrence. Acceptance testing of encounter data is required as specified in Section 29(a)(v) of this Appendix.

  • Project Plan Based on the Project Specifications, Omnicare CR has provided a description of services to be performed for Sponsor’s “A multi-center, randomized, double-blind, double-dummy, vehicle-controlled sequential cohort study to determine the safety of PEP005 0.025% and 0.05% topical gel in patients with actinic keratoses” (hereinafter “the Project”) and associated costs. Changes made in the Project scope, at any time during the Project, will result in a corresponding adjustment to the Project costs.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Project Schedule Contractor shall perform the Work in accordance with the Project Schedule.

  • Review Scope The parties confirm that the Asset Representations Review is not responsible for (a) reviewing the Receivables for compliance with the representations and warranties under the Transaction Documents, except as described in this Agreement or (b) determining whether noncompliance with the representations and warranties constitutes a breach of the Eligibility Representations. For the avoidance of doubt, the parties confirm that the review is not designed to determine why an Obligor is delinquent or the creditworthiness of the Obligor, either at the time of any Asset Review or at the time of origination of the related Receivable. Further, the Asset Review is not designed to establish cause, materiality or recourse for any Test Fail (as defined in Section 3.05).

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.
