SPECIAL SERVICES FEES. If the Company requests that HFS provide Special Services (as defined and discussed in Section 9 hereinafter), the Company shall pay HFS such amount in respect of such Special Services as shall be agreed between the Company and HFS, which amount may include charges for setting up the required Special Service as well as for the performance thereof (the "SPECIAL SERVICES FEES").

SpinCo may request that Supplier or its Affiliates participate in meetings, telephone calls, training or other consultations beyond what is expressly provided for in the Schedules and which may be (a) necessary for Supplier and its Affiliates or SpinCo to perform their requirements as described in the Schedules, (b) desirable to SpinCo in order to perform its requirements described in the Schedules or (c) desirable to SpinCo in connection with the usage of the Verizon Proprietary Software (all such services in clauses, the “Special Services”). Supplier and its Affiliates shall provide reasonable services as requested following the Closing until the end of the term of this Agreement, at the rate of $ per hour (such fees for Special Services the “Special Services Fees”) In addition to any amounts payable pursuant to the preceding paragraph, SpinCo shall reimburse the Supplier for all reasonable out-of-pocket travel related costs (which shall be incurred in accordance with Supplier’s travel and expense policies) in connection with providing any Special Services hereunder.

Buyer, the Surviving Corporation or its representatives may request that Supplier or its Affiliates (1) participate in meetings, telephone calls, training or other consultations which may be (a) necessary for Supplier and its Affiliates or the Surviving Corporation to perform their requirements as described in Schedule A, (b) desirable to the Surviving Corporation in order to perform its requirements described in Schedule A or (c) desirable to the Surviving Corporation in connection with the usage of the Verizon Proprietary Software or (2) prepare a Linked Services Report as contemplated in Section 4.1 (all such services in clauses (1) and (2), the “Special Services”). SPECIAL SERVICES FEES. All special services fees, i.e., Police, Fire, and NOHA are due and payable according to the terms negotiated by each of the providers of the services.

SPECIAL SERVICES FEES. Special Services charges, for work not included in a Statement of Work and mutually agreed to by the parties, both in terms of scope and associated fees, shall be invoiced not more than weekly nor less than monthly. Such invoices shall be due and payable within 15 days of the date that the invoice is received by COMPANY.

SPECIAL SERVICES FEES. The Production Fee is established as consideration for standard methods of production and packaging of the Beverage in the manner set forth in this Agreement. In the event that Customer requests and Packer agrees to perform services beyond those expressly provided herein, the work associated therewith shall be deemed to be a Special Service expressly set forth in the Special Services Exhibit. In consideration of performing Special Service(s), Packer shall be compensated through payment of Special Services Fees as set forth in the Pricing Exhibit. Special Service Fees shall be paid by Customer in the same manner as Production Fees.
