STAFFING REQUIREMENTS AND EXPENSES. (a) The Permittee shall, to the extent required by applicable law or policy, maintain a main studio within the Station's principal community and have it staffed as required by FCC rules and policies. The Permittee shall be responsible for the payment of salaries, taxes, insurance and related costs of Station personnel, including managerial staff, at such main studio, subject to any reimbursement by Manager as provided under Section 1.4 of this Agreement. (b) Manager may establish, staff and maintain a remote control point for the Station, subject to the control and oversight of the Permittee, provided, that Permittee shall retain the right to preempt Manager's programming from that remote point. Manager shall be responsible for the payment of (i) all telephone calls associated with program production and listener responses, (ii) any fees billed by ASCAP, BMI and SESAC, and (iii) all other copyright fees attributable to programming provided by Manager under this Agreement.

The Licensee shall be responsible for the payment of salaries, taxes, insurance and related costs of Station personnel, including managerial staff, at the main studio, subject to any reimbursement by Manager as provided under Section 1.4(a) of this Agreement. (b) Manager may establish, staff and maintain a remote control point for the Station, subject to the control and oversight of the Licensee: provided, that Manager ensures that Licensee maintains the ability to preempt Manager's programming. Manager shall reimburse Licensee under Section 1.4 of this Agreement for (i) all telephone calls associated with program production and listener responses, (ii) any fees billed by ASCAP, BMI and SESAC, and (iii) all other copyright fees attributable to programming provided by Manager under this Agreement.

Throughout the Term of this Agreement, Licensee shall retain a General Manager and at least one other full-time employee and all other personnel, if any, required by the FCC for the Station. (b) In addition to the employees identified in subsection (a) of this section, Licensee may continue to employ such other personnel as Licensee deems appropriate and necessary, subject to the provisions of Section 1.4(b) of this Agreement. Licensee shall make its employees available for use by Broker in connection with Broker's fulfillment of its responsibilities under this Agreement: provided, that all such employees of Licensee shall at all times be subject to the ultimate control and supervision of Licensee. (c) Broker shall be responsible for the salaries, commissions, taxes, insurance and other related costs of all personnel employed by Licensee (including but not limited to on-air personalities, engineering personnel, sales persons, traffic personnel, board operators and other programming staff members) involved in the production, sale, and broadcast of its programming or administration with respect to the operations of the Station. Broker shall be fully responsible for all compensation and the immediate supervision and direction 5 of its employees, subject, however, to Licensee's ultimate control while Broker's employees are on the Station's premises. Broker may establish, staff and maintain a remote control point for the Station, subject to the control and oversight of the Licensee: provided, that Broker ensures that Licensee maintains the ability to preempt Broker's programming. Broker shall pay for (1) all telephone calls associated with program production, (2) any fees billed by ASCAP, BMI and SESAC, (3) all promotional expenses, and (4) all other copyright fees attributable to programming provided by Broker under this Agreement. (d) Notwithstanding anything to the contrary herein, Broker shall have the option to hire all of the Licensee's employees (except for those identified in subsection (a) of this section) when all of the Escrow Funds (less any distributions made therefrom in accordance with the terms of this Agreement) are distributed to the Selling Shareholders pursuant to Section 3.3 of the Escrow Agreement.

  • Staffing Requirements Licensee will be in full compliance with the main studio staff requirements as specified by the FCC.

  • Accounting Requirements CONTRACTOR shall comply with all applicable COUNTY, State, and Federal accounting laws, rules and regulations. CONTRACTOR shall establish and maintain accounting systems and financial records that accurately account for and reflect all Federal funds received, including all matching funds from the State, COUNTY and any other local or private organizations. CONTRACTOR’S records shall reflect the expenditure and accounting of said funds in accordance with all applicable State laws and procedures for expending and accounting for all funds and receivables, as well as meet the financial management standards in 45 CFR Part 92 and in the Office of Management and Budget 2 CFR Part 200 “Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards.”

  • Closing Requirements Closing shall occur after approval of title commitment, as described hereinabove. a) At closing, Seller shall do the following: 1. Duly execute, acknowledge and deliver to Buyer, a Quit Claim Deed conveying the Property to Buyer, free and clear of all liens, claims, pledges and encumbrances. b) At closing, Buyer shall do the following: 1.   • Entitlements and Purchasing Requirements You must purchase the appropriate number of Software Subscription(s), based on the number of Socket-pairs for all Managed Nodes being managed by the Red Hat CloudForms Software. A “Socket-pair” is up to two sockets each occupied by a CPU on a Managed Node. Red Hat CloudForms Software is configured to manage virtual machines on certain public clouds (a “Red Hat CloudForms Enabled Cloud”). You must purchase the appropriate number of Red Hat CloudForms for Public Cloud Software Subscriptions based on the number of Managed VMs instantiated on a Red Hat CloudForms Enabled Cloud. Please confirm that a specific public cloud is a Red Hat CloudForms Enabled Cloud prior to purchasing. A Red Hat Enterprise Linux Software Subscription is bundled with the Red Hat CloudForms Software Subscription and the fees for the Red Hat CloudForms Subscription are based on such bundled use. Any use of the Red Hat Enterprise Linux other than to run the Red Hat CloudForms Software is subject to Red Hat’s standard Software Subscription fees for such use.

  • Operating Requirements Any operating and technical requirements that may be applicable due to Regional Transmission Organization, Independent System Operator, control area, or the Connecting Transmission Owner’s requirements, including those set forth in the Small Generator Interconnection Agreement. Operating Requirements shall include Applicable Reliability Standards.

  • Safeguarding requirements and procedures (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls: (i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems). (ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute. (iii) Verify and control/limit connections to and use of external information systems. (iv) Control information posted or processed on publicly accessible information systems. (v) Identify information system users, processes acting on behalf of users, or devices. (vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems. (vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse. (viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals. (ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices. (x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems. (xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks. (xii) Identify, report, and correct information and information system flaws in a timely manner. (xiii) Provide protection from malicious code at appropriate locations within organizational information systems. (xiv) Update malicious code protection mechanisms when new releases are available. (xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

  • Training Requirements Grantee shall: A. Authorize and require staff (including volunteers) to attend training, conferences, and meetings as directed by DSHS; B. Appropriately budget funds in order to meet training requirements in a timely manner, and ensure that staff and volunteers are trained as specified in the training requirements listed at xxxxx://xxx.xxxx.xxxxx.xxx/hivstd/training/ and as otherwise specified by DSHS. Grantee shall document that these training requirements are met; and C. Ensure that staff hired for HIV and syphilis testing are trained to perform blood draws within three (3) months of employment.

  • Testing Requirements 12.1. Workplaces - 12.2. On workplaces where the value of the Commonwealth’s contribution to the project that includes the building work is at least $5,000,000, and represents at least 50% of the total construction project value or the Commonwealth’s contribution to the project that includes the building work is at least $10,000,000 (irrespective of its proportion of the total construction project value) the following minimum testing requirements must be adhered to.

The Grantee or Management Company shall complete a CRF Subsidy Request Report - Recap of Tenant Income Certification, which provides a unit-by-unit listing of all units in the Development for whom assistance is being requested and gives detailed information including the occupants’ eligibility, set-aside requirements, amount of household rent paid, utility allowance and amount of CRF Rental Subsidy requested. 2. The CRF Subsidy Request Report - Recap of Tenant Income Certification shall be prepared as of the last day of each calendar month during the period of performance and shall be submitted to XXXXxxxxxxxx@XxxxxxxXxxxxxx.xxx and Florida Housing’s monitoring agent no later than the 15th day of the following month. The December 2020 request will be due on or before December 15th. The Grantee will submit executed Coronavirus Relief Fund Rental Assistance Applications and supporting documentation to Florida Housing’s monitoring agent within 5 days upon the monitoring agent’s request.
