Standards of Performance and Conduct. During the Term of Employment, Employee faithfully and diligently shall discharge his obligations under this Agreement, and he shall perform the duties associated with his positions with the Bank in a manner which is reasonably competent and satisfactory to the Bank, and Employee shall comply with and use his best efforts to implement the Bank’s policies and procedures currently in effect or as are established from time to time by the Bank. In the execution of his employment duties under this Agreement, Employee shall, at all times and in all material respects, comply with any code of conduct or ethics policies applicable to Employee and/or the Bank’s employees in general, as in effect as of the Effective Date or as may be adopted, amended or supplemented from time to time subsequent thereto (the “Code of Conduct”), and with all federal and state statutes, and all rules, regulations, administrative orders, statements of policy and other pronouncements or standards promulgated thereunder, which are applicable to the Bank and its employees, business and operations.

During his employment, Employee shall (i) faithfully and diligently discharge his duties and responsibilities under this Agreement; (ii) perform in a reasonably competent manner the duties associated with his position with the Company; (iii) use his best efforts to implement the policies and procedures of the Company currently in effect or as established from time-to-time by the Company; and (iv) devote his full working time, attention, and efforts to the diligent performance of his duties herein specified and not accept employment with any other individual, corporation, or other entity, or engage as a corporate officer or employee in any other venture for profit, which may interfere in any way with Employee's performance of his duties hereunder; provided, however, that Employee shall not be restricted from personally and for his own account dealing and investing in real estate, securities, and other forms of investments for his own benefit. In the execution of his duties under this Agreement, Employee shall comply at all times and in all material respects with any code of conduct or other personnel policies and procedures adopted by the Company, as the same are in effect and as amended or supplemented from time-to-time, and with all applicable federal and state statutes and all rules, regulations, administrative orders, statements of policy, and other pronouncements or standards promulgated thereunder.

During the Term of Employment, Employee faithfully and diligently shall discharge Employee’s obligations under this Agreement, perform the duties associated with Employee’s positions with Employer in a manner which is reasonably competent and satisfactory to Employer and in accordance with any performance standards established from time to time by Employer, and make a reasonable effort in good faith to comply with and implement Employer’s policies and procedures in effect and as established from time to time by Employer. In the execution of Employee’s employment duties under this Agreement, Employee shall, at all times and in all material respects, comply with any codes or standards of conduct or ethics policies applicable to Employee and/or Employer’s employees in general, as in effect as of the Effective Date or as may be adopted, amended or supplemented from time to time subsequent thereto (the “Code of Conduct”), and with all federal and state statutes, and all rules, regulations, administrative orders, statements of policy, and other pronouncements or standards promulgated thereunder, which are applicable to Employer and its employees, business, and operations. Employee shall devote substantially all of the Employee’s time, energy and skill during regular business hours to the performance of the duties of the Employee’s employment (reasonable vacations and reasonable absences due to illness excepted).

During the Term of Engagement, Consultant faithfully and diligently shall discharge his obligations under this Agreement and perform his duties in a manner which is reasonably competent and satisfactory to FCB, and he shall make a reasonable effort in good faith to implement FCB’s policies and procedures in effect and as established from time to time by FCB. In the execution of his consulting duties under this Agreement, and, if he serves as a director of FCB or Bancorp, then in the course of such service, Consultant shall, at all times and in all material respects, comply with any codes or standards of conduct or ethics policies of FCB that apply to him as in effect as of the Effective Date or as may be adopted, amended or supplemented from time to time subsequent thereto (the “Code of Conduct”), and with all federal and state statutes, and all rules, regulations, administrative orders, statements of policy, and other pronouncements or standards promulgated thereunder, which are applicable to FCB and its business, and operations.
Standards of Performance and Conduct. During the Term of Employment, Executive shall:
(a) unless otherwise approved in writing by the Board of Directors, remain a full-time resident of Hyde County and reside within a 20-mile radius of Engelhard, North Carolina;
(b) faithfully and diligently discharge his obligations under this Agreement and perform the duties associated with his positions with the Bank and Bancorp, or otherwise assigned to him from time to time by the Bank’s or Bancorp’s Board of Directors, in a manner which is competent and reasonably satisfactory to the Boards of Directors;
(c) devote his full business time, attention, skill and efforts to the performance of his assigned duties as an officer of the Bank and Bancorp, subject to reasonable absences during periods of illness, vacation and other permitted leaves of absence consistent with the Bank’s personnel policies and procedures; provided, however, that subject to the terms of and any prior approval required by the “Code of Conduct” (as defined below), and to the other terms of this Agreement, Executive may devote personal time to service as a director or member of, or an advisor to, other organizations, to charitable and community activities, and to managing his personal investments, so long as those activities do not materially interfere with the performance of his duties under this Agreement and are not in conflict with, or adverse to, the interests of the Bank or Bancorp;
(d) comply with and use his best efforts to implement the Bank’s and Bancorp’s policies and procedures currently in effect or as are established from time to time by the Bank’s or Bancorp’s Board of Directors; and
(e) at all times and in all material respects, comply with any code of conduct or ethics policies applicable to Executive and/or the Bank’s and Bancorp’s employees, officers and directors in general, as in effect as of the Effective Date or as may be adopted, amended or supplemented from time to time subsequent thereto (the “Code of Conduct”), and with all federal and state statutes, and all rules, regulations, administrative orders, statements of policy, and other pronouncements or standards promulgated thereunder, which are applicable to the Bank and Bancorp and their officers, employees, directors, business, and operations.

If the Tutor’s standards of performance and conduct cause dissatisfaction, their services may be terminated and they may not be requested to undertake future services. The Organiser is to be required report to the British Wheel of Yoga as to the standards, performance and conduct of all Contractors providing services in order that an accurate and up to date Preferred List can be maintained.

During the Term of Employment, Officer faithfully and diligently shall discharge his obligations under this Agreement, perform the duties associated with Officer’s positions with FCB in a manner which is reasonably competent and satisfactory to FCB and in accordance with any performance standards established from time to time by FCB, and make a reasonable effort in good faith to comply with and implement FCB’s policies and procedures in effect and as established from time to time by FCB. In the execution of Officer’s employment duties under this Agreement, Officer shall, at all times and in all material respects, comply with any codes or standards of conduct or ethics policies applicable to Officer and/or FCB’s employees in general, as in effect as of the Effective Time or as may be adopted, amended or supplemented from time to time subsequent thereto (the “Code of Ethics”), and with all federal and state statutes, and all rules, regulations, administrative orders, statements of policy, and other pronouncements or standards promulgated thereunder, which are applicable to FCB and its employees, business, and operations. Officer shall devote substantially all of the Officer’s time, energy and skill during regular business hours to the performance of the duties of the Officer’s employment (reasonable vacations and reasonable absences due to illness excepted).

Employee, in the execution of his duties under this Agreement, at all times and in all material respects shall comply with Southern's Code of Conduct as the same is in effect as of the Effective Date and as it may be amended or supplemented from time to time subsequent thereto (the "Code of Conduct"), and with all applicable federal and state statutes and all rules, regulations, administrative orders, statements of policy and other pronouncements or standards promulgated thereunder.
