Study Preparation. High voltage transmission system and/or electric power distribution system interconnection design for any required Interconnection Facilities and/or System Upgrades will be performed under a Facilities Study Agreement between the Interconnection Customer and the Interconnection Provider. The Interconnection Provider may contract with consultants, including contractors acting on behalf of the high voltage transmission service provider or the electric power distribution service provider, as appropriate, to perform the bulk of the activities required under the Facilities Study Agreement. In some cases, the Interconnection Customer and the Interconnection Provider may reach agreement allowing the Interconnection Customer to separately arrange for the design of some of the required high voltage transmission or electric power distribution interconnection facilities. In such cases, facilities design will be reviewed and/or modified prior to acceptance by the Interconnection Provider, under the provisions of the Facilities Study Agreement. If the Parties agree to separately arrange for design and construction and provided security and confidentiality requirements can be met, Interconnection Providers shall make sufficient information available to the Interconnection Customer in accordance with confidentiality and critical infrastructure requirements to permit the Interconnection Customer to obtain an independent design and cost estimate for any necessary facilities.

  • Joint Preparation The preparation of this Agreement has been a joint effort of the parties and the resulting documents shall not, solely as a matter of judicial construction, be construed more severely against one of the parties than the other.

Registered sex offender restrictions: For work to be performed at schools, awarded vendor agrees that no employee of a sub-contractor who has been adjudicated to be a registered sex offender will perform work at any time when students are, or reasonably expected to be, present. Awarded vendor agrees that a violation of this condition shall be considered a material breach and may result in the cancellation of the purchase order at the TIPS Member’s discretion. Awarded vendor must identify any additional costs associated with compliance of this term. If no costs are specified, compliance with this term will be provided at no additional charge. Safety measures: Awarded vendor shall take all reasonable precautions for the safety of employees on the worksite, and shall erect and properly maintain all necessary safeguards for protection of workers and the public. Awarded vendor shall post warning signs against all hazards created by the operation and work in progress. Proper precautions shall be taken pursuant to state law and standard practices to protect workers, general public and existing structures from injury or damage.

  • Preparations No more than three (3) preparations per professor per term shall be the goal of the District and the Association. If more than three (3) preparations are necessary to meet particular needs of students or to meet the unique needs of a department, such additional preparations will only be assigned by the appropriate administrator following discussion with all affected members of the department. When such additional preparations are necessary, they shall be distributed equitably among department members.

  • DOCUMENT PREPARATION The Transfer/Deed shall, save for the Land Transfer Tax Affidavit, be prepared in registrable form at the expense of Seller, and any Charge/Mortgage to be given back by the Buyer to Seller at the expense of the Buyer.
