Sub-tier Suppliers Sample Clauses

Sub-tier Suppliers. After Tesla has approved of the PPAP Submission, Supplier and its Sub-tier Suppliers shall not subcontract with any new or different Sub-tier Supplier as to such Items without the prior written approval of Tesla. Supplier agrees to inform Tesla of any process or Sub-tier Supplier changes related to Items (including, for example, obsolescence of components, any changes in the manufacturing process of a Sub-tier Supplier, or a transfer of any portion of the design, manufacturing, or assembly process to a different facility), not less than one hundred eighty (180) days prior to the date the Supplier or Sub-tier Supplier is contemplating the implementation of the change.

Sub-tier Suppliers. It is the Seller’s responsibility to ensure that all of their sub-tier suppliers meet all terms and conditions listed within this Agreement.

Sub-tier Suppliers. After Applied has approved of the First Article of an Item, Supplier shall not subcontract with a new or different Sub-tier Supplier as to such Item, without the prior written approval of Applied. Supplier agrees to use best efforts to inform Applied of any process or Sub-tier Supplier changes related to Items (including, for example, obsolescence of components or any changes in the manufacturing process of a Sub-tier Supplier) at least [* *] prior to the date the Supplier is contemplating the implementation of the change, and further agrees that any such notice will not be less than [* *] days. Supplier shall inform Applied by following the notification processes set forth in the Supplier Notification Form (SNF) located on the Applied Web Site.

Sub-tier Suppliers. After consent of Buyer to assign, the Seller shall flow down to their sub- tier suppliers all applicable requirements, including customer requirements and government regulations. (See External Provider Flow Down Requirement).

Sub-tier Suppliers. Section 5.1 Management of Sub-Tier Suppliers. (a) Schedule I hereto sets forth each Approved Sub-Tier Supplier and indicates whether such supplier is a Xerox Sub-Tier Supplier or Flextronics Sub-Tier Supplier. Xerox and Flextronics shall subsequently identify any new Sub-Tier Suppliers as either a Xerox Sub-Tier Supplier or a Flextronics Sub- Tier Supplier. In addition, Xerox and Flextronics shall take commercially reasonable steps to transition certain Xerox Sub-Tier Suppliers to Flextronics Sub-Tier Suppliers as the parties shall mutually agree. Flextronics shall be responsible for obtaining any and all Components from all Sub-Tier Suppliers to the extent the same are necessary for Flextronics and the Flextronics Affiliated Companies to fulfill its obligations under this Agreement and Flextronics shall be the party responsible for the day-to-day contact with all Sub-Tier Suppliers that may be necessary for Flextronics and the Flextronics Affiliated Companies to perform their obligations under this Agreement. No subcontracting of the manufacture and/or supply of any Component by Flextronics or any Flextronics Affiliated Company to any Sub- Tier Supplier shall relieve Flextronics from its responsibility for delivering to Purchasers all Products required to be delivered by Flextronics to Purchasers under this Agreement. (b) Flextronics shall take all commercially reasonable steps necessary to ensure that all Sub-Tier Suppliers provide Flextronics or any Flextronics Affiliated Company or any Purchaser with Components in accordance with the applicable Specifications, within the specified delivery times and in accordance with any other term and condition applicable to a Component supplied by such Sub-Tier Supplier under this Agreement. (c) The failure of a Sub-Tier Supplier to provide Flextronics or any Flextronics Affiliated Company or any Purchaser with Components in accordance with the applicable Specifications, within the specified delivery times and in accordance with any other term and condition applicable to a Product supplied by such Flextronics Sub-Tier Supplier under this Agreement shall not relieve Flextronics of its obligations under this Agreement.

Sub-tier Suppliers. Supplier is responsible for the quality and conformance of all material, supplies and services not provided to supplier by Alard.

Sub-tier Suppliers. 11.1 The Supplier shall require all Sub-tier Suppliers to enter into written agreements with the Supplier obligating the Sub-tier Suppliers, when acting in their capacity as Sub-tier Suppliers, to conduct themselves in a way that is consistent with the terms of the Purchase Agreement, including to undertake each action that is required of the Supplier with regard to such Sub-tier Supplier under these terms. The Supplier will be responsible for any and all actions, omissions, and defaults of any Sub-tier Supplier as if they were the actions, omissions, or defaults of the Supplier. 11.2 Upon the Buyer’s request, the Supplier shall (i) confirm to the Buyer in writing that all Sub-tier Suppliers have entered to written agreements with the Supplier in accordance with section 11.1, and (ii) enforce the Supplier’s rights under such agreements for the benefit of the Buyer. 11.3 At the written request of the Buyer, the Supplier shall use a Directed Sub-tier Supplier as the supplier for the goods and/or services stated in that request. The Buyer shall also have the right to bring any claims against a Directed Sub-tier Supplier for any non-conforming goods and/or services supplied by that Directed Sub-tier Supplier, and the Supplier shall procure that the Buyer has such a right, unless the subject matter of the claim is covered by a separate agreement by the Buyer and the relevant Directed Sub-tier Supplier. 11.4 The subcontracting of any work to Sub-tier Suppliers will not relieve the Supplier from any of its obligations under the Purchase Agreement, except that the Supplier shall not, subject to the fulfilment of its obligations stated in this section 11, be responsible for any Non- Conforming Goods if such non-conformance is solely attributable to actions, omissions or defaults of a Directed Sub-tier Supplier.

Supplier agrees to inform Applied of any [**] not less than [**] prior to the date the [**] Sub-tier Supplier is contemplating the implementation of the change, by following the notification processes set forth in Attachment 13 entitled “Supplier Notification Form (SNF)” located on the Applied Web Site. Sub-tier Suppliers. After Applied has approved of the First Article of an Item, Supplier shall not subcontract with a new or different Sub-tier Supplier as to such Item, without the prior written approval of Applied. Supplier agrees to inform Applied of any process or Sub-tier Supplier changes related to Items (including any changes in the manufacturing process of a Sub-tier Supplier) not less than sixty (60) days prior to the date the Supplier is contemplating the implementation of the change by following the notification processes set forth in Attachment 13 entitled "Supplier Notification Form" located on the Applied Web Site.

Sub-tier Suppliers. Supplier shall implement and maintain sub-tier supplier control. Control measures shall be sufficient to ensure that sub-tier suppliers’ manufacture, package, label, test and release of Products are consistent with this Quality Agreement.
