Submission of material. 1. The Contractor draws the Customer's attention to the fact that the file format of the material to be submitted can only be ready-to-print CMYK Composite PDF or Composite PostScript. Images should be in CMYK, 300 DPI, preferably without JPG compression. All the fonts contained in the file should be embedded or outlined. For materials submitted in a different format than the above, the Contractor shall charge a preparation cost for the production of the ready-to-print material. 2. The Contractor reminds the Customer that the file should only contain colours that will actually be printed. When applying spot colours, only the appropriate components (objects, fonts, images, etc.) should be given in spot colours (which are also indicated in the order as spot colours). Superfluous spot colours must be converted to the CMYK colour model. When UV varnish, enamel or a cutting die is used, these layers must be specified as spot colours (on a special colour separation). 3. Pages must be submitted by the Customer with crop marks, registration marks and, if necessary, with bending, folding or perforation marks. When submitting multi-page materials, brochures, or books, the inside pages and the cover must be sent in separate files. The cover pages should be provided in pairs (B4-B1 cover outside pages, B2-B3 inside pages), and inner pages as pages (i.e. not in page pairs) and in a single file. If a publication contains a blank page, it should also be included in the submitted file at the correct place. In the case of glue binding, the size of the spine and any opening bending must be included in the size of the cover page pair. In the case of stapling, the number of pages must be divisible by 4. 4. The files submitted must be dimensioned as specified in the order with 5 mm extra margin each for bleed margin. 5. The Contractor takes no responsibility for any errors in content or grammar after proofreading/approval. 6. For printing jobs involving variable data, in addition to the conditions for material submission regarding classical printing products (layout), in each case, the final database containing the variable data, its logical description and, if necessary, the transformations must be provided. 7. Submission of material. During the Submission Period, Writer shall submit exclusively to Producer, on a first look basis, all material created, owned or controlled by Writer or otherwise available for sale to Producer, and all motion picture projects, ideas or notions of Writer, which Writer desires to develop into a screenplay for a potential feature length theatrical motion picture, regardless of the form of the material (collectively and individually, "Writer's Submissions"). During the Submission Period, except as provided in Paragraph 3 below, Writer shall not submit or cause to be submitted, directly or indirectly, any such material to any person, firm, corporation or entity other than Producer for any purpose. There shall be at least three (3) original Writer’s Submissions during the Submission Period unless the first or second Writer’s Submission is approved by Producer or a Producer’s Submission (as defined below) is accepted by Writer, in which case, Writer shall have no further obligation to submit projects in connection with the Blind Commitment Picture. Also, during the Submission Period, Producer may submit to Writer ideas (regardless of the form of the material) for development as potential theatrical motion pictures ("Producer's Submissions"). Producer shall have fifteen (15) business days after receipt of each Writer's Submission in which to accept or reject the same as the basis for the Blind Commitment Picture, and Writer shall have fifteen (15) business days after receipt of each Producer's Submission in which to accept or reject the same as the basis for the Blind Commitment Picture, with failure to respond within the applicable time period deemed a rejection. If either party accepts one of the other's submission and provided Producer is able to obtain signed agreements for any and all necessary underlying rights from third parties, then, the applicable submission shall be deemed the Blind Commitment Picture. If, upon expiration of the Submission Period, none of Writer's Submissions or Producer's Submissions have been mutually approved, then, within ten (10) business days after the expiration of the Submission Period (“Producer’s Designation Period”), Producer may designate the idea, project or notion for Writer as the basis for the Blind Commitment Picture and Writer shall perform writing services in connection with the Blind Commitment Picture for Producer (“Designated Project”). Submission of material. Where model release has been obtained this should be identified clearly at the time of submission and clearly stated in the IPTC caption metadata. If any clearances or permissions are required, the Photographer must inform the Agent of this fact at the time of submission. The Agent accepts no responsibility where it has not been properly informed about any such restrictions at the appropriate time. The Photographer will provide images in digital format – file size minimum 20- 50mb, 300dpi, with comprehensive IPTC caption information. These images will be made available by a suitable method (ftp/CD/DVD computer hard drive or other mass storage device).
Submission of material. GD3 may enable END USER to submit information to potentially be included as Metadata in GD3’S databases. END USER agrees that any information submitted to GD3 may be included or excluded from the databases at GD3’s sole discretion. END USER hereby grants GD3 a non-exclusive, perpetual license and permission to copy and include any such submitted information as Metadata in GD3’s databases and to make such information available to third parties who may access GD3’s databases. END USER agrees to indemnify and hold harmless GD3 from any and all claims, losses, liabilities, damages or expenses (including reasonable attorney fees) associated with claims, lawsuits and/or demands which are due to GD3’s use of information submitted by END USER.

  • Review of Materials During the term of this Agreement, Client shall ensure that all prospectuses, statements of additional information, registration statements, proxy statements, reports to shareholders, advertising and sales literature or other materials prepared for distribution to Fund shareholders or the public, which refer to the Subadviser in any way, prepared by employees or agents of Client or its affiliates are consistent with information previously provided by Subadviser. Subadviser shall promptly notify the Client of any changes to information pertaining to the Subadviser and stated in the materials described in this Section 6(g).

  • Distribution of Materials You will keep an accurate record of the names and addresses of all persons to whom you give copies of the Registration Statement, the Prospectus, any Preliminary Prospectus (or any amendment or supplement thereto) or any Offering Circular or any Preliminary Offering Circular and, when furnished with any subsequent amendment to the Registration Statement, any subsequent Prospectus, any subsequent Offering Circular or any memorandum outlining changes in the Registration Statement or any Prospectus or Offering Circular, you will, upon request of the Manager, promptly forward copies thereof to such persons.

  • Return of Materials Upon termination or expiration of this Agreement, or upon written request of the Owner, the Recipient shall promptly return to the Owner all physical and digital materials representing the Owner's Confidential Information and all copies thereof.
