Subscription Services Fees. The fees for Subscription Services will be specified by KnowBe4 and will be applicable for the period specified in the KnowBe4 Quote (as applicable). If no period is specified, pricing will be applicable for thirty (30) calendar days. Notwithstanding the foregoing, prices may be subject to increase upon the renewal of a Quote, or in the event Customer adds on or upgrades the Subscription Services during the Subscription Term specified in the Quote. Fees do not include any taxes, levies, duties, or similar governmental assessments of any nature including, for example, value-added; sales; use; or withholding taxes, assessable by any jurisdiction whatsoever (collectively, “Taxes”). Customer is responsible for paying all Taxes associated with its purchases hereunder. If KnowBe4 has the legal obligation to pay or collect Taxes for which Customer is responsible under this Section, KnowBe4 will invoice Customer and Customer will pay that amount unless Customer provides KnowBe4 with a valid tax exemption certificate authorized by the appropriate taxing authority. For the avoidance of doubt, KnowBe4 is solely responsible for taxes assessable against it based on its income, property, and employees. Except as otherwise specified herein or in a Quote: (a) fees are based on the Subscription Services acquired and not actual usage; (b) payment obligations are non-cancelable and fees paid are non-refundable, except where expressly permitted herein; and (c) the Subscription Term and quantities purchased cannot be decreased during the applicable Subscription Term. For clarity, Customer is responsible for any payments owed but not paid by any Affiliates ordering Subscription Services hereunder. In the event Customer requires KnowBe4 to use a vendor payment portal or compliance portal which charges KnowBe4 a fee or a percentage of any uploaded invoice as a required cost of doing business,, Customer shall be invoiced by KnowBe4 for, and Customer is obligated to pay, the cost of any such fees.
Subscription Services Fees. Unless otherwise specified on the Order Form, all Subscription Services Fee invoicing shall commence upon the earlier of (a) Initial Order Start Date, or (b) the date that is one hundred and twenty (120) days following the Effective Date.
Subscription Services Fees. US Export Controls and Trade Sanctions shall mean all laws, regulations and orders of the United States relating to export controls and trade sanctions, including but not limited to the Export Control Reform Act of 2018, the Trading with the Enemy Act (50 U.S.C. App. 1 et seq.), the International Emergency Economic Powers Act (50 U.S.C. §§ 1701-1707), and any regulations or orders issued pursuant thereto,
Subscription Services Fees. 1) Project Management and Implementation Fees: One-time fee of USD[***] ([***] United States Dollars) for professional services relating to the deployment and configuration of the Subscription Software.
2) Infrastructure Implementation Fees: One-time fee of USD[***] ([***] United States Dollars) for professional services relating to the set-up of the application hosting environment.
Subscription Services Fees. Client shall pay fees for Subscription Services which shall commence on the date on which Subscription Services are first made Available to Client and shall be invoiced from such date to the anniversary of the then-current term and then annually in advance on the anniversary of each term. In addition to the Annual Adjustment, Subscription Services fees may be subject to increase following: changes in accounts processed; asset size; user seats; end user accounts, or other limitations set forth in the Schedule offering Subscription Services or from time to time upon reasonable notice to Client in the event fees are increased by Fiserv’s third party service provider.
Subscription Services Fees. Customer will pay Skedulo the fees for the Services set forth in the applicable Order Form. All payments are due in U.S. dollars unless otherwise indicated on the Order Form or invoice. Customer is responsible for providing complete and accurate billing and contact information to Skedulo and updating Skedulo of any changes. All fees paid are non-refundable except as set forth in this Agreement and not subject to set-off. If Customer is purchasing the Services from a reseller, Customer’s payment obligations may be to the reseller.

Except as otherwise specified herein or in an Order, (i) fees are based on Subscription Services purchased, regardless of usage, (ii) payment obligations are non-cancellable, (iii) all Subscription Services shall be deemed accepted upon delivery,
