Supplier’s obligation under clause 16.1 is subject to the Goods being returned, if Supplier so requires, by Buyer to Supplier carriage paid. Supplier will refund to Buyer the cost of carriage on the return of any such defective Goods if Buyer’s warranty claim is substantiated to the reasonable satisfaction of Supplier, and will deliver any repaired or replacement Goods to Buyer at Supplier’s own expense.
Supplier’s obligation. In consideration of Control4’s purchase commitments in this Agreement, Supplier agrees to commit to the design and development, production, and manufacturing of the Product, including without limitation completing all necessary design implementations, hiring necessary staff and other resources, and committing to the development of proper tooling for manufacturing and/or applicable testing of the Products set forth in Schedule A.
Supplier’s obligation. 1.1 The Supplier will supply the Goods in accordance with the Contract Documents.
1.2 The quantity quality and description of the Goods shall be as set out in the Specification or any written variation included in the Contract Documents.

1.4 The Goods shall be fit and sufficient for all the purposes for which such Goods are ordinarily used and for any particular purpose made known to the Supplier by the Council and the Council relies on the professional expertise of the Supplier in the supply of the Goods and the execution of the contract.
1.5 The Goods shall mean any part or all parts of the items specified in the Specification and the term The Goods shall apply as applicable
Supplier’s obligation. If the Source Code Recreation Letter of Credit is not sufficient to cover Company’s associated consultant fees and other costs and expenses to develop and recreate the Source Code, Supplier shall pay to Company the difference within ten (10) Days of Company’s written notice to Supplier.

Supplier’s obligation. The Supplier shall provide the Service to the Customer with an annual availability of at least 99 per cent. The measurement period is weekdays between 08.00 and 17.00. The downtime is calculated from when the failure was reported by Customer to provider. Provider may take the Service down for maintenance, updates and upgrades of software or hardware for four (4) days a year, so-called "Planned Service Windows", provided that the Customer is informed of this at least two weeks in advance. Time when access to the Service is prevented due to Planned Service Windows shall not be taken into account when calculating the availability. The Supplier's liability for breach of availability is for each calendar year limited to an amount corresponding to one (1) month's subscription fee for the Service for the calendar year during which the Supplier failed to meet the availability. The Supplier offers the Customer support as described in the Provider support definition. Customer's data is secured through daily data backup at night. Upon termination of the Agreement, the Customer may within three (3) months after termination, request to receive the Customer's data as a simplified database file with associated invoice images at Customer’s cost. Upgrades of the Service will take place during pre-announced service windows. New versions of MediusGo are continuously being developed. Updates of the operating environment is made continuously and such updates may entail both new functionality and changes to existing functionality.
Supplier’s obligation. Lead time: Lead time for Products ordered hereunder shall be 12 weeks for the first order after reception of the final art work data signed by both supplier and buyer, and then 8 weeks after receipt of all other orders. Shipment time by ocean shall be 4/5 weeks; by air-freight shall be 1 week. Shipment time shall be added to lead time for purposes of scheduling delivery. 50% of total billing for the first order only, will be paid by money bank transfer at order time.
Supplier’s obligation. 13.1 Make good
13.2 The Supplier will, within a reasonable time of any damage occurring, make good any damage to the System or Licensed Area, or the Property, that is caused by the Supplier due to the Installation or removal of the System or by the lack of care, misuse, neglect, or default, omission, on the part of the Supplier. The Supplier acknowledges and agrees that the Landowner has obligation or duty to make any alterations, improvements, or repairs, in and to the Licensed Area, to make the Licensed Area ready for Installation, and the Supplier accepts the Licensed Area in its present condition.
Supplier’s obligation. Supplier agrees to deliver goods and/or perform the services as described in the Purchase Order and in accordance with the Agreement.

The Supplier agrees to proceed diligently with the performance of the Work hereunder, including the Delivery of the Work, pending resolution of any such Dispute, unless otherwise instructed by the Purchaser. When the resolution of the Dispute leads to a modification of the Contract, the Parties shall proceed with the relevant amendment of the Contract.
