Suspension or termination by Provider. (a) Provider may suspend or terminate the Network Services or this Agreement upon providing written notice to Customer: (i) if the provision of Network Services may cause Provider to violate any law, rule, regulation or governmental code, order or policy ("Law"); (ii) if any change in applicable Law that, in any way, prohibits the provision of, or requires alteration of the Network Services provided hereunder; or (iii) any cessation of a third-party subcontractor or vendor relationship with Provider or discontinuance of equipment or a component of Network Services necessary to continue the provision of such, except that Provider will use commercially reasonable efforts to continue to provide comparable Network Services, component of the Network Services or equipment through another vendor under comparable terms and conditions.

Suspension or termination by Provider. Provider may terminate this Agreement and any and all Service Orders, and the delivery of Services there under, at any time upon giving Customer two (2) business days written notice of such termination, during which time the Customer shall have the opportunity to cure, in the event that Provider determines, in its sole and absolute discretion, that: (a) Customer has failed to make payments or to perform any other obligation or condition of this Agreement or a Service Order; (b) Customer is using the Services in a manner that interferes with or otherwise disrupts services provided by Provider to others; (c) Customer has used, attempted to use, intends to use, or is using the Services in violation of any applicable Law; (d) Customer is insolvent, has made a general assignment for the benefit of creditors, has filed, or had filed against it, a petition in bankruptcy, or has had a receiver or trustee appointed for it or any of its assets; (e) Customer has made an unauthorized assignment of the Agreement or a Service Order; or (f) in the event that Provider has required Customer to provide a forecast covering a good faith estimate of the traffic volume and distribution for the ordered Services, Customer’s usage exceeds such forecast provided. In the event of termination by Provider under this Section 11.2, Customer shall pay to Provider, upon demand, all amounts specified in Section 11.1 hereof, as a cancellation charge and not as a penalty, and Provider may exercise any and all remedies at law, in equity and/or under this Agreement. Provider may suspend any or all of the Services being provided to Customer immediately if any of the foregoing grounds for termination exists. If Services are suspended, a restoration charge may apply and a deposit in an amount equal to one (1)-month’s recurring charges, or greater, may be required, at Provider’s sole discretion, prior to restoring the Services. In addition, if Provider discovers or suspects that Xxxxxxxx has engaged in, attempted to engage in, intends to engage in, or is engaging in fraudulent or other unlawful activity,
Suspension or termination by Provider. (a) The Provider may, without notice, suspend or terminate, or deny the access or use of, the Recruitment Services: (i) if the Candidate supplies false, misleading or deceptive statements or claims to the Provider and/or the prospective employer; or (ii) if the Candidate fails to comply with any other provisions in this Agreement, or do, or allow to be done, anything which in the opinion of the Provider, may have the effect of jeopardising the performance of obligations by the Candidate under this Agreement, until the breach (if capable of remedy) is remedied; (iii) if the Candidate is Insolvent; or (iv) if a Force Majeure Event continues beyond one (1) month from the date of commencement of such event; (b) Unless Clause 13.2(a)(iv) applies, any reactivation or resumption of access and use of the Recruitment Services shall be made entirely at the Provider’s discretion and on any terms and conditions as the Provider thinks fit, including the condition for payment of a reactivation fee.
Suspension or termination by Provider. (a) The Provider may, without notice, suspend or terminate, or deny the access or use of, the Advertising Services: (i) if the Advertiser fails to comply with any provision in this Agreement (including failure to pay all Advertising Fees due and any other charges imposed in respect of the same), or do, or allow to be done, anything which in the opinion of the Provider, may have the effect of jeopardising the performance of obligations by the Advertiser under this Agreement, until the breach (if capable of remedy) is remedied; (ii) if the Advertiser is Insolvent; or (iii) if a Force Majeure Event continues beyond one (1) month from the date of commencement of such event; (b) Unless Clause 16.2 (a) (iii) applies: (i) the Advertiser shall remain liable for all Advertising Fee and any other charges due and payable under this Agreement throughout the period of suspension; and (ii) any reactivation or resumption of access and use of the Advertising Services shall be made entirely at the Provider’s discretion and on any terms and conditions as the Provider thinks fit, including the condition for payment of a reactivation fee.

  • Suspension or Termination In accordance with 24 CFR 85.43, the Grantee may suspend or terminate this Agreement if the Recipient materially fails to comply with any terms of this Agreement, which include (but are not limited to), the following: 1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Recipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee or the Recipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

  • Suspension or Termination of Sales Consistent with standard market settlement practices, the Company or the Agent may, upon notice to the other party hereto in writing or by telephone (confirmed immediately by verifiable email), suspend any sale of Shares, and the period set forth in an Issuance Notice shall immediately terminate; provided, however, that (A) such suspension and termination shall not affect or impair either party’s obligations with respect to any Shares placed or sold hereunder prior to the receipt of such notice; (B) if the Company suspends or terminates any sale of Shares after the Agent confirms such sale to the Company, the Company shall still be obligated to comply with Section 3(b)(v) with respect to such Shares; and (C) if the Company defaults in its obligation to deliver Shares on a Settlement Date, the Company agrees that it will hold the Agent harmless against any loss, claim, damage or expense (including, without limitation, penalties, interest and reasonable legal fees and expenses), as incurred, arising out of or in connection with such default by the Company. The parties hereto acknowledge and agree that, in performing its obligations under this Agreement, the Agent may borrow Common Shares from stock lenders in the event that the Company has not delivered Shares to settle sales as required by subsection (v) above, and may use the Shares to settle or close out such borrowings. The Company agrees that no such notice shall be effective against the Agent unless it is made to the persons identified in writing by the Agent pursuant to Section 3(b)(i).

  • Expiration or Termination A. Owner shall have the right, upon thirty (30) days prior written notice to Operator, to terminate this Agreement in its entirety, upon or after the happening of one or more of the following events, if said event or events shall then be continuing: (i) If Operator shall make a general assignment for the benefit of creditors; or (ii) If Operator shall file a voluntary petition in bankruptcy or a petition seeking their reorganization or the readjustment of their indebtedness under the Federal Bankruptcy laws or under similar State laws; or (iii) If an involuntary petition in bankruptcy shall be filed against Operator and Operator is thereafter adjudicated a bankruptcy thereunder; or (iv) If Operator shall consent to the appointment of a receiver, trustee, or liquidator of all or substantially all of the property of Operator; or (v) If Operator shall fail to pay the SASO Fee or other money payments required by this Agreement and such failure shall not be remedied within thirty (30) days following receipt by Operator of written demand from Owner; or (vii) If Operator shall default in fulfilling any of the terms, covenants or conditions to be fulfilled by them hereunder and shall fail to commence with due diligence the remedying of said default within thirty (30) days following receipt by Operator of written demand from Owner to do so. B. Operator shall have the right, after thirty (30) days written notice to Owner, to terminate or suspend this Agreement upon the happening of one or more of the following events, if said event or events shall then be continuing: (i) The issuance by any court of competent jurisdiction of an injunction, order or decree preventing or restraining the use of the Airport for normal airport purposes or the use of any part thereof which may be used by Operator and which is necessary for Operator's operations of the Airport, which remains in force for a period of at least ninety (90) consecutive days. (ii) If Owner shall default in fulfilling any of the terms, covenants or conditions to be fulfilled by it under this Agreement and shall fail to cure said default within thirty (30) days following receipt of written demand from Operator to do so; or (iii) If all or a mutual part of the Airport or Airport facilities shall be destroyed by fire, explosion, earthquake, other casualty, or acts of God or the public enemy; (iv) If the United States Government or any of its agencies shall occupy the Airport or any substantial part thereof to such an extent as to interfere materially with Operator’s operations, for a period of thirty

  • Modification or Termination The Loan Documents may only be modified or terminated by a written instrument or instruments intended for that purpose and executed by the party against which enforcement of the modification or termination is asserted. Any alleged modification or termination which is not so documented shall not be effective as to any party.

The termination or resignation of such Master Servicer, as Master Servicer under the Lead Securitization Servicing Agreement, shall be deemed a termination or resignation of such Master Servicer as Agent under this Agreement, and any successor master servicer shall be deemed to have been automatically appointed as the successor Agent under this Agreement in place thereof without any further notice or other action.

  • SUSPENSION & TERMINATION FOR DEFAULT Enterprise Services may suspend Contractor’s operations under this Master Contract immediately by written cure notice of any default. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Master Contract.
