Tasks and Timeframe. Vendor shall perform the following Services in accordance with the terms and conditions of the Master Services Agreement and ARIAD’s PASS Program Business Rules, and Vendor shall be compensated in accordance with the associated Service Fee identified below. Time is of the essence in the delivery of all services and deliverables. Vendor represents and warrants that none of the Services described in the SOW #3 for which fees are to be paid are standard services that Vendor ordinarily performs for patients absent payment from any manufacturer.   • Timeframes For continuous short-term travel of more than 24 hours but less than 31 days, the employee will be reimbursed for actual costs up to the maximum allowance for each meal, incidental, and lodging expense for each complete 24 hours of travel, beginning with the traveler's time of departure and return as follows: (a) On the first day of travel on a trip of 24 hours or more: Trip begins at or before 6 am Breakfast may be claimed Trip begins at or before 11 am Lunch may be claimed Trip begins at or before 5 pm Dinner may be claimed (b) On the fractional day of travel at the end of a trip of more than 24 hours: Trip ends at or after 8 am Breakfast may be claimed Trip ends at or after 2 pm Lunch may be claimed Trip ends at or after 7 pm Dinner may be claimed If the fractional day includes an overnight stay, receipted lodging may be claimed. The Pricing Agent may not rely upon quotes from Seller or any Affiliate of Seller. The updated mark for a month will be equal to the average mark for that month over all sources from which a quote is available. The day X On-Peak mark for August 2011 is set at 73.00 * [76.50] / [( (73.50 * 352) + (76.50*336) ) / (352+336) ] = 73 * (76.50 / 74.97) = $74.49/MWh. ▪ If the other month/months of the package quote is/are available, then the mark for the month will be set such that the average of the month and the other month(s) (weighted for either the On-Peak Hours or Off-Peak Hours as applicable) equals the packaged quote (see calculation example below).

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Minimum Shipping Requirements for TIPS Sales Vendor shall ship, deliver, or provide ordered goods and services within a commercially reasonable time after acceptance of the order. If a delay in delivery is anticipated, Vendor shall notify the TIPS Member as to why delivery is delayed and provide an updated estimated time for completion. The TIPS Member may cancel the order if the delay is not commercially acceptable or not consistent with the Supplemental Agreement applicable to the order.
