Tata Code of Conduct. The provisions of the Tata Code of Conduct shall be deemed to have been incorporated into the Agreement by reference. The Managing Director shall during his term, abide by the provisions of the Tata Code of Conduct in spirit and in letter and commit to assure its implementation.
Tata Code of Conduct. Exhibit C contains abstract of the TATA Code of Conduct. The Customer agrees to make good faith efforts to notify the Vendor Project Manager or other the Vendor executives of any breach of the TATA code of conduct by any Vendor personnel relating to this Agreement.

The Subscriber therefore undertakes to conduct its business affairs at all times by following in letter and spirit the Code. The Subscriber agrees to take immediate steps to make all its employees aware of the Code, obtain their commitment and ensure their adherence to the Code. The Subscriber shall also create the climate and provide opportunities for the voicing of genuinely held concerns about behaviour or decisions that are perceived to be in contravention of the Code to enable remedial action to be taken.

Tata Code of Conduct. The TATA name represents more than a century of ethical conduct of business in a wide array of markets and commercial activities in India and abroad. As the owner of the TATA xxxx, Tata Sons Limited (“Tata Sons”) wishes to strengthen the TATA brand by formulating “The TATA Code of Conduct” (“the Code”) enunciating the values which have governed and shall govern the conduct and activities of companies associating with or using the TATA name and of their employees. Although it shall be the responsibility of all employees of a TATA Company to ensure compliance with the Code it shall be the obligation of the senior management of the TATA Company to establish and maintain the Company’s conduct of business in accordance with the Code as well as supervise compliance with the Code. Any actual or perceived violation of the Code reported to the management of the Company shall be duly investigated and appropriate corrective actions taken. The management of a TATA company shall apply appropriate disciplinary actions against employees who willfully do not comply with the Code. The management of the TATA Company shall also keep the Corporate Assurance Department of Tata Sons duly apprised of such matters and submit annually a declaration or compliance report as may be prescribed. Tata Code of Conduct. As an Independent Director of the Company, you agree to comply with the Tata Code of Conduct for Non-Executive Directors (NEDs). For your reference, the Code of Conduct for Non-Executive Directors is outlined below: • Non-Executive Directors of a Company will always act in the interest of the Company and ensure that any other business or personal association which they may have, does not involve any conflict of interest with the operations of the Company and his/ her role therein, • Non-Executive Directors will comply with all applicable laws and regulations of all the relevant regulatory and other authorities as may be applicable to such Directors in their individual capacities, • Non-Executive Directors will safeguard the confidentiality of all information received by them by virtue of their position. Unless specifically authorised by the Company, you shall not disclose company and business information to public constituencies such as the media, the financial community, employees, shareholders, agents, franchisees, dealers, distributors and importers. Your obligation of confidentiality shall survive termination or cessation of your directorship with the Company. We would also like to draw your attention to the applicability of both, Securities and Exchange Board of India (Prohibition of Xxxxxxx Xxxxxxx) Regulations, 1992 and the Tata Code of Conduct on Prevention of Xxxxxxx Xxxxxxx Policy, prohibiting disclosure or use of unpublished price sensitive information. Additionally, you shall not participate in any business activity which might impede the application of your independent judgment in the best interest of the Company. All Directors are required to sign a confirmation of acceptance of the Tata Code of Conduct for NEDs on annual basis.
