Term and Employment Period. Subject to Section 19 hereof, the term of this Agreement (“Term”) shall commence on the Effective Date of this Agreement and shall continue until the effective date of termination of the Executive’s employment hereunder pursuant to Section 5 of this Agreement. The period during which the Executive is employed by the Companies pursuant to this Agreement is referred to herein as the “Employment Period.” The date on which termination of the Executive’s employment hereunder shall become effective is referred to herein as the “Termination Date.” For purposes of Section 5 of this Agreement only, the Termination Date shall mean the date on which a “separation from service” has occurred for purposes of Section 409A of the Internal Revenue Code and the regulations and guidance thereunder (the “Code”).

Term and Employment Period. Subject to Section 19 hereof, the term of this Agreement ("TERM") shall commence on the Effective Date of this Agreement and shall continue until the effective date of termination of the Executive's employment hereunder pursuant to Section 5 of this Agreement. The period during which the Executive is employed by the Companies pursuant to this Agreement is referred to herein as the "EMPLOYMENT PERIOD." The date on which termination of the Executive's employment hereunder shall become effective is referred to herein as the "TERMINATION DATE."
Term and Employment Period. The period of Employee’s employment with the Company (the “Employment Period”) that commenced on the Effective Date will end on the date of Employee’s Termination. The term of this Agreement shall commence on the Effective Date and end on the first anniversary of the Effective Date. On the first anniversary of the Effective Date, and each anniversary thereafter, the Employment Period will be automatically extended for one (1) year such that the Employment Period on the date of each such extension shall be one (1) year; provided, however , that the Company or Employee may give written notice to the other that the Agreement will not be renewed or continued after the next scheduled expiration date which is not less than ninety (90) days after the date that the notice of non-renewal was given. Notwithstanding the above, the Employment Period will expire upon Employee’s Termination for any reason including Covered Termination, Constructive Termination, Disability, death, Cause or Voluntary Resignation. Employee agrees to provide thirty (30) days written notice of any Voluntary Resignation. Immediately upon Termination, Employee agrees to resign from all officer and director positions held with the Company and its affiliates.
Term and Employment Period. The period of Employee’s employment with the Company (the “Employment Period”) that commenced in accordance with the terms of the Prior Agreement will end on the date of Employee’s termination of employment. The term of this Agreement shall commence on the Effective Date and end at 12:00 o’clock midnight on March 15th, 2010; thereafter, the term of the Agreement will be automatically extended for successive terms of one (1) year commencing on March 15th of each year; unless the Company or Employee gives written notice to the other that the Agreement will not be renewed or continued after the next scheduled expiration date which is not less than one (1) year after the date that the notice of non-renewal was given. Notwithstanding the above, this Agreement will automatically expire at the end of the term during which Employee attains age 65. Term and Employment Period. Company shall employ the Employee and the Employee shall serve the Company, on the terms and conditions set forth herein, for the period commencing on and as of the Effective Date and shall terminate on the date three (3) years following the Effective Date (the “Initial Term”), unless terminated earlier in accordance with the terms of this Agreement; provided however, Company shall have the option, in its sole discretion, to extend the term of Employee’s employment for an additional one (1) year period (the “Extension Term”) by providing Employee with notice no less than thirty (30) days prior to the expiration of the Initial Term. The Initial Term, together with the Extension Term of the Employee’s employment, is collectively referred to as the “Employment Period” or “Term.”

As of the Effective Date, this Agreement shall supersede the Prior Employment Agreement, as well as any other prior employment agreements between the Company and Executive (except for the agreements referenced in Section 6 hereof, which shall remain in full force and effect), and, as of the Effective Date, the Prior Employment Agreement and any such other employment agreements will become void and will be of no further force or effect.

Term and Employment Period. (a) The term of this Agreement shall commence on the Effective Date and shall expire on the date that is the third anniversary thereof, provided, however, that on the first anniversary of the Effective Date and on each anniversary date thereof, unless previously terminated, the term of this Agreement shall be automatically extended for successive one-year periods unless the Company or the Executive has provided notice in writing to the other party of its intention not to extend the term of this Agreement no later than 90 days prior to the expiration of the then-applicable expiration date. The initial term of this Agreement and any extensions thereof in accordance with the preceding sentence are hereinafter referred to collectively as the “Agreement Term.” The portion of the Agreement Term during which the Executive is actually employed by the Company is hereinafter referred to as the “Employment Period.”
