Termination for Cause, Death or Disability. (a) The Company may terminate Executive’s employment with the Company at any time for Cause. Executive’s employment with the Company may also be terminated due to Executive’s death or disability.

If this Agreement is terminated by the Company pursuant to Sections 4.1 (Termination upon Death), 4.2 (Termination upon Disability) or 4.3 (Termination for Cause) hereof or in the event the Executive elects not to renew this Agreement pursuant to Section 2, the Executive shall receive only the amounts specified in clauses (iii), (iv) and (v) of Section 5.1 hereof.

If, at any time, Freshworks terminates your employment for Cause (as defined herein), or if you resign at any time and for any reason outside of the Change in Control Period (as defined herein), or if either party terminates your employment as a result of your death or disability, you will receive your base salary accrued through your last day of employment, as well as any unused vacation (if applicable) accrued through your last day of employment. Under these circumstances, you will not be entitled to any other form of compensation from Freshworks, including any severance benefits.

If the Company terminates your employment at any time for Cause (as defined below) or if your employment is terminated by reason of your death or disability (defined as the inability, in the opinion of a qualified physician acceptable to the Company, to perform the requirements of your position with the Company because of any disease or condition for a continuous period of more than 90 days) your salary shall cease on the date of termination and you shall not be entitled to severance pay, pay in lieu of notice or any other such compensation other than payment of accrued salary and vacation through the date of termination and such other benefits as expressly required in such event by applicable law or the terms of applicable benefit plans. In the event of your death, payment of accrued salary and vacation, if any exists at time of termination, will be paid to your estate. The continued vesting of the Option shall cease on the termination date, and your right to exercise any vested portion of Option shall be governed by the terms of the Equity Plan and the corresponding stock option agreement.
Termination for Cause, Death or Disability. In the event the Employee’s employment is terminated by the Company for Cause or terminated as a result of Employee’s death or Disability, the Employee shall not be entitled to receive any portion of the Retention Bonus.

In the event that the Executive is terminated for Cause, Death or Disability or the Executive resigns for any reason (other than Resignation for Good Reason), Executive shall be paid (i) any unpaid base salary through the date of termination plus any accrued vacation; (ii) any earned and declared but unpaid bonus for the most recently completed fiscal year; (iii) reimbursement of any unreimbursed expenses; (iv) benefits in accordance with the terms of the applicable plans and programs of the Company and (v) all unvested stock or options shall immediately terminate and be cancelled.
Termination for Cause, Death or Disability. In the event Employee’s employment with the Company is terminated for Cause, death or Disability, then Employee shall not be entitled to receive the Payment or the Continuing Payment, but may be eligible for those benefits (if any) as may then be established under the Company’s then existing severance policies at the time of such termination.
