Termination of Certain Activities. (a) Immediately prior to the Effective Time, the Company shall terminate the management services agreement with WLNY without further payment by the Company as a result of such termination. (b) Immediately prior to the Effective Time, the Company shall terminate (on terms reasonably satisfactory to Parent) any activities conducted by the Company that Parent determines cannot be conducted under banking laws applicable to Parent or its Subsidiaries.

Termination of Certain Activities. From and after the date of this Agreement until the Expiration Date, the Participants shall jointly and severally discontinue and shut down the operations of the "Friends of First Financial Bancorp" and shall, except as otherwise contemplated by this Agreement, cease any communications to the Company's shareholders in the name of Friends of First Financial Bancorp. Further, within 3 business days following the receipt by the Participants of the payment contemplated by Section 3.5(a) hereof, the Participants shall jointly and severally terminate the website "XxxxXxxXxxx.xxx" and shall remove all material from that website and shall render that website inoperable.
Termination of Certain Activities. The Company and its Subsidiaries shall immediately cease and cause to be terminated any and all existing activities, discussions or negotiations with any third parties conducted heretofore with respect to any Acquisition Proposal and shall use commercially reasonable efforts to cause any such third parties (including their employees, agents and representatives) in possession of confidential information about the Company in connection with an Acquisition Proposal to return or destroy all such information and all materials, documents, analyses and other work product containing or derived from that information.
Termination of Certain Activities. 11.6.1 Promptly following the date hereof, each of the Sellers undertakes to Purchaser to pass the corporate resolutions and to instruct TCG Group Key Senior Management in writing to the effect that, and to otherwise take action as reasonably required in its capacity as sole shareholders and appointers of the joint administrators of TCG so that, within sixty (60) calendar days (the “OFAC Termination Period”) following the date hereof the TCG Group shall permanently cease all activity (including, without limitation and for the avoidance of doubt, any and all transactions or obligations to transact, directly or indirectly, with Cuban or Iranian Persons or any distributors known by the TCG Group to be selling products to Cuba or Iran) that results in, or would reasonably be expected to result in, any TCG Group company (or Purchaser following the Closing) being a Person: (a) in breach of any sanctions, or on any sanctions list, of the United States government, the United Nations or the European Union (collectively, “Sanctions Authorities”), including the “Specially Designated Nationals and Blocked Persons” list maintained by the Office of Foreign Assets Control of the United States (“OFAC”); (b) located in or incorporated under the laws of a country or territory that is the target of country-wide or territory-wide sanctions of any Sanctions Authorities; or (c) directly or indirectly engaged in any trade, business or other activity involving, or otherwise act on behalf of, any Person described in clauses (a) and (b). In furtherance of the Sellers' obligations under this Clause 11.6.1, the Sellers shall keep Purchaser reasonably informed as to any developments with respect thereto. Purchaser acknowledges that the termination of the activities contemplated by this Clause 11.6 could result in commercial liability or other costs to the Company. 11.6.2 For purposes of complying with the foregoing provisions of Clause 11.6.1, the Parties covenant and agree as follows: (i) Within fifteen (15) calendar days from the signing of this Agreement, the Sellers will send the written communication to all TCG Group business units and subsidiaries, including general managers, finance directors and sales personnel (including any Person responsible for the oversight of distributors) attached hereto as Schedule 11.6 wherein instructions are given to the effect of ceasing, within a maximum period of sixty (60) calendar days from the date of this Agreement, doing business with any re...

The notice provisions set forth in this section may be shortened or waived prospectively or retrospectively by the consent of the Holder of this Warrant.

  • Construction of Certain Phrases (a) For purposes of this Agreement, references to the “Company” shall include, in addition to the resulting corporation, any constituent corporation (including any constituent of a constituent) absorbed in a consolidation or merger which, if its separate existence had continued, would have had power and authority to indemnify its directors, officers, and employees or agents, so that if Indemnitee is or was a director, officer, employee or agent of such constituent corporation, or is or was serving at the request of such constituent corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, Indemnitee shall stand in the same position under the provisions of this Agreement with respect to the resulting or surviving corporation as Indemnitee would have with respect to such constituent corporation if its separate existence had continued. (b) For purposes of this Agreement, references to “other enterprises” shall include employee benefit plans; references to “fines” shall include any excise taxes assessed on Indemnitee with respect to an employee benefit plan; and references to “serving at the request of the Company” shall include any service as a director, officer, employee or agent of the Company which imposes duties on, or involves services by, such director, officer, employee or agent with respect to an employee benefit plan, its participants, or beneficiaries; and if Indemnitee acted in good faith and in a manner Indemnitee reasonably believed to be in the interest of the participants and beneficiaries of an employee benefit plan, Indemnitee shall be deemed to have acted in a manner “not opposed to the best interests of the Company” as referred to in this Agreement.

  • PROVISION OF CERTAIN INFORMATION BY ADVISER The Adviser will promptly notify the Trust in writing of the occurrence of any of the following: a. the Adviser fails to be registered as an investment adviser under the Advisers Act or under the laws of any jurisdiction in which the Adviser is required to be registered as an investment adviser in order to perform its obligations under this Agreement; b. the Adviser is served or otherwise receives notice of any action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, public board or body, involving the affairs of the Trust; and c. the chief executive officer or managing member of the Adviser or the portfolio manager of any Fund changes.

  • Modification of Certain Agreements Each Credit Party will not, and will not permit any of its Subsidiaries or Affiliates to, consent to any amendment, supplement, waiver or other modification of, or enter into any forbearance from exercising any rights with respect to the terms or provisions contained in (a) any Organization Documents of a Credit Party, in each case, other than any amendment, supplement, waiver or modification or forbearance that could not reasonably be expected to be materially adverse to the interests of the Secured Parties (except with the consent of the Required Lenders) or if required by law, (b) any document, agreement or instrument evidencing or governing any Indebtedness that has been subordinated to the Obligations in right of payment or secured by any Liens that have been subordinated in priority to the Liens of Agent unless such amendment, supplement, waiver or other modification is permitted under the terms of the subordination or intercreditor agreement applicable thereto or could not reasonably be expected to be materially adverse to the interests of the Secured Parties (it being understood that the foregoing shall not prohibit the refinancing, replacement or exchange of such Indebtedness), or (c) the Acquisition Agreement and the Ancillary Agreements (as defined in the Acquisition Agreement) (collectively, the “Acquisition Documents”), in each case, other than any amendment, supplement, waiver or modification or forbearance that could not reasonably be expected to be adverse to the interests of the Secured Parties (except with the consent of the Required Lenders); provided, that, any amendment, supplement, waiver or modification or forbearance of the Acquisition Documents such that any Credit Party or any of their Subsidiaries become directly or indirectly liable with respect to the Deferred Purchase Price shall be deemed adverse to the interests of the Secured Parties.
