TOOLS AND MATERIALS. 13.1 All special dies, tooling, moulds, patterns, jigs, fixtures, and any other property which Pall Australia furnishes to Supplier or specifically pays for to be used by the Supplier in the performance of this Purchase Order (“Equipment”), shall be and remain Pall Australia’s property, shall be: (a) kept separate and marked to reflect it is the property of Pall Australia, (b) subject to removal upon Pall Australia’s instruction, (c) for Pall Australia’s exclusive use, (d) held at Supplier’s risk, and (e) kept insured by Supplier at Supplier’s expense while in Supplier’s custody or control in an amount equal to the replacement cost, with loss payable by Supplier. Supplier shall indemnify Pall Australia against all actions, claims, demands, damage, liabilities, costs, charges or expenses suffered or incurred by Pall Australia arising from a claim by Supplier’s employees, agents or consultants for bodily injury or death in connection with the operation of the Equipment while in Supplier’s care, custody and control. 13.2 Where Pall Australia provides free issue material for incorporation into the work, Supplier shall use such materials economically, and any surplus shall be accounted for to Pall Australia and disposed of in accordance with Pall Australia’s instructions. Waste, loss or damage to such materials arising from poor workmanship or Supplier’s failure to maintain such materials in good order or condition shall be made good at Supplier’s expense, replacements being of equivalent quality and specification and subject to Pall Australia’s approval.

TOOLS AND MATERIALS. The Board recognizes that appropriate texts, library reference facilities, maps, and globes, laboratory equipment, audiovisual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, and similar materials are the tools of the teaching profession. The parties will confer from time to time for the purpose of improving the selection, use, and quantity of such educational tools.

All taxes assessments and similar charges levied with respect to or upon any such items owned by Coherent while in Supplier's possession or control and for which no exemption is available shall be borne by Supplier. Upon completion of work to be performed under applicable Purchase Orders, all Supplies shall be disposed of as Coherent directs.
