For Academic Institutions, Authorized Users will also include students enrolled into a diploma-seeking program at the Customer. Additional license and use types may be specified with respect to certain Academic Offerings as set forth in an Order. Academic Offerings that include SISW’s Parasolid or D-Cubed products shall be subject to a separate agreement between the parties.

Use Terms. Each copy made, or access right provided, pursuant to the right granted in Section 3.a. above may be used only to provide Commercial Services to Third Parties subject to and strictly in accordance with the license grants, terms, conditions, limitations and restrictions contained in this Agreement and the provisions of the then most recently released version of the applicable CULA and Product List. Use Terms a. Use of the Product requires the purchase of a license. If the Product supports multiple users, the total number of Users on which the Product is installed may not exceed the total number of licenses purchased. b. The Licensee is expected to maintain a list of all Users to which each license has been installed in the event the hardware of a User fails and a transfer of the license to a new User is needed. If the Licensee wishes to deactivate the installation of any part of the Product on a specifically identified User and/or transfer the license, the Licensee must be able to identify the User with specificity in order to allow UVeritech to effectuate the transfer to a different User. UVeritech does not maintain a list of Users on which licenses have been activated. d. Each license is designated to a particular User. In the event that Licensee needs to utilize a User make and model different from the original purchase, Licensee is responsible for notifying UVeritech of this change. If the Licensee is under active Software Maintenance and support, UVeritech will update the license to function with other supported User designations.

Related to Use Terms

  • These Terms relate to our general relationship and each Assignment and subject only to the terms of any Assignment or a variation provided for, or entered into in accordance with clause 2.3. These Terms comprise the sole and entire agreement between you and us relating to the business described, supersede any previous agreement between you and us and, subject only as provided for, override any terms proposed by you.

  • Same Terms All terms used herein which are defined in the Credit Agreement shall have the same meanings when used herein, unless the context hereof otherwise requires or provides. In addition, (i) all references in the Loan Documents to the “Agreement” shall mean the Credit Agreement, as amended by this Amendment, and (ii) all references in the Loan Documents to the “Loan Documents” shall mean the Loan Documents, as amended by this Amendment, as the same shall hereafter be amended from time to time.

  • Service Terms Each Service Order will provide for a service term. At the end of the service term of any Service Order, unless either party gives written notice to the other party of its intention not to renew at least ninety (90) days before the end of a service term, the term of such Service Order will automatically renew for successive twelve (12) month periods. Termination of one Service Order will not affect the term of any other Service Order.

  • Contract Terms The contract term will be one (1) year, effective from date of award. The City and the Supplier shall have the option to renew this contract for an additional two (2) one-year periods. The contract shall commence upon the issuance of a Notice of Award by the City of Xxxxxx and shall automatically renew each year, from the date of award by City Council, unless either party notifies the other prior to the scheduled renewal date. At the sole option of the City of Xxxxxx, the contract may be further extended as needed, not to exceed a total of six (6) months.

  • Extended Terms Tenant shall have the right to extend the Term for up to five (5) consecutive renewal terms of ten (10) years each (each, an “Extended Term”), provided that (unless Landlord shall elect in its sole discretion to waive any such condition), at the time Tenant exercises a right to extend the Term, (a) no Event of Default shall have occurred and be continuing and (b) on the date of the exercise of the extension option and on the first day of each such Extended Term, there shall be a Guaranty in favor of Landlord from a Qualifying Guarantor which shall either meet the standard in clause (a) or (c) of the definition of Qualifying Guarantor or shall provide Landlord with the audited financial statement described in the last paragraph of the definition of Qualifying Guarantor to establish that it meets the criteria in clause (b) thereof to be a Qualifying Guarantor, even if such Entity is a BP Affiliate. All of the terms, covenants and provisions of this Agreement shall apply to each Extended Term (including, but without limitation, the two percent annual Minimum Rent increases provided in the definition of Minimum Rent), except that Tenant shall have no right to extend the Term beyond the expiration of the fifth Extended Term. If Tenant shall elect to exercise its option to extend the Term for any Extended Term, it shall do so by giving Landlord Notice thereof not later than eighteen (18) months prior to the commencement of the applicable Extended Term, it being understood and agreed that time shall be of the essence with respect to the giving of any such Notice. If Tenant shall fail to give any such Notice, this Agreement shall automatically terminate at the end of the Fixed Term or the applicable Extended Term, and Tenant shall have no further option to extend the Term of this Agreement. If Tenant shall give such Notice, the extension of this Agreement shall be automatically effected without the execution of any additional documents; it being understood and agreed, however, that Tenant and Landlord shall execute such documents and agreements as either party shall reasonably require to evidence the same.
