Vessel Characteristics. Shipments shall be effected exclusively in single-deck bulk carriers which shall be suitable for mechanical grab discharge. Concentrates shall be stowed and trimmed as per the Seller’s normal practice, provided that no Concentrates shall be loaded in areas inaccessible to the grabs (e.g. bunkers, deep tanks, tunnels, manholes or shafts). The Concentrates shall be stowed separately from other cargoes. Vessels shall be classed 100 A 1 at Lloyd’s or the equivalent and shall be no more than 20 years of age.
Vessel Characteristics. (a) For delivering Concentrate to the Discharge Port hereunder, vessels chartered by Seller shall be single deck bulk carriers, shall be classed 100-A1 at Lloyds Register of Shipping or its replacement, shall be no more than 20 years old, shall not have shaft tunnels in the hold, and shall have clear holds and hatchways suitable for normal grab discharge. No cargo shall be loaded in deep tanks, in tween decks, in bridge space, or any place not easily accessible to grabs. (b) If the gears of the vessel are not working in accordance with the specifications provided by the vessel’s owner, Buyer shall appoint a competent independent surveyor to assess the additional costs incurred in completing the discharge, and Buyer shall provide Seller with such independent surveyor's certificate while making the claim for the additional expenses incurred. Any such amount claimed by Buyer will be settled by Seller within 30 days from the date of such invoice. (c) In no event shall any other cargo (including copper concentrates) be stowed in the same hold as any Parcel or fraction thereof. Confidential treatment has been requested with respect to the redacted portions. (d) The vessel shall conform to International Safety Management Code (ISM Code) standards. Seller shall not charter a vessel from any shipping company if Seller reasonably believes that, because of its financial condition, there is reasonable doubt about the ability of such company to carry out the normal execution of its shipping obligations.
Vessel Characteristics. (a) For delivering Concentrates to the Discharge Port hereunder, vessels chartered by the Seller (i) shall be single deck bulk carriers, (ii) shall be classed 100-A1 at Lloyds Register of Shipping or the IACS - International Association of Classifications Societies Limited, (iii) shall comply with the International Safety Management (ISM) Code, (iv) shall be no more than 20 years old, (v) shall not be registered under a restricted flag, (vi) shall be insurable in New York, London, or other internationally recognized insurance markets, (vii) shall not have shaft tunnels in the hold, and (viii) shall have clear holds and hatchways suitable for normal grab discharge. No cargo shall be loaded in deep tanks, in bridge space, or any place not easily accessible to grabs. The performing vessel shall be suitable for unloading at the Discharge Port and shall conform to all port restrictions. (b) If the gears of the vessel are not working in accordance with the specifications provided by the vessel’s owner and are required for the discharging of the Parcel, then the Purchasers’ Agent and the Seller shall appoint a competent Independent Surveyor to assess the additional costs incurred in completing the discharge. Subject only to prior receipt of the Purchasersrelevant invoice, the Seller shall deduct an amount equivalent to any amount certified by the appointed surveyor pursuant to this Section 3.9(b) from time to time from the next Final Invoice issued to the Purchasers after receipt of the Purchasers’ invoice. If no Final Invoice is issued to the Purchasers under this Agreement within 30 days of the date of the Purchasers’ invoice under this Section 3.9(b) then the Seller shall pay such invoice prior to the expiry of such period. (c) In no event shall any other cargo (including other copper concentrates) be stowed in the same hold as any Parcel or fraction thereof. (d) The Seller shall not charter a vessel from any shipping company as to which the Seller reasonably believes that, because of its financial condition, there is reasonable doubt about the ability of such company to carry out the normal execution of its shipping obligations.

Vessel Characteristics. At the Delivery Time and throughout the Charter Period, the Vessel shall: (a) be classed by a classification society which is a member of the International Association of Classification Societies; (b) if she is fifteen (15) years old or over, Owner shall ensure that the Vessel obtains and maintains an LNG Condition Assessment Programme of not worse than 2; (c) be in every way fit to load, carry, store, discharge and measure LNG; (d) be tight, staunch, strong, in good order and condition, and in every way fit for the service, with her machinery, boilers, hull and other equipment (including but not limited to hull stress calculator, radar, computers and computer systems) in a good and efficient state; (e) have tanks, valves and pipelines that are liquid and gas tight; (f) be in every way fitted for burning, in accordance with the grades specified in Clause 9 hereof: (i) at sea, Fuel Oil in any proportion with LNG Boil-Off for main propulsion and Fuel Oil, marine gas oil and marine diesel oil for auxiliaries; (ii) in port, Fuel Oil in her boilers and marine gas oil and marine diesel oil for auxiliaries; (g) have all her cargo measuring equipment and instrumentation calibrated and certified, in accordance with the requirements of the Vessel’s classification society; (h) have her insulation spaces prepared as per her containment system design conditions; (i) comply with the regulations in force to enable her, if her size permits, to pass through the Suez Canal and Panama Canal by day and night without delay; (j) have on board all certificates, documents and equipment required from time to time by any applicable law to enable her to perform the charter service without delay. For the avoidance of doubt this will include, but will not be limited to, the Vessel’s Certificate of Financial Responsibility; (k) comply with the description in the LNG Form B, attached at Appendix A, provided however that if there is any conflict between the provisions of Appendix A and any other provision, including this Clause 3, of this Time Charter Party such other provision shall govern; (l) not have her ownership structure, flag, registry, classification society and management company changed without the written consent of Charterer; (m) always comply with the Russian Maritime Register of Shipping (Rules 2007) Ice Class Ice 2 or equivalent and meet the winterization requirements to operate in climate conditions with ambient temperatures down to minus twenty five (-25) degrees Celsiu...

  • ODUF Physical File Characteristics 6.2.1 ODUF will be distributed to TWTC via Secure File Transfer Protocol (FTP). The ODUF feed will be a variable block format. The data on the ODUF feed will be in a non-compacted EMI format (175 byte format plus modules). It will be created on a daily basis Monday through Friday except holidays. Details such as dataset name and delivery schedule will be addressed during negotiations of the distribution medium. There will be a maximum of one dataset per workday per OCN. If AT&T determines the Secure FTP Mailbox is nearing capacity levels, AT&T may move the customer to CONNECT: Direct file delivery. 6.2.2 If the customer is moved, CONNECT: Direct data circuits (private line or dial-up) will be required between AT&T and TWTC for the purpose of data transmission. Where a dedicated line is required, TWTC will be responsible for ordering the circuit, overseeing its installation and coordinating the installation with AT&T. TWTC will also be responsible for any charges associated with this line. Equipment required on the AT&T end to attach the line to the mainframe computer and to transmit messages successfully on an ongoing basis will be negotiated on an individual case basis. Any costs incurred for such equipment will be TWTC's responsibility. Where a dial-up facility is required, dial circuits will be installed in the AT&T data center by AT&T and the associated charges assessed to TWTC. Additionally, all message toll charges associated with the use of the dial circuit by TWTC will be the responsibility of TWTC. Associated equipment on the AT&T end, including a modem, will be negotiated on an individual case basis between the Parties. All equipment, including modems and software, that is required on TWTC end for the purpose of data transmission will be the responsibility of TWTC. 6.2.3 If TWTC utilizes FTP for data file transmission, purchase of the FTP software will be the responsibility of TWTC.

  • Characteristics of Receivables Each Receivable (A) shall have been originated in the United States by a Dealer for the retail sale of the related Financed Vehicle in the ordinary course of such Dealer’s business, shall have been fully and properly executed by the parties thereto, shall have been purchased by the Seller from such Dealer under an existing agreement with the Seller, shall have been validly assigned by such Dealer to the Seller in accordance with its terms and, to the best knowledge of the Seller, shall have been sold by a Dealer without fraud or misrepresentation, (B) shall have created or shall create a valid, subsisting and enforceable first priority security interest in favor of the Seller in the related Financed Vehicle, (C) shall contain customary and enforceable provisions such that the rights and remedies of the holder thereof shall be adequate for realization against the collateral of the benefits of the security, (D) shall provide for level Monthly Payments (provided that the first or last payment in the life of the Receivable may be minimally different from the level payment) that fully amortize the Amount Financed over its original term and shall provide for a finance charge or shall yield interest at its APR, (E) shall provide for, in the event that such Receivable is prepaid, a prepayment that fully pays the Principal Balance and includes accrued but unpaid interest at least through the date of prepayment in an amount calculated by using an interest rate at least equal to its APR, (F) shall have an Obligor that is not a federal, state or local governmental entity and (G) is a retail installment contract.

  • Vessels (A) All of the vessels described in the Registration Statement, the General Disclosure Package and the Prospectus, except for the Contracted Vessels (each of which a Subsidiary has contracted to acquire), are owned directly by Subsidiaries); each of the vessels listed on Schedule F-1 (the “Owned Vessels”) hereto has been duly registered as a vessel under the laws and regulations and flag of the jurisdiction set forth opposite its name on Schedule F-1 in the sole ownership of the Subsidiary set forth opposite its name on Schedule F-1 and no other action is necessary to establish and perfect such entity’s title to and interest in such vessel as against any charterer or third party; each such Subsidiary has good title to the applicable Owned Vessel, free and clear of all mortgages, pledges, liens, security interests and claims and all defects of the title of record except for those liens arising under Credit Facilities, each as disclosed in the Registration Statement, the General Disclosure Package and the Prospectus, and such other encumbrances which would not, in the aggregate, result in a Material Adverse Effect; and each such Owned Vessel is in good standing with respect to the payment of past and current taxes, fees and other amounts payable under the laws of the jurisdiction where it is registered as would affect its registry with the ship registry of such jurisdiction except for failures to be in good standing which would not, in the aggregate, result in a Material Adverse Effect. Upon delivery to and acceptance by the relevant Subsidiary under the MoAs and the Newbuilding Contracts described in the Registration Statement, General Disclosure Package and Prospectus, each of the vessels listed on Schedule F-2 hereto and specified as being under contract (the “Contracted Vessels”) for delivery to and acceptance by a Subsidiary will be duly registered as a vessel under the laws of the jurisdiction set forth opposite its name on Schedule F-2, or under the laws of a generally accepted shipping industry flag jurisdiction, in the sole ownership of the Subsidiary set forth opposite its name on Schedule F-2, on such date, each such Subsidiary will have good title to the applicable Contracted Vessel, free and clear of all mortgages, pledges, liens, security interests, claims and all defects of the title of record, except for any mortgages, pledges, liens, security interests or claims arising from any financing arrangement which the Company or Subsidiary may enter to finance the acquisition of the Contracted Vessel and except such encumbrances which would not, in the aggregate, result in a Material Adverse Effect; and each such Contracted Vessel will be in good standing with respect to the payment of past and current taxes, fees and other amounts payable under the laws of the jurisdiction where it is registered as would affect its registry with the ship registry of such jurisdiction. (B) Each Owned Vessel is, and the Company will use reasonable commercial efforts to ensure that each Contracted Vessel will be, operated in compliance with the rules, codes of practice, conventions, protocols, guidelines or similar requirements or restrictions imposed, published or promulgated by any Governmental Authority, classification society or insurer applicable to the respective vessel (collectively, “Maritime Guidelines”) and all applicable international, national, state and local conventions, laws, regulations, orders, Governmental Licenses and other requirements (including, without limitation, all Environmental Laws), except where such failure to be in compliance would not have, individually or in the aggregate, a Material Adverse Effect. The Company and each applicable Subsidiary are, and with respect to the Contracted Vessels will be, qualified to own or lease, as the case may be, and operate such vessels under all applicable international, national, state and local conventions, laws, regulations, orders, Governmental Licenses and other requirements (including, without limitation, all Environmental Laws) and Maritime Guidelines, including the laws, regulations and orders of each such vessel’s flag state, except where such failure to be so qualified would not have, individually or in the aggregate, a Material Adverse Effect. (C) Each Owned Vessel is, and each Contracted Vessel will be, classed by any of Lloyd’s Register of Shipping, American Bureau of Shipping, Det Norske Veritas or a classification society which is a full member of the International Association of Classification Societies and each Owned Vessel is, and the Company will use reasonable commercial efforts to ensure each Contracted Vessel will be, in class with valid class and trading certificates, without any overdue recommendations.

  • Physical File Characteristics 7.2.1 The EODUF feed will be distributed to Comcast Phone over their existing Optional Daily Usage File (ODUF) feed. Equipment required on the BellSouth end to attach the line to the mainframe computer and to transmit successfully ongoing will be negotiated on an individual case basis. Where a dial-up facility is required, dial circuits will be installed in the BellSouth data center by BellSouth and the associated charges assessed to Comcast Phone. Additionally, all message toll charges associated with the use of the dial circuit by Comcast Phone will be the responsibility of Comcast Phone.
