Water Treatment Facility. During the Option Period an independent contractor engaged by USE or, once TCM has acquired an interest in the Property pursuant to Section 6.2, any subsequent independent contractor appointed by the Management Committee, shall operate the Facility. Such contractor shall carry adequate insurance for operations and for any liabilities related to operations of the Facility. Until TCM elects to acquire an interest in the Property pursuant to Section 6.2, USE shall pay all operating costs for the Facility. Unless and until TCM elects to acquire an interest in the Property pursuant to Section 6.2, TCM shall have no decision making authority with respect to Facility operations. Prior to TCM’s acquiring an interest in the Property pursuant to Section 6.2, the Facility shall not be considered part of the Business. Upon TCM’s acquiring an interest in the Property pursuant to Section 6.2, the Facility shall be part of the Business.
Water Treatment Facility. During the Joint Venture Period, an independent contractor engaged by the Management Committee shall operate the Facility, and such independent contractor shall carry adequate insurance for operations and for any liabilities related to such operations. TCM and the USE (as Joint Venture partners) shall each be liable for the operating costs of the Facility in proportion to their respective Participating Interests.

THIRD PARTY REVIEW OF THE PRODUCTION TEST WELL STUDY AND CONCEPTUAL DESIGN BY THE DISTRICT - A TPR of the production test well study report, conceptual design reports, and probable cost estimates shall be implemented by the DISTRICT. The DISTRICT will select and contract with an independent consultant(s) that is not a member of the COOPERATOR'S Consultant's team. The TPR will confirm the estimated costs. The COOPERATOR will ensure that its Consultant fully cooperates in making all pertinent and appropriate PROJECT documents available to the DISTRICT'S TPR consultant in a timely manner. 5. PILOT TREATMENT TESTING - Perform pilot water treatment testing specific to the production test xxxxx' water quality and conceptual water treatment alternatives. Prepare final report and submit to the DISTRICT. 6. PRELIMINARY (30%) DESIGN REPORTS - Develop the preliminary (30%) design report, and probable cost estimates of the regional transmission system and WTF. Provide documentation for a DISTRICT procured TPR.

  • Trading Facilities Most open-outcry and electronic trading facilities are supported by computer-based component systems for the order-routing, execution, matching, registration or clearing of trades. As with all facilities and systems, they are vulnerable to temporary disruption or failure. Your ability to recover certain losses may be subject to limits on liability imposed by the system provider, the market, the clearing house and/or member firms. Such limits may vary; you should ask the firm with which you deal for details in this respect.

  • Laundry Facilities Washers and dryers are installed in each apartment for the exclusive use of students in the apartment. Any other use is prohibited. The use of washers and dryers are free. LINEN: Brighton provides a mattress cover on all mattresses. Students need to bring their own bedding. All beds are regular twin size. The typical cost for replacing a mattress cover is $25.00. MAINTENANCE: Students are responsible to notify the manager in writing as soon as possible if they notice anything in an apartment that requires repair work or maintenance. See “Property Conditions” section 12 of the BYU-Idaho Student Landlord Housing Contract.

  • External Hosting Facilities DST shall implement controls, consistent with applicable prevailing industry practices and standards, regarding the collection, use, storage and/or disclosure of Fund Data by an external hosting provider.

  • Developer Attachment Facilities Developer shall design, procure, construct, install, own and/or control the Developer Attachment Facilities described in Appendix A hereto, at its sole expense.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. NOTWITHSTANDING THE WILLINGNESS OF PRUDENTIAL TO CONSIDER PURCHASES OF SHELF NOTES BY PRUDENTIAL AFFILIATES, THIS AGREEMENT IS ENTERED INTO ON THE EXPRESS UNDERSTANDING THAT NEITHER PRUDENTIAL NOR ANY PRUDENTIAL AFFILIATE SHALL BE OBLIGATED TO MAKE OR ACCEPT OFFERS TO PURCHASE SHELF NOTES, OR TO QUOTE RATES, SPREADS OR OTHER TERMS WITH RESPECT TO SPECIFIC PURCHASES OF SHELF NOTES, AND THE FACILITY SHALL IN NO WAY BE CONSTRUED AS A COMMITMENT BY PRUDENTIAL OR ANY PRUDENTIAL AFFILIATE.

  • Toilet Facilities The Employer provides the Contractor access to toilet facilities. Temporary chemical toilets are provided by the Contractor where deemed necessary.

  • Interconnection Facilities Engineering Procurement and Construction Interconnection Facilities, Network Upgrades, and Distribution Upgrades shall be studied, designed, and constructed pursuant to Good Utility Practice. Such studies, design and construction shall be based on the assumed accuracy and completeness of all technical information received by the Participating TO and the CAISO from the Interconnection Customer associated with interconnecting the Large Generating Facility.

  • Interconnection Facilities 4.1.1 The Interconnection Customer shall pay for the cost of the Interconnection Facilities itemized in Attachment 2 of this Agreement. The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs. Costs associated with Interconnection Facilities may be shared with other entities that may benefit from such facilities by agreement of the Interconnection Customer, such other entities, the NYISO, and the Connecting Transmission Owner. 4.1.2 The Interconnection Customer shall be responsible for its share of all reasonable expenses, including overheads, associated with (1) owning, operating, maintaining, repairing, and replacing its own Interconnection Facilities, and

  • Purpose of Interconnection Facilities Except as may be required by Applicable Laws and Regulations, or as otherwise agreed to among the Parties, the Interconnection Facilities shall be constructed for the sole purpose of interconnecting the Large Generating Facility to the Participating TO’s Transmission System and shall be used for no other purpose.
