Wholesalers. None of [***] have provided written notification to Seller that any of them intends to terminate or materially reduce its business relationship with respect to the Product or the Business after the Execution Date or the Closing Date.
Wholesalers. (1) Wholesalers Licensed by the State
(2) Self-Certified Out-of-State Wholesalers
(a) Wholesalers who are not licensed to do business within the state of Washington, and who are not required by state law to be licensed, but who have agreed to comply with the provisions of this Compact, must certify by letter to the Tribe that they will and can meet the terms of this Compact. The Tribe will provide a copy of the letter to the State prior to any purchase by a Tribal retailer from the wholesaler.
(b) The out-of-state wholesaler must be licensed to do business as a cigarette wholesaler with the state in which they reside.
(c) The Tribe shall require compliance with this Compact in its contracts with any such out- of-state wholesalers and shall provide copies of such contracts to the Auditor for its review. The contract between the Tribe and the out-of-state wholesaler will also include a requirement that:
(i) The cigarettes transported in the state of Washington will be accompanied by invoices detailing the quantity and brand of cigarettes destined for the Squaxin Island Tribe. Such invoices shall provide an order number that matches the order number provided under Part VII section 2 of this Compact and shall identify the seller of the cigarettes as well as the buyer of the cigarettes; and
(ii) The wholesaler will allow the Auditor access to its records for the purpose of determining whether the Tribal cigarette tax has been paid and whether Tribal tax stamps are properly affixed to the cigarette containers.
(d) An out-of-state wholesaler who has provided a letter of certification to the Tribe and who has a contract with the Tribe, in which contract the wholesaler agrees to abide by the terms of this Compact, shall be referred to as a “self-certified wholesaler.”
(3) Self-certified Tribal Wholesalers
(a) Tribal wholesalers who are not licensed to do business within the state of Washington or any other state, and who are not required by state law to be licensed, but who have agreed to comply with the terms of this Compact, must certify by letter to the Tribe that they will and can meet the terms of this Compact. The Tribe will provide a copy of the letter to the State prior to any purchase by a Tribal retailer from the wholesaler.

Wholesalers. (A) Should any wholesaler refuse to distribute the PUBLICATIONS, or any one of them, or should PUBLISHER be dissatisfied, for a reasonable business reason in the opinion of PUBLISHER, with any wholesaler and give CURTIS 30 days wxxxxxx notice thereof, PUBLISHER may, after the conclusion of such 30 day period, unless CURTIS shall havx xxxxinted a replacement in accordance with the provisions of Section 14B, appoint a wholesaler of its choice for the affected PUBLICATION(S) or, if it should be unable to reach satisfactory agreement with one willing to take only the affected PUBLICATION, for all of the PUBLICATIONS, and should CURTIS elect to xxxxxxe such newly appointed wholesaler, there shall be no change in the terms of this Agreement; if, however, CURTIS does not xxxxxxe such newly appointed wholesaler, then PUBLISHER shall have the right in such circumstances to distribute copies of PUBLICATIONS in that geographical area to whomever PUBLISHER shall wish, and in that event will be obliged to pay a distribution fee to CURTIS for only xxxx xistribution as is actually accomplished in said area by CURTIS.
(X) Should CURTIS at its opxxxx xecide to terminate shipments to then existing wholesaler or wholesalers, it shall appoint a replacement or replacements. If, after two (2) months of distribution by such replacement whole-saler or wholesalers in any particular geographical location, PUBLISHER is dissatisfied with such replacement wholesaler or wholesalers for a reasonable business reason in the opinion of PUBLISHER and gives CURTIS 30 days wxxxxxx notice thereof, PUBLISHER shall have the right at its option to terminate the replacement wholesaler or wholesalers, but only insofar as it is a wholesaler of the PUBLICATIONS. PUBLISHER shall have the right in such circumstances to distribute copies of PUBLICATIONS in that geographical area to whomever PUBLISHER shall wish, provided it is not the whole-saler terminated by CURTIS, and, in xxxx xvent, will not be obliged to pay a distribution fee to CURTIS for such xxxxxxbution by PUBLISHER or its designee.
(C) If PUBLISHER shall have designated a replacement wholesaler in accordance with Section 14A or 14B, CURTIS will not knowingly distribute copies of PUBLICATIONS to any wholesaler or wholesalers in that area so as to compete with PUBLISHER's designated replacement wholesaler or whole-salers. Wholesalers. (a) The Importer may appoint Wholesalers to distribute the Products during the Term.
(b) If the Importer appoints Wholesalers:
(i) the Importer must be responsible for all of the actions and omissions of the Wholesalers as if they were the actions and omissions of the Importer; and
(ii) the Importer must be solely responsible for payments of the Net Price for any Products delivered to a Wholesaler, unless Xanadu invoices a Wholesaler directly.
Wholesalers. All alcoholic beverages to be sold on the Premises shall be purchased from duly licensed distributors and shall be purchased by Licensee on behalf of the Agent, but at the sole expense of Agent. Agent shall make no purchases for the Hotel except through Licensee. Without limiting any other term of this Agreement, Agent agrees to pay for all such alcoholic beverages. All such purchases shall be made in accordance with the Legal Requirements.
Wholesalers. Customers in this market include companies that are primarily engaged in selling merchandise to retailers, industrial, commercial, institutional or professional business users or to other wholesalers. Includes wholesale distributors of both durable and non-durable goods. Examples of eligible risks include Office Equipment Distributors and Footwear Distributors. SCHEDULE E Duties of Company and Seller Data and other information to be provided by Seller unless otherwise indicated will be provided to Company for Subject Policies 120 days prior to the first day of the expiration month of the policy beginning with February 2005. Such data will be provided by Seller to Company within 6 business days of the inception of this Agreement for November 2004 through January 2005.
Wholesalers. Econo Foods and Fruit and Veg City wholesale markets are independently owned markets that supply informal retail markets, government institutions, restaurants, hotels, traders and consumers. These markets are well organized and located in urban areas. The markets can only sell veterinary certified meat, and therefore only sell frozen brine injected poultry from South Africa. The frozen poultry is the same as that offered at retail markets. The formal retail market in Lesotho is comprised of two South African franchises, Shoprite and Pick n’ Pay; and some Chinese retailers. The South African supermarkets are comparable to those in South Africa. There are two Pick N’ Pay shops in Lesotho, and Shoprite markets in Maseru, Leribe, Mafeteng, Sefika, Botha Xxxxx, Mokhotlong and Mohale’s Hoek. The service is moderate, clean, and with a wide range of products – most products are imported. Only veterinary certified meat is sold. Imported broiler meat from South Africa is sold frozen and chilled, in parts or as whole broilers. IQF mixed portions, heads and feet are popular, as is soup pack.
Wholesalers. For Combination Product sold by the Selling Party to a wholesaler, the initial price at which the Selling Party sells the Combination Product to such wholesaler shall be [*], as determined pursuant to Section 7.4(a).
Wholesalers. Licensee may sell the Products to wholesalers for resale in the Territory provided that Licensee selects and manages such wholesalers so that they operate in accordance with the Marketing Policy.
Wholesalers. Parent reaffirms its commitment to the three-tier distribution system in the United States and agrees to work with the Company’s existing wholesaler panel to strengthen the relationship between the Surviving Corporation and its wholesalers.
