WIP Schedule. Schedule 3.18 lists the costs and expenses incurred by the Seller or its subsidiaries in connection with all uncompleted existing jobs related to the Garland Business as of the Closing Date, other than jobs between the Seller and its subsidiaries, on the one hand, and the Seller and any of its other subsidiaries, on the other hand (the “WIP Schedule”). The WIP Schedule represents the Seller’s reasonable and good faith estimate of the status of the work performed to date and the results of performance and operations of the Seller for the customers and periods referred to in the WIP Schedule.

WIP Schedule. Each of the Company Subsidiaries has delivered to the Buyer a work in progress schedule for each of its contracts as of September 30, 2001 (each, a "WIP Schedule"). The WIP Schedules, in the aggregate, fairly represent, in all material respects, the total estimated contract costs (taking into account man-hours required, project duration, cost of labor and materials, including any escalation thereof, subcontractor costs and other elements of contract costs), earned revenues to date, estimated gross profits (in dollar and in percentage) and actual gross profit recognized to date (in dollars). Each WIP Schedule also includes with respect to contracts as of September 30, 2001, the following information: job number, job name, the contract price, the dollar amount of pending change orders, total estimated contract price, actual billings to date, costs to date, total estimated contract costs. Excxxx xx xet forth on any such WIP Schedule or as provided on the Financial Statements, neither the Seller, the Company nor any Company Subsidiary has been notified of or is aware of any dispute over amounts billed by the Company or any Company Subsidiary or of any intention to hold back amounts in excess of contractually permitted holdbacks.
WIP Schedule. A work in progress schedule for the Company’s customer contracts as of February 28, 2014 is attached as Schedule 4.29 (the “WIP Schedule”). Except as set forth in Schedule 4.29, the WIP Schedule, in the aggregate, fairly represents as of February 28, 2014, in all material respects, the total estimated contract costs, earned revenues to date, estimated gross profits (in dollar and in percentage), and actual gross profit recognized to date (in dollars).

The WIP Schedule, in the aggregate, fairly represents, in all material respects and includes the total estimated contract costs (taking into account man-hours required, project duration, cost of labor and materials, including any escalation thereof, subcontractor costs, and other elements of contract costs), estimated gross profits earned (in dollar and in percentage), job number, job name, current contract price, estimated total cost, total cost to date, amounts billed to date, over/under xxxxxxxx, estimated gross profit and estimated gross profit percentage (including loss, if any).

Except as set forth on Schedule 2.28, the Seller and the Company have not been notified of or been made aware of any dispute over amounts billed by the Company or of any intention to hold back amounts in excess of contractually permitted holdbacks.
