Work Orders and Deficiencies. To the knowledge of the Vendors and the Covenantors, there are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relating to the Leased Premises, the other properties and assets of the Group or the Business that have been issued by any regulatory authority, police or fire department, sanitation, environment, labour, health or other governmental authorities or Governmental Agencies. To the knowledge of the Vendors and the Covenantors, there are no matters under discussion with any such department, authority or Governmental Agency relating to work orders, non-compliance orders, deficiency notices or other such notices. The Business is not being carried on, and none of the Leased Premises or the other properties or assets of the Vendors and/or Group are being operated, in a manner that is in contravention of any statute, regulation, rule, code, standard or policy, except for contraventions which are not, in the aggregate, materially adverse to the Business. No material amounts are owing by the Group in respect of the Leased Premises to any Governmental Agency or public utility, other than current accounts, which are not in arrears.

To the best of the Shareholders’ knowledge, there are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Leased Premises or the other properties and assets of the Corporation which have been issued by any police or fire department, sanitation, environment, labour, health or other Governmental Authorities. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The Corporation’s business is not being operated in a manner which is in contravention of any statute, regulation, rule, code, standard, policy or other Applicable Law.

To the best of the knowledge of the Vendors, the Business is not being carried on, and none of the Leased Premises or the other properties or assets of the Corporate Group are being operated, in a manner which is in contravention of any Applicable Law in any material respects. No amounts are owing by the Corporate Group in respect of the Leased Premises to any Governmental Authority, other than current accounts which are not in arrears.
Work Orders and Deficiencies. There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Real

No alteration, repair, improvement or other work has been ordered, directed or requested in writing to be done or performed by the Company to or in respect of the real properties, or the leased premises, or to any of the building and fixtures, by any governmental entity having jurisdiction, which alteration, repair, improvement or other work has not been completed. There are no matters under discussion with any such governmental entity relating to work orders, non-compliance orders, deficiency notices or other such notices and there are currently no facts or circumstances which exist which could be the basis of any such claim.

There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relative to the Properties or the business of Calipuy or its Subsidiaries which have been issued by any police or fire department, sanitation, environment, labour, health or other Governmental Authorities. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices. The business of Calipuy and its Subsidiaries is not being operated in a manner which is in contravention of any statute, regulation, rule, code, standard, policy or other Applicable Law.

Except as set forth in Schedule 4.16 attached hereto, there are no outstanding work orders, non-compliance orders, deficiency notices, notices of violation, including zoning violations, or other such notices relative to the real property, the leased premises, the other properties and Assets of NFD or the NFD Business which have been issued by any Governmental Entity. There are no matters under discussion with any such Governmental Entity relating to work orders, non-compliance orders, deficiency notices or other such notices. The NFD Business is not being carried on, and none of the real property, the leased premises or the other properties or Assets of NFD are being operated, in a manner which is in contravention of any statute, regulation, rule, code, standard or policy. No amounts are owing by NFD in respect of the real property or the leased premises to any Governmental Entity or public utility, other than current accounts which are not in arrears.

There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices verbal or written relevant to the Real Property, the other Purchased Assets or the Business which have been issued by any police or fire department, sanitation, environment, labour, health or other Governmental Authority. There are no matters under discussion with any such department or authority relating to work orders, non-compliance orders, deficiency notices or other such notices.
Work Orders and Deficiencies. There are no outstanding work orders, non-compliance orders, deficiency notices or other such notices relating to the Leased Premises, the other properties and assets of the Subsidiaries or the Business which have been issued by any Governmental Authority including any police or fire department, sanitation, environment, labour or health department. There are no matters under discussion between any of the Sellers, or the Subsidiaries with any Governmental Authority relating to work orders, non-compliance orders, deficiency notices or other such notices and nor have any of the Sellers, or any Subsidiaries received written notice of any such matter.
Work Orders and Deficiencies. Neither the Vendor nor any Subsidiary has received any notice (which remains outstanding and which, in the aggregate, would materially and adversely affect the ability to carry on the Business on any of the Real Property or the Leased Premises substantially in the manner in which the Business is currently being carried on) of any work order, non-compliance order, deficiency notice or other such notice relative to the construction or state of repair of any of the Real Property or the Leased Premises which has been issued by any regulatory authority, police or fire department, sanitation, environmental, labour, health or other governmental authority or agency.
