Xxxxxxxxx Bonus. Executive will be paid a pro rata portion (based on the period between the beginning of the applicable performance period and the date Executive’s participation in the PBP was terminated, March 31, 2012) of Executive’s cash bonus under the PBP for 2012, payable as a lump sum in the amount of Sixty-Seven Thousand Four Hundred Dollars ($67,400.00), less applicable withholdings.

Xxxxxxxxx Bonus. Releasor will receive one times Releasor’s target Annual Bonus for 2023. The Severance Bonus will be payable in a lump sum within 30 days after the Release becomes effective and irrevocable.
Xxxxxxxxx Bonus. Employee shall be eligible to receive an annual cash incentive award for fiscal year 2023. Such payment shall be made at the time all other bonuses are paid pursuant to the Company’s annual cash incentive award program, subject to achievement of performance metrics previously established with respect to corporate performance for fiscal year 2023. No portion of the annual cash incentive will be based on individual performance, and Employee shall be eligible for any over-achievement payment associated with corporate performance above target.
Xxxxxxxxx Bonus. If your employment terminates other than for Cause after October 31, 2021, then the Company will pay you a pro-rata annual bonus as calculated in accordance with the formula contained in Section 2(b) of the Executive Severance Plan and paid on the same schedule described in Section 7(b) of the Executive Severance Plan; provided, however, that no cash severance shall be paid prior to the Separation Release Effective Date. For avoidance of doubt, if your employment terminates other than for Cause at any time on or prior to October 31, 2021, then in lieu of the pro-rated annual bonus described in Section 2(b) of the Executive Severance Plan, you will instead receive the FY2021 Bonus, as specified in Section 3(g) above.
Xxxxxxxxx Bonus. The Company will also pay one-third (1/3) of your 2023 annual target bonus adjusted pro rata based on the fiscal year 2023 Company performance score (the “Severance Bonus”) approved by the Compensation Committee (the “Committee”) of the Company’s Board of Directors (the “Board”). This Severance Bonus will be paid in a lump sum by March 20, 2024. The determinations of the Board or the Committee with respect to the 2023 Bonus Amount will be final and binding. By way of example only, if the fiscal year 2023 Company performance score is 100%, the 2023 Bonus Amount would be $59,627, but if the performance score is 80%, the 2023 Bonus Amount would be $47,702. The Severance Bonus will be treated as taxable compensation but is not intended by either party to be treated, and will not be treated, as compensation for purposes of eligibility or benefits under any benefit plan of the Company. The Company will apply standard tax and other applicable withholdings to payments made to you.
Xxxxxxxxx Bonus. Alector will provide you with a lump sum bonus payment equal to Three Hundred, Thirty-Seven Thousand, Five Hundred Dollars ($337,500), less applicable deductions and withholdings (the “Severance Bonus”). The Severance Bonus will be paid on the Company’s next regular payroll schedule date that is at least eight (8) calendar days after receipt of this signed Separation Agreement and, in all cases, but in no event later than March 15, 2022.
