Passing of Risk. 1. Even where delivery has been agreed freight free, the risk shall pass to the Purchaser as follows:
(a) if the delivery does not include assembly or erection, at the time when it is shipped or picked up by the carrier. Upon the Purchaser's request, the Supplier shall insure the delivery against the usual risks of transport at the Purchaser's expense;
(b) if the delivery includes assembly or erection, at the day of taking over in the Purchaser's own works or, if so agreed, after a successful trial run.
2. Passing of Risk. 1. The risk of accidental loss, destruction or deterioration passes on the basis “ex-works freeport Bremerhafen” (Incoterms 2000). If Goods are shipped directly from DIPSALES supplier to Customer passing of risk takes place "ex works supplier" (Incoterms 2000). Loading of Goods is always at Customer's risk.
2. lf DIPSALES arranges the transport of goods at the Customer's request, this will be done in the name of and for the account of the Customer. lf no specific method of transport is agreed, DIPSALES may select the method as it sees fit. DIPSALES does not guarantee to select the cheapest method. Xxxxx will be insured only at the Customer's request and at his expense against transport risks during transport.
3. lf an item is driven on a test run by the Customer or his representative before acceptance, the Customer will be liable for any damage suffered to it in the process, unless the damage is DIPSALES's fault.If

(a) all earth and construction work and other ancillary work outside the Supplier's scope, including the necessary skilled and unskilled labor, construction materials and tools;
(b) the equipment and materials necessary for assembly and commissioning such as scaffolds, lifting equipment and other devices as well as fuels and lubricants;
(c) energy and water at the point of use including connec-tions, heating and lighting;
(d) suitable dry and lockable rooms of sufficient size adjacentto the site for the storage of machine parts, apparatus, materials, tools, etc. and adequate working and recreation rooms for the erection personnel, including sanitary facilities as are appropriate in the specific circumstances; furthermore, the Purchaser shall take all measures it would take for the protection of its own possessions to protect the possessions of the Supplier and of the erection personnel at the site;
(e) protective clothing and protective devices needed due to particular conditions prevailing on the specific site
2. Before the erection work starts, the Purchaser shall unsolicitedly make available any information required concerning the location of concealed electric power, gas and water lines or of similar installations as well as the necessary structural data.

Passing of Risk. 1. The risk of accidental loss devolves upon the Purchaser as soon as the goods are sent resp. remitted to the person effecting the transport. This also applies to the case that the Seller himself resp. his agents effect the transport. Any insurance against theft or other insurable risks shall be provided only upon demand of the Purchaser. Any costs arising therefrom shall be at the expense of the Purchaser only.
2. If consignment delays due to circumstances the Purchaser is responsible for, the risk of loss devolves upon the Purchaser by the day goods are ready for shipment; nevertheless, the Seller is prepared, on request and on cost of the Purchaser, to conclude all insurances Purchaser may demand.
3. Deliveries by instalments are allowed in acceptable extent.
Passing of Risk. 1. The risk of accidental loss, destruction and deterioration of the ordered goods passes to the Purchaser EXW Aachen (Incoterms 2010) and thus at the latest when the goods leave the Supplier’s factory. This shall also apply to carriage- paid deliveries. If dispatch is delayed for reasons for which the Purchaser is re- sponsible, the risk passes to the Purchaser at the moment of Purchaser’s notifi- cation by the Supplier that the goods are ready for dispatch.
2. Damage, deterioration and/or loss of the ordered goods during the transport thus shall not entitle the Purchaser to withdraw from the contract, to claim damages from the Supplier or to reduce in the purchase price.
Passing of Risk. 12.1 If nothing else agreed, the delivery has to be DDP.
12.2 The delivery paper has to contain the order num- ber and order date. In case of partial shipment, it has to be noted exactly. If not, the Agent takes re- sponsibility for delays in this reason.
Passing of Risk. 25 Even with freight-free delivery, the risk shall pass to the client as follows: a for deliveries without installation or mounting when they were brought to shipment or have been picked up. At the client’s request and costs, Sintratec shall insure deliveries against the usual transport risks. b for supplies with installation or mounting on the day of acceptance in own facility or, as far as stipulated, following proper trial operation.
Passing of Risk. 4.1 Unless otherwise stated in the order confirmation, delivery "ex works" is agreed, even if we have agreed to deliver freight-free. The risk is transferred to the buyer with the loading in the factory. The delivery is deemed to be fulfilled at this point in time. Our factory is also the place of performance for subsequent performance. Partial deliveries are permissible, provided that this does not result in any disadvantages for use. Complaints about partial deliveries do not release the customer from the obligation to accept the remaining quantity of the ordered goods.
4.2 Acceptance shall in all cases take place at the works immediately after notification of readiness for acceptance. The costs of an expert shall be borne by the buyer.
4.3 Upon the Customer’s request, the delivery shall be covered by a transport insurance contracted by us; any corresponding costs of such transport insurance shall be borne by the Customer.
