Accrued Entitlements definition

Accrued Entitlements has the meaning set out in Section 9(a)(iv).
Accrued Entitlements means any accrued but unpaid Base Salary and any duly incurred, timely submitted, and unreimbursed expenses under the Company’s business expense reimbursement policies, in each case accrued or incurred through the date of termination of employment, payable as soon as practicable and in all events within 30 days following termination of employment, (ii) amounts owing to you upon a termination of employment under the express terms of any other benefit plans, programs, or arrangements in which you participate, other than severance plans or policies, (iii) any earned but unpaid Annual Bonus for the year prior to the year of termination, and (iv) amounts otherwise expressly required by applicable law to be paid to you.
Accrued Entitlements means accrued but unpaid annual leave, sick leave and long service leave entitlements of the Employees as at Completion.

Examples of Accrued Entitlements in a sentence

  • Upon resignation by the Executive other than for Good Reason or termination by the Company for Just Cause, the Executive shall be entitled only to the Accrued Entitlements.

  • If the Company terminates the employment of the Executive for cause under this Section 4.1, the Company shall not be obligated to make any further payments or provide any further entitlements under this Agreement or otherwise, subject only to any amounts which may be due and remaining unpaid at the time of the termination of employment such as Base Salary, vacation pay and expenses properly accrued to the termination date ("Accrued Entitlements").

  • If your employment is terminated due to death or by the Company due to Disability, then, in addition to the Accrued Entitlements, you shall be entitled to receive an amount, payable within 90 days following termination, equal to your Target Bonus multiplied by a fraction, the numerator of which is the number of days worked in such year and the denominator of which is 365.

  • Except for the Accrued Entitlements, any compensation due under this Agreement shall be made on the 60th day following separation from service, provided the release is effective on such date and any revocation periods have expired.

  • In the event of Executive’s voluntary resignation, Executive will be entitled to receive only Executive’s Accrued Entitlements for thirty (30) days.

  • If Employee’s employment with the Company terminates before the Retirement Date either by action of the Company for Cause or by Employee’s resignation for any reason, then Employee shall be entitled to receive the Accrued Entitlements.

  • For the avoidance of doubt, the Annual Bonus payable hereunder shall satisfy the Annual Bonus payable as part of the Accrued Entitlements.

  • In the event that the Executive's employment ceases pursuant to this section, the Executive (or the Executive's estate) shall be eligible to receive (A) their Accrued Entitlements; and (B); any other minimum statutory entitlements that may be owing to the Executive under the ESA, without duplication.

  • Other than the Accrued Entitlements, the Employee has no claims or demands against the Company or any affiliated entity.

  • Except for the Accrued Entitlements in Section ‎7.03, no compensation will be due and payable to the Executive until after the LAC Group receives a fully executed original of such separation agreement and general release, and any applicable revocation periods have expired.


More Definitions of Accrued Entitlements

Accrued Entitlements has the meaning set forth in Section 7.6(j).
Accrued Entitlements means any long service leave and annual leave entitlements of the Transferring Employees (whether arising under contract, statute, industrial instrument, law or otherwise) and future long service leave entitlements of any Transferring Employee who has more than three years of service with the Vendor (pro rated for the period of service of the Transferring Employee with the Vendor as a proportion of the total service period required to accrue an entitlement to the long service leave under the applicable contract, statute or industrial instrument and calculated on the basis of the Transferring Employee’s effective daily remuneration (as a package) on the Completion Date);
Accrued Entitlements means (i) any accrued but unpaid Base Salary and any duly incurred, timely submitted, and unreimbursed expenses under the Company’s business expense reimbursement policies, in each case accrued or incurred through the date of termination of employment, payable as soon as practicable and in all events within 30 days following termination of employment, (ii) amounts owing to Executive upon a termination of employment under the express terms of any other benefit plans, programs, or arrangements in which Executive participates, other than severance plans or policies, (iii) any earned but unpaid Annual Bonus for the year prior to the year of termination, and (iv) amounts otherwise expressly required by applicable law to be paid to Executive.

Accrued Entitlements means: (a) any accrued but unpaid Base Salary and any duly incurred, timely submitted, and unreimbursed expenses under the Company's business expense reimbursement policies, in each case accrued or incurred through the date of termination of employment, payable as soon as practicable and in all events within thirty (30) days following termination of employment, (b) any amounts owing to you following a termination of employment under the express terms of any other compensation or benefit plans, programs, or arrangements in which you participate (including with respect to then-vested equity awards), in each case payable in accordance with the terms of such plans, other than severance plans or policies, (c) any earned but unpaid Annual Bonus for the year prior to termination (if such termination occurs in 2014, then the prior year's bonus shall be deemed to be the 2014 Guaranteed Bonus amount), (d) any accrued but unused vacation, and (e) any amounts otherwise expressly required by applicable law to be paid to you.

Related to Accrued Entitlements

  • Accrued Amounts means any unpaid annual base salary accrued through the date of a Participant’s Qualifying Termination and any accrued but unpaid vacation pay.

  • Accrued Benefits shall include the following amounts, payable as described herein: (i) all base salary for the time period ending with the Termination Date; (ii) reimbursement for any and all monies advanced in connection with the Executive’s employment for reasonable and necessary expenses incurred by the Executive on behalf of the Employer for the time period ending with the Termination Date; (iii) any and all other cash earned through the Termination Date and deferred at the election of the Executive or pursuant to any deferred compensation plan then in effect; (iv) notwithstanding any provision of any cash bonus or cash incentive compensation plan applicable to the Executive, but subject to any irrevocable deferral election then in effect, a lump sum amount, in cash, equal to the sum of (A) any cash bonus or cash incentive compensation that has been allocated or awarded to the Executive for a fiscal year or other measuring period under the plan that ends prior to the Termination Date but has not yet been paid (pursuant to Section 5(e) or otherwise) and (B) a pro rata portion to the Termination Date of the aggregate value of all contingent bonus or incentive compensation awards to the Executive for all uncompleted periods under the plan calculated as to each such award as if the Goals with respect to such bonus or incentive compensation award had been attained; and (v) all other payments and benefits to which the Executive (or in the event of the Executive’s death, the Executive’s surviving spouse or other beneficiary) may be entitled on the Termination Date as compensatory fringe benefits or under the terms of any benefit plan of the Employer, excluding severance payments under any Employer severance policy, practice or agreement in effect on the Termination Date. Payment of Accrued Benefits shall be made promptly in accordance with the Company’s prevailing practice with respect to clauses (i) and (ii) or, with respect to clauses (iii), (iv) and (v), pursuant to the terms of the benefit plan or practice establishing such benefits; provided that payments pursuant to clause (iv)(B) shall be paid on the first day of the seventh month following the month in which the Executive’s Separation from Service occurs to the extent necessary for compliance with the requirements of Code Section 409A(a)(2)(B) relating to specified employees or, to the extent not so required, within ninety (90) days of the Executive’s Separation from Service.

  • Accrued Obligations means (i) all accrued but unpaid Base Salary through the date of termination of Executive’s employment, (ii) any unpaid or unreimbursed expenses incurred in accordance with Section 7 hereof, and (iii) any benefits provided under the Company’s employee benefit plans upon a termination of employment, in accordance with the terms contained therein.

  • Compensation Accrued at Termination means the following:

  • Accrued Liabilities shall include a pro rata contribution to each Employee Benefit Plan or with respect to each such obligation or arrangement for that portion of a plan year or other applicable period which commences prior to, and ends after, the Closing Date, and Accrued Liabilities for any portion of a plan year or other applicable period shall be determined by multiplying the liability for the entire such year or period by a fraction, the numerator of which is the number of days preceding the Closing Date in such year or period and the denominator of which is the number of days in such year or period, as the case may be.
