Accrued Management Fees definition

Accrued Management Fees has the meaning set forth in the definition ofFunded Indebtedness”.
Accrued Management Fees has the meaning ascribed to such term in Section 4.11(b).
Accrued Management Fees means an amount equal to the greater of (A) management fees payable for the period ending on the date ninety (90) days after the date hereof or (B) unpaid management fees accrued under Section 6 of the Management Agreement prior to the Termination Time, in each case calculated in accordance with the terms of the Management Agreement and whereby “Equity” (as defined in the Management Agreement) shall be determined as of the end of the month which occurred immediately prior to the Closing Date for any period following the Closing Date; provided, however, that the management fees for the month in which the Termination Time occurs shall be pro-rated based on the number of days in such month that have elapsed up to and including the date on which the Termination Time occurs compared to the total number of days in such month. Following the Closing Date and until the Termination Time, the Manager hereby agrees to continue to provide the services and activities (other than investment advisory or investment management services) necessary or appropriate to allow for an orderly transition of the management of the Company’s assets to Parent or Parent’s manager, as Parent may determine, or as otherwise reasonably requested by Parent. For the avoidance of doubt, the Manager shall not provide data migration services (but nothing herein shall limit Parent’s ability to retain a third party service provider at its sole cost to provide such services, and the Manager shall reasonably cooperate at Parent’s sole cost in connection therewith). The Parties shall comply in all respects with all the terms and conditions of the Management Agreement and shall not amend the Management Agreement or this Amendment, in each case without the prior written consent of Parent. Except as specifically permitted or required by the Merger Agreement, as required by law, or as consented to in writing by Parent (which consent shall not be unreasonably withheld, delayed or conditioned), the Manager shall conduct its activities with respect to the Company and the Company’s subsidiaries in the ordinary course of business consistent with past practice in all material respects.

Examples of Accrued Management Fees in a sentence

  • Within five (5) Business Days following the Manager’s delivery of such written statement of the Accrued Management Fees pursuant to the preceding sentence, Parent or Merger Sub, as successor to the Company, will pay to the Manager the Accrued Management Fees.

  • Upon the Company raising in excess of $50,000 in either debt or equity capital, all Accrued Management Fees to that date will be paid.

  • After the Accrued Management Fees are paid, the Management Fee will be payable as provided for above.

  • Accrued Management Fees will be excluded from the determination of Working Capital.

  • After the Accrued Management Fees are paid, the Management Fee will be payable on the first business day of each month, in advance, during the remainder of the term of this Agreement.


More Definitions of Accrued Management Fees

Accrued Management Fees means any and all amounts due and payable by the Company or Amrep to any of the Institutional Stockholders.

Chrxxxxxxxx Xxxxxxx xxder the Consulting Agreements, and (iii) that portion of the receivables due from joint ventures that is attributable to the warranty reserve for the unit in question or one (1%) percent of the Contract Price for which only a Purchase Agreement exists, as the case may be.
Accrued Management Fees means $362,500, which represents the aggregate amount of outstanding, accrued and unpaid management fees owing to Sponsors and any of their Affiliates as of the Closing Date.
