Administrative Agent Expenses definition

Administrative Agent Expenses means all: reasonable costs or expenses (including reasonable attorneys’ fees and expenses) incurred in connection with the preparation, negotiation, administration, and enforcement of the Loan Documents; Collateral audit fees; and Administrative Agent’s reasonable attorneys’ fees and expenses incurred in amending, enforcing or defending the Loan Documents (including fees and expenses of appeal), incurred before, during and after an Insolvency Proceeding, whether or not suit is brought.

Administrative Agent Expenses means all reasonable and documented out-of-pocket costs and expenses (including reasonable and documented out-of-pocket attorneys’ fees, expenses and disbursements) incurred by the Administrative Agent in connection with (i) the preparation, negotiation, syndication, execution, delivery, and administration of the Loan Documents, or any amendments, modifications or waivers of the provisions hereof or thereof (whether or not the transactions contemplated hereby or thereby shall be consummated), (ii) reasonable and documented out-of-pocket Collateral audit and inspection fees, and (iii) the enforcement of, and the protection and defense of rights under, the Loan Documents (including during any workout, restructuring or negotiations in respect of the Loan Documents).

Administrative Agent Expenses means any unpaid fees, reasonable out-of-pocket costs and expenses, indemnities or other amounts owing to the Administrative Agent under the Loan Documents. “Affected Financial Institution” means (a) any EEA Financial Institution or (b) any UK Financial Institution. “Affiliate” means, with respect to any Person, another Person that, directly or indirectly, Controls, or is Controlled by or is under common Control with such other Person. For the purpose of this definition, “Control” or “Controlled” means the possession, directly or indirectly, of the power to direct or cause the direction of its management or policies, whether through the ownership of voting securities, by contract or otherwise. Notwithstanding the foregoing, “Affiliate” shall not include, with respect to WLFC or any Borrower Group Company, WMES or CWEL. “Aircraft Engine” means a basic power jet propulsion or turboprop engine assembly for an aircraft that is stage 3 or later compliant (without reliance on a noise reduction or “hush” kit), including its essential accessories as supplied by the manufacturer of such Aircraft Engine, but excluding the nacelle, and including any QEC Kit and any and all modules and Parts incorporated in, installed on or attached to each such engine from time to time and any substitutions therefor. “Aircraft Equipment” means each aircraft (including the related Airframe, Aircraft Engines and parts), Airframe or Aircraft Engine owned by any Borrower Group Company, or with respect to which any Borrower Group Company either holds an interest directly or indirectly in an owner trust or holds a security interest. “Airframe” means an airframe (if the context requires, related Asset Interests in an airframe), including any and all modules and Parts incorporated in, installed on or attached to such airframe from time to time and any substitutions therefor, except in each case, any Aircraft Engine.

Examples of Administrative Agent Expenses in a sentence

• Administrative Agent shall, at its option, charge such interest, all Administrative Agent Expenses, and all Periodic Payments against any of Borrower’s deposit accounts or against the Revolving Line, in which case those amounts shall thereafter accrue interest at the rate then applicable hereunder.

• Any amounts so paid or deposited by Administrative Agent shall constitute Administrative Agent Expenses, shall be immediately due and payable, and shall bear interest at the then applicable rate hereinabove provided, and shall be secured by the Collateral.

• On the Closing Date, all Administrative Agent Expenses incurred through the Closing Date, including attorneys’ fees and expenses and, after the Closing Date, all Administrative Agent Expenses, including attorneys’ fees and expenses, as and when they are incurred by Administrative Agent.

• Any amounts so paid or deposited by the Administrative Agent shall constitute the Administrative Agent Expenses, shall be immediately due and payable, and shall bear interest at the applicable rate hereinabove provided, and shall be secured by the Collateral.

• The Administrative Agent shall, at its option, charge such interest, all the Administrative Agent Expenses, and all Periodic Payments against any of the Borrower’s deposit accounts or against the Revolving Line, in which case those amounts shall thereafter accrue interest at the rate then applicable hereunder.

• On the Closing Date, all the Administrative Agent Expenses incurred through the Closing Date, including reasonable out-of-pocket attorneys’ fees and expenses and, after the Closing Date, all the Administrative Agent Expenses, including reasonable and documented out-of-pocket attorneys’ fees and expenses, as and when they are incurred by the Administrative Agent.

• Bxxxxxxx agrees to promptly pay all Administrative Agent Expenses incurred by Administrative Agent in connection with this Amendment.

• As compensation for its Administrative Agent activities hereunder, the Administrative Agent shall be entitled to the Administrative Agent Expenses from the Borrower as set forth in the definition of Administrative Agent Expenses, payable to the extent of funds available therefor pursuant to the provisions of Section 2.04.

• The Administrative Agent’s entitlement to receive the Administrative Agent Expenses shall cease on the earlier to occur of: (a) its removal as the Administrative Agent pursuant to Section 9.01 or (b) the termination of this Agreement.

• On the Closing Date, all Administrative Agent Expenses incurred through the Closing Date in an amount not to exceed $100,000, and, after the Closing Date, all Administrative Agent Expenses, as and when they become due.
