Allocable Expenses means those Practice Expenses which are attributable in part to both Technical Expenses and Professional Expenses, and which shall be allocated as provided in Exhibit 1.1 attached hereto.
Allocable Expenses shall not include payroll expense, insurance expense, interest expense or any other expense attributable solely to the operation of the Assets or the conduct of the Business by the Seller, nor any property taxes or assessments prorated at Closing.

Examples of Allocable Expenses in a sentence
Without limiting the generality of the foregoing, the Holder Representative shall have full power, authority and discretion to estimate and determine the amounts of Holder Allocable Expenses, and to pay such Holder Allocable Expenses in accordance with Section 2.6 hereof.
Allocation and settlement of all Allocable Expenses paid by the parties shall be made within sixty (60) days following the Closing Date.
Allocable Expenses for any period shall be equal to the total Allocable Expenses incurred by NSIMG or NSIMG's internal departments for such period multiplied by the percentage of such Allocable Expenses allocable to NSUSA pursuant to the then applicable time allocation study prepared pursuant to Section 4.2 hereof.

In the event that the funds paid to the Holder Representative pursuant to Section 2.6 exceed the Holder Allocable Expenses, the Holder Representative shall be entitled to retain such excess amount as a fee for its services as Holder Representative hereunder.
More Definitions of Allocable Expenses
Allocable Expenses means, as determined as of the Distribution Date, a proportionate share of the Expenses, which shall be determined by multiplying total Expenses with respect to which a distribution was not previously made to the Partners holding GP Units or Class A Units by the Apportionment Percentage.
Allocable Expenses means all expenses incurred by NSIMG in providing Management and Consulting Services other than Direct Expenses including without limitation, the following: rents, utilities, telephone, equipment, recruitment, office supplies, and other overhead expenses, certain salary costs, payroll, benefits and expenses related to conventions, travel and accommodations at anniversary events, the permitted use and appropriation of the names and licenses of directors, and executive officials of NSUSA or NSIMG, telephone calls and counseling and conferences and meetings with NSUSA managers and NSIMG independent distributors. Allocable Expenses shall be calculated in accordance with Sections 3.2 and 4.2.
Allocable Expenses has the meaning set forth in the Company Agreement.

Allocable Expenses means all fees and expenses of the Trustee, expenses of maintaining, investing and administering the Contingency Funds, costs reasonably incurred by the Company in establishing and administering the Securities, costs of transferring interests in the Securities and other typical transfer agent functions, and that portion of any of the Company's tax administration, audit or controversy expenses reasonably allocable to the CVOs (including, within limitation, expenses relating to the determination of any tax item associated with EARTHCO Plants).
Allocable Expenses means expenses of the Company other than Direct Expenses. Allocable Expenses shall be allocated to all Portfolio Investments existing at any time during the Fiscal Year in which such expense was incurred on the basis of the capital of the Company invested in each one (including Direct Expenses) and the number of days during such Fiscal Year on which such Portfolio Investment was owned by the Company.
