Professional Expenses definition
Professional Expenses means all operating and non-operating Practice Expenses, determined on an accrual basis and without mark-▇▇, incurred by Administrator and/or Parent or their Affiliates to the extent incurred in connection with the Professional Operations including, without limitation: (i) salaries, benefits and other direct costs of employees of Administrator who perform services solely for the Professional Operations; (ii) direct costs of all employees of Administrator engaged solely to provide services to improve performance of the Professional Operations; (iii) leases for assets utilized solely for the benefit of the Professional Operations; (iv) personal and property taxes assessed against Administrator's assets utilized solely for the benefit of Professional Operations; (v) interest on indebtedness assumed solely by Administrator as a result of the Acquisition, or incurred by Administrator to finance or refinance such indebtedness, and/or in connection with making advances and capital available to the Practice, in each case, for the benefit of the Professional Operations; (vi) any provider tax assessed against the Professional Operations and any sales and use tax related solely to the Professional Operations; (vii) direct expenses of requisite and obligatory professional licensing and insurance costs solely related to the Professional Operations; (viii) any amortization of any intangible asset set forth on Parent's, Administrator's or their applicable Affiliates' financial statements (as applicable) used solely in connection with the Professional Operations; provided, however, no amortization with respect to goodwill of the Acquisition shall be set forth on such financial statements; (ix) any depreciation of assets to the extent used solely in connection with the Professional Operations; and (x) other expenses incurred by Administrator solely in providing services for the direct benefit of the Professional Operations; provided, however, that Administrator Expenses, Excluded Practice Expenses and Technical Expenses shall not be included in Professional Expenses.
Professional Expenses means the fees and expenses of all attorneys, accountants, investment bankers and other advisors and agents for services rendered in connection with or in contemplation of this Agreement and the Contemplated Transactions.
Professional Expenses has the meaning specified in the definition of the term "Agreed Administrative Expense Claim Priorities."
Examples of Professional Expenses in a sentence
The costs and expenses of such enforcement shall be included in Professional Expenses and all damages and other amounts recovered thereby shall be included in Professional Revenues.
To the extent the Premises or Personal Property are used in connection with the Professional Operations, the costs and expenses associated with such usage shall be allocated between Professional Expenses and Technical Expenses as approved by the Joint Planning Board.
Professional Expenses Fund entitlements shall be appropriately pro-rated in the case of limited term appointments which have terms of less than one year or duties and responsibilities that are less than full-time.
Reimbursements for Professional Expenses shall be paid within ten (10) business days following Executive’s submission of evidence of the incurrence of such Professional Expenses.
IV.15.3 A full accounting of each member's Professional Expenses Fund shall be provided at least twice during the academic year.
More Definitions of Professional Expenses
Professional Expenses means the fees and reimbursable expenses of a Professional Person.
Professional Expenses means any out-of-pocket fees, costs and expenses incurred in respect of legal, accounting, consulting, investment banking or other bona fide professional or advisory services, including any printing, duplicating, travel and other customary costs and expenses incurred in connection with such services.
Professional Expenses means any amount paid, payable or reasonably expected to become payable (whether before or after the Closing) by the Company or any of the Company Subsidiaries (including by HEOP and any of its Affiliates on behalf of the Company or any of the Company Subsidiaries) for services rendered or being rendered to the Company by any attorney, investment banker or other financial advisor, accountant, auditor or other professional services provider in connection with the transactions contemplated hereby.
Professional Expenses means the allowed fees and expenses of counsel and other professional advisors to the Debtor and the Committee, if one is appointed.
Professional Expenses means all operating and non-operating expenses incurred in connection with the Professional Operations, including, without limitation: (i) any salaries, benefits, payroll taxes or other distributions made to the Group Physician Stockholders, Physician Employees, Physician Extender Employees and other employees of the Group or other physicians providing professional supervision and interpretation services at the Premises; (ii) any federal, state or local income or other franchise, property or other taxes applicable to the Group; (iii) the costs associated with the preparation of any federal, state or local income or other tax returns (excluding the costs associated with the preparation of payroll tax returns); (iv) all professional related expenses of the Group Physician Stockholders, Physician Employees, Physician Extender Employees and other employees of the Group, including but not limited to, professional meetings, seminars, dues and subscriptions other than such seminars or meetings that Administrator or Parent requires that any the Group Physician Stockholders, Physician Employees, Physician Extender Employees and other employees of the Group attend; (v) all costs and expenses associated with the performance of professional services to or for the benefit of the Group by legal, accounting, investment, financial or other advisors specifically retained by the Group including, without limitation, all such costs and expenses incurred by the Group in connection with the Acquisition; (vi) interest on indebtedness incurred by Administrator in connection with making advances and capital available to the Group; (vii) any provider tax assessed against the Professional Operations and any sales and use tax related solely to the Professional Operations; (viii) direct expenses of requisite and obligatory professional licensing and insurance costs (including, without limitation, professional liability, general liability, workers compensation, property and casualty) solely related to the Professional Operations; (ix) any depreciation of assets to the extent used solely in connection with the Professional Operations; and (x) such other expenses as may be specified in this Agreement. Professional Expenses shall be the sole responsibility of the Group.
Professional Expenses are all accrued expenses of the Practice related to Physicians and other non-physician providers who are employed by VA and shall include the expense for the following items:
(i) payments and compensation to be made by or on behalf of VA to Physicians and other non-physician providers who are employed by VA (including all applicable vacation pay, sick leave, retirement benefits, social security, workers’ compensation, health, life or disability insurance, or any other employee benefits of any kind or nature whatsoever including, but not in any way limited to, cellular telephone and automobile expenses);
(ii) any federal, state or local income Taxes of VA and the Physicians and other non-physician providers who are employed by VA and the costs of preparing federal, state or local Tax returns and all other Taxes associated with the Professional Expenses, including, but not limited to, all Taxes associated with employment and independent contractor relationships;
(iii) continuing medical education activities of Physicians and other non-physician providers who are employed by VA, including related travel and meals;
(iv) direct personal expenses of Physicians and other non-physician providers who are employed by VA, including, without limitation, those of a kind which VA has historically charged to its Physicians and other non-physician providers who are employed by VA (including, but not limited to, entertainment and meal expenses, and costs of employees providing personal services to particular Physicians and like expenses personal in nature); and
(v) costs associated with accounting and professional services incurred by or on behalf of VA, other than those provided by Manager (excluding any legal and accounting expenses associated with the enforcement by VA or Manager of any restrictive covenants against Physicians which are Practice Operating Expenses in accordance with Section 1.41(xv)). It is the intention of VA and Manager that Professional Expenses shall generally consist only of the cost and expense of those items specified above, plus the cost and expense of any additional items which cannot be supplied by Manager, but are necessary for the Physicians to engage in the practice of medicine in the reasonable determination of VA.
Professional Expenses means expenses that are: (i) incurred during the Subsidy Period; (ii) normally and reasonably associated with the operation of the Practice; (iii) allocable to the Recruited Physician; and (iv) deductible for federal income tax purposes. Professional Expenses include the reasonable salary paid to the Recruited Physician. Specifically excluded from Professional Expenses are contributions to retirement or deferred compensation plans on behalf of the Recruited Physician and payment of federal, state and local income taxes. All items to be included in Professional Expenses are subject to the District's prior written approval.
