Asset Collateral definition

Asset Collateral has the meaning specified in Section 2.01(a).
Asset Collateral means certain property and assets (including network assets) of the Proceeds Loan Obligors, including certain real estate, bank accounts, intellectual property rights, receivables and moveable and immovable assets that also secure the Senior Facility Agreement and the Existing Senior Secured Notes.
Asset Collateral means any Rotable Spare Parts, Non-Rotable Spare Parts, Spare Engines, Aircraft and Flight Simulators, in each case, subject to a first-priority perfected Lien or, in the case of Aircraft subject to a Senior Lien, a second- priority perfected Lien granted pursuant to the terms of the Collateral Documents.

  • Except as otherwise provided in this Agreement, the Fixed Asset Collateral Agents and the Fixed Asset Claimholders will be entitled to manage and supervise their respective loans and extensions of credit under the Fixed Asset Documents in accordance with law and the Fixed Asset Documents, as they may, in their sole discretion, deem appropriate.

  • Each of the Revolving Credit Collateral Agent and each Fixed Asset Collateral Agent may demand specific performance of this Agreement.

  • The provisions of this Agreement are and are intended for the purpose of defining the relative rights of the Revolving Credit Collateral Agent and the Revolving Credit Claimholders on the one hand and the Fixed Asset Collateral Agents and the Fixed Asset Claimholders on the other hand.

  • Each Fixed Asset Collateral Agent, for itself or on behalf of any such Fixed Asset Claimholders, promptly shall execute and deliver to the Revolving Credit Collateral Agent or such Grantor such termination statements, releases and other documents as the Revolving Credit Collateral Agent or such Grantor may request to effectively confirm such release.

  • Neither the Revolving Credit Collateral Agent and the Revolving Credit Claimholders, on the one hand, nor the Fixed Asset Collateral Agents and the Fixed Asset Claimholders, on the other hand, shall have any duty to advise the other of information known to it or them regarding such condition or any such circumstances or otherwise.

  • Each Fixed Asset Collateral Agent and the Revolving Credit Collateral Agent further agrees that it will not oppose, or support any party in opposing, the right of the other party to credit bid under Section 363(k) of the Bankruptcy Code or any similar provision of any other Bankruptcy Law with respect to its respective Priority Collateral, subject to the provision of the immediately preceding sentence with respect to the Priority Collateral or the other party.

Asset Collateral means, in the case of each Series of Asset Secured Debt, all properties and assets of the Company and the other Pledgors now owned or hereafter acquired, other than Stock Collateral, in which Liens have been granted to the Collateral Trustee to secure the Asset Secured Obligations, and shall exclude any properties and assets in which the Collateral Trustee is required to release its Liens pursuant to Section 3.2; provided, that, if such Liens are required to be released as a result of the sale, transfer or other disposition of any properties or assets of the Company or any other Pledgor, such assets or properties will cease to be excluded from the Collateral if the Company or any other Pledgor thereafter acquires or reacquires such assets or properties.
Asset Collateral means Eiffel's interest in the Transferred Interest purchased by Eiffel pursuant to the Asset Transfer Agreement.
Asset Collateral means Xxxxxx's interest in the Pledged Collateral and any rights to payment pursuant to the Surety Bond pursuant to the Asset Transfer Agreement.
