Except as set forth in the Transition Services Agreement, Seller and its Affiliates shall retain sponsorship of, shall remain solely responsible for and shall retain all liabilities, obligations and commitments under, the Business Employee Plans, whether arising before, on or after the Closing Date other than as specifically provided in this Article 9.
