Buyer Deliverables definition

Buyer Deliverables has the meaning set forth in Section 9.2(a).

Buyer Deliverables shall have the meaning set forth in Section 6.2(b).

Buyer Deliverables means those items identified on Schedule 3 which are to be delivered by the Buyer to the Partner Counterparty on or prior to the Effective Date.

• Neither the execution and delivery by Buyer of this Agreement and such Buyer Deliverables, nor the consummation by Buyer of the transactions contemplated by this Agreement and such Buyer Deliverables, will violate, or be in conflict with (i) the articles of incorporation, bylaws or governing documents of Buyer, (ii) any provision of any agreement or instrument to which Buyer is a party or by which it (or any of its properties) is bound or (iii) any Law applicable to Buyer (or any of its properties).

• Assuming the execution and delivery by the other Parties to this Agreement and the Buyer Deliverables to which Buyer is a Party, this Agreement and such Buyer Deliverables are the valid and binding obligation of Buyer, enforceable against Buyer in accordance with their terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar Laws of general applicability and to general equitable principles.

• Seller will not, nor will it permit its employees, to sell, transfer, assign, copy, plagiarize or disclose Buyer Deliverables to any third party.

• There are no restrictions on Buyer's right to make, have made, use, modify, create derivative works of, reproduce, have reproduced, perform, display, sell and distribute Deliverables that are not Buyer Deliverables.

• To the extent that the Deliverables are to be owned by Xxxxx ("Buyer Deliverables"), Seller agrees to assign and does hereby assign all intellectual property rights in such Deliverables to Buyer.

More Definitions of Buyer Deliverables

Buyer Deliverables means all documents, certificates and other items required to be delivered by Buyer pursuant to Section 8.2(a).

Buyer Deliverables. Means such assistance and relevant data and information from Buyer which the Parties agree is required by S3 Semi prior to the performance by S3 Semi of any Services.

Buyer Deliverables means materials solely developed by Buyer and all third party titles licensed to Buyer for the Products. Notwithstanding foregoing, the Seller shall not be liable for any claim arising out of (I) the modification of the Product not by Seller; (II) the use of the Product in combination with other hardware or software not made by the Seller ; (III) component(s) or part(s) provided by Buyer.

Buyer Deliverables shall have the meaning assigned thereto in Section 2.4(a).

Buyer Deliverables means requests, intellectual property, and any other information or materials that a Seller receives from a Buyer to perform Seller Services.
