Calculated Stock Price. Calculated Stock Price" means the average closing price of Parent common stock, as reported by Nasdaq, for the twenty trading days immediately preceding the Closing Date.
Calculated Stock Price means (1) in the event vesting of the Restricted Stock Units is triggered pursuant to clause (i) of the Vesting Schedule, the value of the consideration paid for a Share in such Change of Control transaction, provided, that if the consideration consists of assets other than cash or securities traded on a national securities exchange, then the value of such assets shall be their fair market value as determined in good faith by the Board; (2) in the event vesting of the Restricted Stock Units is triggered prior to a Change of Control pursuant to clause (ii), (iv) or (v) of the Vesting Schedule, the price equal to the average closing price of the Company’s common stock as reported on NASDAQ-Online during the period commencing on the date that is two (2) months prior to termination of Participant’s employment as Chief Executive Officer, or Disability of Participant, as applicable, and ending on the date that is two (2) months following termination of Participant’s employment as the Company’s Chief Executive Officer, or Disability of Participant, as applicable; or (3) in the event vesting of the Restricted Stock Units is triggered pursuant to clause (iii) of the Vesting Schedule, the price equal to the average closing price of the Company’s common stock as reported on NASDAQ-Online during the period of October 31, 2014 through February 27, 2015.
Calculated Stock Price means the mean closing price per share of Parent Common Stock as reported on the NYSE for the ten trading days ending on the trading day immediately prior to the Effective Time (provided that the Calculated Stock Price shall be equitably adjusted in connection with and to reflect fully the effect of any stock split, reverse stock split, stock combination, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock), reorganization, reclassification, recapitalization or other like change with respect to Parent Common Stock the effective date of which occurs during such ten trading day period or thereafter).

  • Subject to the provisions of Section 4, such vested Restricted Stock Units will be paid within five (5) business days of the later of (x) the date the Calculated Stock Price is determined or (y) the date the Restricted Stock Units vest, but not following March 15 of the year following the date the Restricted Stock Units vest.

  • Stock Price shall have the meaning specified in Section 14.03(c).

  • Common Stock Price means, with respect to the Company and each of the Peer Companies, as of a particular date, the average of the Fair Market Value over the 15 consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price of a share of common stock as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Average Stock Price means the average of the closing prices of a Share, as reported on NASDAQ (or such other stock exchange as is applicable), for the forty-five (45) trading day period immediately preceding the date for which the Average Stock Price is being determined hereunder.

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.

  • Applicable Stock Price means, in respect of a Conversion Date, the average of the Closing Sale Prices per share of Common Stock over the five-Trading Day period starting the third Trading Day following such Conversion Date.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Shadow Price means the marginal value of relieving a particular constraint which is determined by the reduction in system cost that would result from an incremental relaxation of that constraint.

  • Stock Value means an amount equal to (a) 25% multiplied by (b) (i) the Closing Purchase Price, minus (ii) the Financial Debt, minus (iii) the Transaction Expenses.

If the closing of the primary exchange, the absence of a closing price or the market disruption event should last for five Business Days, the closing price of the relevant Reference Share will be a price determined on such fifth Business Day by the Calculation Agent in its sole discretion and in good faith using market-accepted practices.

  • Phantom Share means a right, pursuant to the Plan, of the Grantee to payment of the Phantom Share Value.

  • Closing Price has the meaning assigned to such term in Section 15.1(a).

  • Common Share Price means the volume weighted average per share trading price of the Common Shares on the TSX for the 10 consecutive Trading Day period ending on the Trading Day immediately before the occurrence of a Trigger Event, or if the Common Shares are not then listed on the TSX, the principal stock exchange on which the Common Shares are then listed or quoted (being the stock exchange with the greatest volume of trading in the Common Shares during the previous six months), or if such shares are not listed or quoted on any stock exchange, or if no such trading prices are available, the Floor Price.

  • Beginning Stock Price means the average of the closing prices of the Common Stock or the shares of the Peer Group, as applicable, for the 20 trading days ending on the trading date immediately preceding the first day of the Performance Period.

  • Closing Price Per Share means, with respect to the Common Stock, for any day, (i) the last reported sale price regular way on the Nasdaq National Market or, (ii) if the Common Stock is not quoted on the Nasdaq National Market, the last reported sale price regular way per share or, in case no such reported sale takes place on such day, the average of the reported closing bid and asked prices regular way, in either case, on the principal national securities exchange on which the Common Stock is listed or admitted to trading, or (iii) if the Common Stock is not quoted on the Nasdaq National Market or listed or admitted to trading on any national securities exchange, the average of the closing bid prices in the over-the-counter market as furnished by any New York Stock Exchange member firm selected from time to time by the Company for that purpose.

  • Closing Average Share Value means the average, over the trading days in the Closing Average Period, of the closing price of the company’s stock multiplied by the Accumulated Shares for each trading day during the Closing Average Period.

  • Early Preference Share Valuation Date means the date specified as such in the relevant Early Preference Share Redemption Notice which shall fall not less than one day and not more than 180 days following the day such Early Preference Share Redemption Notice is given. The Early Preference Share Redemption Notice may provide that such date is subject to adjustment in accordance with certain disruption or adjustment events, as determined by the Calculation Agent.
