Community Expenses definition

Community Expenses means, collectively, those costs and expenses that are directly related to the ownership, operation, leasing and staffing of any Community in accordance with this Agreement and any other costs and expenses that are expressly provided for in this Agreement to be “Community Expenses,” which expenses and payment of expenses shall be administered by Tenant from any Community’s Gross Revenues in accordance with this Agreement (individually, a “Community Expense”). In calculating Community Expenses for any one Accounting Period, expenses for any Community that are attributable to longer periods of time shall be appropriately pro-rated and allocated to that month (e.g., 1/12 of an annual tax payment, 1/3 of a quarterly service agreement payment). “Community Expenses” shall not, however, include any of the following: (i) payments of indebtedness under any Community Mortgage; (ii) cost or expenses incurred in violation of this Agreement; (iii) costs or expenses attributable to any Liabilities that are covered by the indemnity obligations of Tenant pursuant this Agreement or which otherwise are the express responsibility or obligation of Tenant under this Agreement; (iv) costs incurred by Tenant for political or charitable contributions; or (v) any other costs or expenses that are expressly provided elsewhere in this Agreement to not be a Community Expense or Community Expenses.
Community Expenses shall not, however, include any of the following: (i) payments of indebtedness under any Community Mortgage; (ii) cost or expenses incurred in violation of this Agreement; (iii) costs or expenses attributable to any Liabilities that are covered by the indemnity obligations of Tenant pursuant this Agreement or which otherwise are the express responsibility or obligation of Tenant under this Agreement; (iv) costs incurred by Tenant for political or charitable contributions; or (v) any other costs or expenses that are expressly provided elsewhere in this Agreement to not be a Community Expense or Community Expenses.
Community Expenses means and refer to those costs and expenses arising out of or connected with the maintenance and operation of Eagle Bend West Subdivision and the Association and the maintenance of Water Resources and Offsite Water Features as described in Article VII hereof and which determine the Annual Assessments made to Owners.

Examples of Community Expenses in a sentence

  • Payment of the Community Expenses, excluding the Base Fee, shall be made in the ordinary course of business to the extent of available Gross Revenues and Working Capital.

  • If at any time available Working Capital is insufficient to pay Community Expenses identified in the Approved Budget and Company has not timely funded additional amounts for such purpose or Company has not timely funded Capital Replacements, Manager shall have no obligation to advance its own funds therefor.

  • Manager may, from time to time, request Company to fund additional amounts as Working Capital to pay Community Expenses identified in the Approved Budget and if the parties do not agree on such additional amounts, the matter shall be referred to arbitration.

  • The term “Net Operating Income” means, as of the end of the applicable period for which Net Operating Income is determined, the difference between Gross Revenues and Community Expenses; provided, however, that all of the items excluded from Gross Revenues pursuant to clauses (i) through (xii) (other than clauses (vii) and (ix)) of the definition of “Gross Revenues”, to the extent actually collected by Tenant, shall be included in Gross Revenues for purposes of calculating Net Operating Income.

  • Except as otherwise expressly provided in this Agreement, all fees, costs, expenses, liabilities, payments and purchases arising out of, relating to or incurred in the ownership, operation or financing of the Communities, including, without limitation, the fees, costs, payments and expenses of consultants and professionals, Community Expenses, capital expenditures and any costs associated with any Controlling Documents, shall be the sole responsibility of Landlord.

More Definitions of Community Expenses

Community Expenses means and refer to those costs and expenses incurred by or on behalf of the Association arising out of or connected with the maintenance, improvement and operation (including capital repairs and replacements) of Cold Spring Ranch and the operation of the Association as described in Article VII hereof, other than Rear Loaded Cottage Expenses, Townhome Expenses, Rear Loaded Townhome Expenses and Twin Home Expenses.
Community Expenses means and refer to all expenditures made or expenses incurred by or on behalf of the Community Association and the Trust, as hereinafter defined, together with all funds assessed for creating or maintaining reserves, as provided in this Declaration.
Community Expenses means expenditures made by or financial liabilities of the Association, together with any allocations to reserves as further described in 6.2.1 below, and, as applicable to Lots with Design Features, Community Expenses shall include those certain costs and expenses assessed by the Association against all Owners of such Lots and payable in accordance with the Design Features Assessment share formula described in Section 6.4 below.

  • Company Expenses has the meaning set forth in Section 11.3(a)(v).

  • Parent Expenses means (i) costs (including all professional fees and expenses) incurred by any Parent in connection with maintaining its existence or in connection with its reporting obligations under, or in connection with compliance with, applicable laws or applicable rules of any governmental, regulatory or self-regulatory body or stock exchange, this Indenture or any other agreement or instrument relating to Indebtedness of the Company or any Restricted Subsidiary, including in respect of any reports filed with respect to the Securities Act, the Exchange Act or the respective rules and regulations promulgated thereunder, (ii) expenses incurred by any Parent in connection with the acquisition, development, maintenance, ownership, prosecution, protection and defense of its intellectual property and associated rights (including trademarks, service marks, trade names, trade dress, domain names, social media identifiers and accounts, patents, copyrights and similar rights, including registrations and registration or renewal applications in respect thereof; inventions, processes, designs, formulae, trade secrets, know-how, confidential information, computer software, data, databases and documentation, and any other intellectual property rights; and licenses of any of the foregoing) to the extent such intellectual property and associated rights relate to the business or businesses of the Company or any Subsidiary thereof, (iii) indemnification obligations of any Parent owing to directors, officers, employees or other Persons under its charter or by-laws or pursuant to written agreements with or for the benefit of any such Person, or obligations in respect of director and officer insurance (including premiums therefor), (iv) other administrative and operational expenses of any Parent incurred in the ordinary course of business, and (v) fees and expenses incurred by any Parent in connection with any offering of Capital Stock or Indebtedness, (w) which offering is not completed, or (x) where the net proceeds of such offering are intended to be received by or contributed or loaned to the Company or a Restricted Subsidiary, or (y) in a prorated amount of such expenses in proportion to the amount of such net proceeds intended to be so received, contributed or loaned, or (z) otherwise on an interim basis prior to completion of such offering so long as any Parent shall cause the amount of such expenses to be repaid to the Company or the relevant Restricted Subsidiary out of the proceeds of such offering promptly if completed.

  • Property Expenses means the costs (including, but not limited to, payroll, taxes, assessments, insurance, utilities, landscaping and other similar charges) of operating and maintaining any Eligible Property, which are the responsibility of the Borrower or the applicable Guarantor that are not paid directly by the tenant, including without limitation, the Annual Capital Expenditure Reserve and the greater of (a) 3% of rents and (b) actual management fees paid in cash, but excluding depreciation, amortization and interest costs.

  • Travel Expenses means any costs incurred by Licensor associated with the transportation, storage or lodging of equipment, supplies, Licensor employees and other items necessary for business use from Licensor headquarters to Licensee’s facilities.   • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.
