Company Employee Costs definition

Company Employee Costs has the meaning ascribed thereto in Section 2.10(b);
Company Employee Costs means obligations of Company for Executive Employees and Continuing Employees pursuant to all employment agreements, termination, severance, bonus and retention plans or policies (but excluding salary and vacation pay earned and accrued up to the Effective Date) providing for cash or other compensation or benefits upon the consummation of the Arrangement, but not including payments in respect of: (i) Company Options as provided in the Arrangement Agreement and the Conditional Option Exercise and Surrender Agreement; or; (ii) Company Restricted Awards as provided in the Arrangement Agreement;

  • The Company Disclosure Letter sets forth all Company Employee Costs, and except for such Company Employee Costs disclosed in the Company Disclosure Letter, neither Company nor its subsidiaries has paid and will not be required to pay any bonus, fee, distribution, remuneration or other compensation to any employee or contractor as a result of the transactions contemplated by this Agreement (other than salaries, wages or fees paid or payable to employees and contractors in the ordinary course of business).

Company Employee Costs means obligations of Company pursuant to all employment agreements, termination, severance and retention plans or policies providing for cash or other compensation or benefits upon the consummation of the Arrangement, including, for greater certainty, a year end bonus in the aggregate amount of $1.75 million to be paid by Company to employees of Company prior to the Effective Time, but not including payments in respect of: (i) Company Options as provided in this Agreement; (ii) Company Incentive Awards as provided in this Agreement; or (iii) accrued vacation payouts;
Company Employee Costs means certain expenses related to Employees incurred by the Company or any of its Subsidiaries in connection with consummating the Asset Sale, including (i) the Accelerated Payments, (ii) Severance Payments to Employees other than Continuing Employees, (iii) the Retention Bonuses, (iv) the Sales Commissions and (v) the Salaries.

Related to Company Employee Costs

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.

  • Contract employee means a probationary faculty employee or a grant- funded employee hired on a year-to-year basis in accordance with Education Code 87470.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).
