Company Indentures definition

Company Indentures means the Indenture, dated as of January 28, 1993, by and among 21st Century Fox America, Inc., as issuer, the guarantors named therein and U.S. Bank National Association, as trustee, as supplemented from time to time; the Amended and Restated Indenture, dated as of March 24, 1993, by and among 21st Century Fox America, Inc., as issuer, the guarantors named therein and The Bank of New York, as trustee, as supplemented from time to time; and the Indenture, dated as of August 25, 2009, as amended and restated on February 16, 2011, by and among 21st Century Fox America, Inc., as issuer, the guarantor named therein and The Bank of New York Mellon, as trustee, as supplemented from time to time; and any other indenture or similar agreement entered into by the Company or 21st Century Fox America, Inc. following the execution of this Agreement and on or prior to the Closing Date governing notes, debentures or other debt securities issued in a capital markets debt financing.
Company Indentures means, collectively:
Company Indentures means (a) that certain Indenture, dated as of May 11, 2010, among AK Steel Corporation, as issuer, the Company, as guarantor, and U.S. Bank National Association, as trustee, as amended and supplemented, (b) the Senior Secured Indenture, and (c) any other indentures to which the Company or any of its Subsidiaries is a party.

Examples of Company Indentures in a sentence

  • Parent shall cause the Initial Surviving Company to comply with all of its obligations under the Company Indentures.

  • Holdco shall cause the Wax Surviving Company to comply with all of its obligations under the Company Indentures.

  • Reasonably in advance of the Closing, Seller and Sprint Communications shall, and shall cause the Company and each of its Subsidiaries to, use reasonable best efforts to commence a consent solicitation to amend, eliminate or waive certain restrictive covenants of the Company Indentures and/or Company Notes that would be triggered by the transactions contemplated by this Agreement (a “Consent Solicitation”) with respect to any or all of the outstanding Company Notes.

  • Each of the Company Indentures and Company Participation Agreements under which Guaranteed Equipment Notes are issued and outstanding from time to time shall hereinafter be referred to as a “Guaranteed Company Agreement”, and collectively, as the “Guaranteed Company Agreements”.

  • There are no bonds, debentures, notes or other indebtedness of the Company or any of its Subsidiaries having the right to vote (or convertible into, or exchangeable for, securities having the right to vote) on any matters on which the stockholders of the Company may vote other than notes issued under the Company Indentures.

Company Indentures shall have the meaning set forth in Section 5.11(b).
