Contribution Documents definition

Contribution Documents means in general those documents relating to the funding by Gevo, Inc. and Gevo Development LLC of equity monies relating to the consideration to paid in connection with the Agri-Energy Acquisitions.

Contribution Documents means the collective reference to the Contribution Agreement, and all exhibits and schedules thereto, together with any related bills of sale, conveyance and similar transfer documents necessary to effect the intent of the Contribution Agreement, including such documents as executed.

Contribution Documents means this Agreement, the Interest Conveyance, and each of the other documents and instruments to be delivered hereunder.

• This Agreement constitutes, and as of the Closing such other Contribution Documents will constitute, the legal, valid, and binding obligations of Transferor enforceable against Transferor in accordance with its terms, except as the same may be limited by bankruptcy, insolvency, reorganization, fraudulent conveyance, arrangement, moratorium, or other similar Laws relating to or affecting the rights of creditors generally, or by general equitable principles.

• This Agreement has been, and as of Closing such other Contribution Documents will have been, duly and validly executed and delivered by Transferor.

• Neither Transferor nor any of its Affiliates has entered, directly or indirectly, into any contract or arrangement with any Person that would obligate Transferee to pay any commission, brokerage or “finder’s fee” or other fee in connection with this Agreement, the other Contribution Documents or the transactions contemplated hereby or thereby.

• Neither Transferee nor any of its Affiliates has entered, directly or indirectly, into any contract or arrangement with any Person that would obligate Transferor to pay any commission, brokerage or “finder’s fee” or other fee in connection with this Agreement, the other Contribution Documents or the transactions contemplated hereby or thereby.

More Definitions of Contribution Documents

Contribution Documents means (a) collectively all stock certificates or other documentation evidencing the Contributions, and (b) collectively all of the agreements, instruments and documents executed in connection with the Contributions.

Contribution Documents means (a) a xxxx of sale in respect of the transfer of the Contributed Assets, substantially in the form attached hereto as Exhibit B and (b) an assignment and assumption agreement in respect of the Contracts included in the Contributed Assets, substantially in the form attached hereto as Exhibit C.

Contribution Documents collectively, (i) Assignment and Assumption Agreement, dated as of August 24, 2000, between the Borrower and the Parent, and (ii) each other agreement, instrument or other document executed or delivered in connection the Contributions, including all approvals and consents obtained and all legal opinions delivered.

Contribution Documents means this Agreement, the Southampton Confirmation, the Chesapeake Terminal Services Agreement, the Interest Conveyance, and each of the other documents and instruments to be delivered hereunder. EXHIBIT A

Contribution Documents means, collectively, the Contribution Agreement and such agreements, assignments, deeds, conveyances, certificates and other documents and instruments, in form and substance satisfactory to Agent, executed and/or delivered by, between and among certain members of the Quest Group, Borrower, and Bluestem pursuant to which certain members of the Quest Group contribute and convey to Borrower the Contributed Properties.

Contribution Documents has the meaning set forth in Section ‎3.35.

Contribution Documents means the documents in connection with the Contribution as set forth in the Plan and consist of, among others, any amendments or waivers to the Contribution Agreement and any appendices or exhibits to the Contribution Agreement (including an amended and restated limited liability company agreement of White Oak).
