Converted Awards definition

Converted Awards means awards originally granted under the Parent Equity Plan that are converted into Awards with respect to Common Shares pursuant to Article VIII of the Employee Matters Agreement.
Converted Awards means an option or a restricted stock unit granted under the Plan pursuant to Appendix A.
Converted Awards means the options to purchase Shares into which stock options that were originally issued under The Brink’s Company 1988 Stock Option Plan or The Brink’s Company 2005 Equity Incentive Plan are converted pursuant to the EMA Agreement.

Examples of Converted Awards in a sentence

  • Notwithstanding anything in the Plan to the contrary, any adjustment of any of the Converted Awards granted hereby shall be made in compliance with Section 409A of the Code.

  • The Converted Awards granted hereby are intended to comply with Section 409A of the Code and will be administered and interpreted in accordance with that intent.

  • No consideration is payable by the Grantee in respect of the Converted Awards.

  • One hundred percent (100%) of Executive’s outstanding equity awards (including but not limited to stock options and restricted stock grants) with a time-based vesting schedule (including the Converted Awards) shall immediately accelerate and become completely vested.

  • The grant price for a Stock Appreciation Right shall be determined by the Committee, provided, however, and except as provided in Section 4(f) or with respect to Converted Awards or Substitute Awards, that such price shall not be less than 100% of the Fair Market Value of one Share on the date of grant of the Stock Appreciation Right.

  • The purchase price (or Option price) per Share purchasable under an Option shall be determined by the Committee in its sole discretion; provided that, except in connection with an adjustment provided for in Section 4(f) or with respect to Converted Awards or Substitute Awards, such purchase price shall not be less than the Fair Market Value of one Share on the date of the grant of the Option.

Converted Awards has the meaning set forth in Section 2.7(b).
Converted Awards means awards originally granted under the FMC Incentive Compensation and Stock Plan that are converted into awards with respect to shares of Common Stock pursuant to the Employee Matters Agreement.
Converted Awards means the Mural Options, Mural and Mural PRSUs (each as defined in the Employee Matters Agreement) granted under this Plan upon the Distribution Effective Time pursuant to the Employee Matters Agreement.

Related to Converted Awards

  • Equity Awards means any of Executive’s stock options to purchase shares of the Company’s common stock, restricted shares of the Company’s common stock (including unvested shares Executive has purchased through an early exercise of a stock option grant), stock appreciation rights, restricted stock units, performance shares, performance units and any other equity compensation awards granted by the Company or any successor of the Company.

  • Company RSUs mean restricted stock units with respect to shares of Company Common Stock granted under any Company Stock Plan.

  • SARS means the South African Revenue Services;

  • Awards means Options, RSUs and PSUs granted to a Participant pursuant to the terms of the Plan;

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Company RSU Award means a restricted stock unit award in respect of shares of Company Common Stock granted under the Entegra Financial Corp. 2015 Long-Term Stock Incentive Plan, as amended.

  • Deferred Stock means a right to receive a specified number of shares of Stock during specified time periods pursuant to Article 8.

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Other Equity-Based Award means an Award that is not an Option, Stock Appreciation Right, Restricted Stock, Restricted Stock Unit, or Performance Share Award that is granted under Section 10 and is payable by delivery of Common Stock and/or which is measured by reference to the value of Common Stock.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Other Stock-Based Awards means Awards granted to a Participant under Section 6(i) hereof.

  • Other Share-Based Award means a right, granted under Section 5(h), that relates to or is valued by reference to Shares.

  • Dividend Equivalents means a right granted to a Participant under the Plan to receive the equivalent value (in cash or Shares) of dividends paid on Shares.

  • Company Equity Awards means Company Options and Company RSUs.

  • Restricted Stock means Shares issued pursuant to a Restricted Stock award under Section 7 of the Plan, or issued pursuant to the early exercise of an Option.

  • share-based award means an award under an equity incentive plan of equity-based instruments that do not have option-like features, including, for greater certainty, common shares, restricted shares, restricted share units, deferred share units, phantom shares, phantom share units, common share equivalent units, and stock.

  • Company Restricted Stock Unit means any restricted stock unit award subject to service-based vesting, payable in shares of Company Common Stock or the value of which is determined with reference to the value of shares of Company Common Stock, whether granted under a Company Stock Plan or otherwise.
