Cost of Improvements definition

Cost of Improvements means the costs for the Improvements, as set forth on the Cost Breakdown.

More Definitions of Cost of Improvements

Cost of Improvements means the total of all hard and soft costs associated with or caused by the construction of the Tenant Improvements in accordance with the Approved Plans, including, but not limited to:

Cost of Improvements means the cost of construction of Improvements, including the cost of all labor, materials, machinery and equipment, the cost of all lands, structures, real or personal property, rights, rights-of-way, roads, easements, franchises and interest acquired or used for, or in connection with the Authority, any termination payments payable under any Qualified Swap or Hedge Agreements, the cost of engineering and legal services, the cost of preliminary surveys, plans and specifications, payments with respect to litigation, expenses of administration properly chargeable to such construction, legal, architectural and engineering expenses and fees, the cost of audits, the fees and expenses of Consultants, financing charges, taxes or other governmental charges lawfully assessed during construction, claims arising in connection with construction, premiums on insurance in connection with construction, interest on the Indebtedness or other obligations of the Authority issued to finance Costs of Improvements, during and for a reasonable period after completion of the acquisition, construction, reconstruction, repair, improvement or equipping of the Improvement; the annual fees for any Enhancement Facility and tender agent fees and fees payable for remarketing Indebtedness during such period as may be specified in the resolution of the Board or the Supplemental Agreement authorizing the issuance of such Bonds and all other items of expense not elsewhere in this definition specified, incident to the financing or construction of any Improvements and the placing of the same in operation.

To the extent Tenant requests any Change Orders (defined below), (i) such Change Orders shall be subject to Landlord’s prior written approval pursuant to Section 9.3 of the Lease, (ii) such Change Orders shall be at Tenant’s sole cost and expense and (iii) to the extent such Change Orders would result in any cost to Landlord in excess of the Cost Cap plus Tenant’s Contribution set forth above, the estimated cost of such additions or changes (“Tenant’s Additional Contribution”) shall be paid in full by Tenant to Landlord within five (5) Business Days of Landlord’s invoice therefor before such additions or changes are performed by Landlord. Failure by Tenant to timely pay for any such excess costs shall be deemed, at Landlord’s sole discretion, a withdrawal of such Change Order. In the event Tenant desires changes to the Landlord Work as detailed in the Landlord Work Plans (each, a “Change Order”), Tenant shall submit a detailed request for such Change Order to Landlord in writing. Landlord shall use commercially reasonable efforts to respond in writing (the “Change Order Statement”) to such Change Order request within five (5) Business Days of Tenant’s submission with a statement detailing (i) the period of delay in Substantial Completion, if any, estimated by Landlord which would arise from such Change Order (the “Change Order Delay”) and (ii) Landlord’s good faith estimate of the Tenant’s Additional Contribution, if any, arising from such Change Order. Landlord shall have no obligation to perform such Change Order unless Tenant shall have (a) approved Landlord’s Change Order Statement in writing within five (5) Business Days following Tenant’s receipt of a Change Order Statement and (b) paid any Tenant’s Additional Contribution arising in connection with such Change Order.
