Cost to Complete Certificate definition

Cost to Complete Certificate means a certificate (substantially in the form set out in Exhibit E) of the Independent Technical Consultant (a) setting out the amount of Available Resources and Projected Corporate and Project Costs in connection with certifying whether (or not) the Available Resources are greater than the Projected Corporate and Project Costs, and (b) certifying that (i) the Commercial Operation Date is expected to occur by the Required Commercial Operation Date and (ii) the Project Completion Date is expected to occur by the Project Completion Longstop Date.
Cost to Complete Certificate means the certificate substantially in the form set out in Schedule 10 (Form of Cost to Complete Certificate), or such other form as agreed between the Borrower and the Agent, to be delivered by the Borrower and updated from time to time in accordance with Clause 4.2(c) (Further conditions precedent).
Cost to Complete Certificate means an Officer’s Certificate substantially in the form of Appendix G hereto delivered by the Borrower and approved pursuant to Section 6.01(b).

Examples of Cost to Complete Certificate in a sentence

  • All information and disclosure in the most recent Cost to Complete Certificate delivered to the Administrative Agent and the Technical Agent by the Borrower was true and correct in all material respects when delivered.

  • Any such credit reduction notice with respect to the Total Commitment Amount shall specify the Tranche(s) to which the reduction applies and shall be accompanied by a Cost to Complete Certificate referencing, amongst other things, the amount of Available Credit after giving effect to the aforementioned reduction.

  • The Borrower shall have delivered to the Administrative Agent a copy of the most recent Cost to Complete Certificate approved pursuant to Section 6.01(b), provided that such Cost to Complete Certificate shall have been so approved within sixty (60) days immediately preceding the Requested Disbursement Date.

Cost to Complete Certificate means a certificate of a Senior Officer of the Borrower substantially in the form of Schedule I hereto delivered to the Administrative Agent and the Technical Agent addressed to, and in form and substance satisfactory to, the Independent Technical Consultant (with respect to all extensions of credit under the Credit Facility), the Lenders (with respect to the initial extension of credit under the Credit Facility) and Majority Lenders (in the case of all further extensions of credit under the Credit Facility, the Mandatory Gold Hedges, the Mandatory CapEx FX Hedge, the Mandatory OpEx FX Hedges (pre-Completion), Discretionary Hedges (pre-Completion) and the Cost to Complete Certificates delivered pursuant to Section 10.1(a)(ix), in each case in their sole discretion, which certifies Project Costs incurred and paid, Estimated Completion Amount and Estimated Completion Date as at the date of such certificate and sufficiency of Project Sources (as to both amount and projected timing of availability or receipt of such Project Sources) and which is, together with all related data, in form and substance satisfactory to the Independent Technical Consultant (and confirmed (as to costs) as such in writing by the Independent Technical Consultant).

Cost to Complete Certificate means a certificate in the form of Schedule 1.1.45.

Related to Cost to Complete Certificate

  • Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit G-1.

  • Back-Up Certification As defined in Section 3.18(k).

  • Safety Certificate and “deemed Safety Certificate” have the meanings given to “safety certificate” and “deemed safety certificate” by the Railways and Other Guided Transport Systems (Safety) Regulations 2006;

  • Final Completion Certificate has the meaning set forth in Section 11.6.
